Res 187-2007 12/4/2007 � � RESOLUTION NO. 187-2007 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, AUTHORIZING THE CITY MANAGER TO SIGN AN AGREEMENT WITH MICROWAVE DATA SYSTEM FOR THE PURCHASE AND INSTALLATION OF A WIRELESS DATA COMMUNICATIONS INFRASTRUCTURE; FINDING AND DETERMINING THAT THE MEETING AT WHICH THIS RESOLUTION WAS PASSED WAS OPEN TO THE PUBLIC AS REQUIRED BY LAW. WHEREAS, The City of Wichita Falls wishes to install a Mobile Data Terminal system for use by its public safety officers to send and receive information wirelessly over a secure network; and WHEREAS, After reviewing proposals and conducting demonstrations and interviews with selected vendors, the City has selected Microwave Data Systems to install a wireless data communications infrastructure for the Mobile Data Terminal system. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: SECTION 1. The City Manager is hereby authorized to sign an agreement for the installation of the wireless data communications system with Microwave Data Systems in the amount of $3,611,203.40. SECTION 2. It is hereby officially found and determined that the meeting at which this resolution was passed was open to the public as required by law. MAYOR ATTEST: � ty Clerk . � , �. :� � • MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX This Agreement is effective as of this 20th day of November, 2007 ("AgreemenY') between Intergraph Corporation, a Delaware Corporation, on behalf of its Security, Government and Infrastructure Division, with its principal office at 170 Graphics Drive, Madison, AL 35758 (hereinafter referred to as "Intergraph") and City of Wichita Falls, Texas with principal offices at 1300 7� Street, Wichita Falls, TX 76301 (hereinafter referred to as the "City"). WHEREAS, The City has requested Intergraph, to furnish a Mobile Software System (hereinafter collectively referred to as the "System"), as described in Exhibit A- Pricing and Exhibit B- Statement of Work attached hereto which reflects agreements and adjustments made during negotiations between the parties; and, WHEREAS, the request and all subsequent negotiations documented as of the above date are herein reconciled to and are superseded by this Agreement; NOW THEREFORE, for the considerations hereinafter written, the parties agree to the following: 1.0 INDEPENDENT CONTRACTOR • Intergraph shall at all times act as an independent contractor in the performance of this Agreement. Neither Intergraph nor its employees or agents shall represent themselves to be, or be deemed to be, employees of the City and the City shall have no control over the detail, manner, or methods of Intergraph's performance under this Agreement. 2.0 PERIOD OF PERFORMANCE This Agreement shall be effective as of the above date and shall extend until all services defined in the Agreement are completed, unless terminated as provided for herein. 3.0 EXHIBITS The following attachments are incorporated into this Agreement: 1. Exhibit G— Intergraph Proposal dated February 23, 2007 (provided previously under separate • cover) , , MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND • CITY OF WICHITA FALLS, TX 4.0 FORCE MAJEURE Neither party shall be deemed to be in default of any provision of this Agreement or be liable for any delay, failure in performance, or interruption of service resulting from acts of war, acts of terrorism, acts of God, acts of civil or military authority, civil disturbance, or any other cause beyond its reasonable control. 5.0 WARRANTY 5.1 intergraph Warranty Coverage Intergraph products are warranted, when properly installed, to operate in substantial conformity with product specifications during the initial warranty period and for any extended warranry which may be purchased thereafter. Intergraph products are provided with a non-mission critical warranty (5 days per week, 8 hours per day) up to the point of System cutover to live operation. The cost of this warranty is included in the price of the System. After the initial warranty period, the City may purchase an extended warranty or Maintenance services that include mission critical support (7 days per week, 24 hours per day). The cost and length of time for an extended warranty or Maintenance services, if purchased, is reflected in Exhibit A. The foregoing warranties shall be for repair, or replacement, at the option of Intergraph. The foregoing warranties are void if failure is due to modification, misuse, abnormal conditions of operation. 5.2 Third-party Warranty Coverage Third-party products are provided with a pass-thru-warranty from the original manufacturer. � 5.3 Warranty Disclaimer The above warranties are in lieu of any other warranties, whether ex.press or implied, including, but not limited to, any warranty of inerchantability or fitness for a particular purpose. 5.4 Reliability Period Intergraph provides the City with a 60-day reliability period with first year extended warranty beginning at cutover. The City will receive 24 x 7 mission-critical support beginning at extended warranty. During the 60-day reliability period Level 1(P1) errors will restart the clock. P1 errors are defined as: • Loss of data • Data corruption • Productive use prohibited • No workaround available • Aborts During the 60-day reliability period Level 2 errors, upon mutually agreement between the City and Intergraph, will suspend the clock. P2 errors are defined as: • Primary purpose compromised � • Productive use significantly impacted • Workaround generally not available Page 2 ,� �D� CONFIDENTIAL � � MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX • 6.0 MAINTENANCE SERVICES At the conclusion of any warranty period or extended warranty period, the City may elect maintenance coverage for any software or hardware provided under this Agreement ("Maintenance"). The terms and conditions of Exhibit C will apply to any Maintenance services provided by Intergraph. Maintenance services are provided at an additional cost to the City and the estimated Maintenance charges are provided in Exhibit A of this Agreement. Intergraph has quoted the Maintenance charges for an initial five (5) year period after the extended warranty. Intergraph reserves the right to adjust Maintenance charges yearly at the conclusion of the initial five (5) year coverage period. 7.0 SOFTWARE LICENSE 7.1 Term of License The Software Package(s) shall be licensed under this Agreement effective from the date of delivery in decrypted form. This Software License (as defined in Section 7.2) shall remain in force until the City discontinues the use of such Software Package(s) and returns the Software Package(s) to Intergraph or this Software License is otherwise terminated as provided in Section 7.5. 7.2 License Coverage The City shall have the right to use each Software Package or any portion thereof on the specific Local Area Network (LAN) for which it is licensed, either locked on a single computer node (as determined by a specific LAN address), or concurrently on a number of computer nodes so long • as the number of concurrent uses does not exceed the number licensed for the LAN, or on one or more backup computer nodes ("Software License"). No other use is licensed. The City shall permit Intergraph reasonable access to the LAN for license administration audit purposes. 7.3 Security Certain Software Packages are required to operate in conjunction with a hardware lock device or in conjunction with license administration software and a license authorization key provided by Intergraph or its representative. The City shall take no steps to avoid or defeat the purpose of any required lock device or authorization key. Use of any Software Package without a required lock device or authorization key shall be unlicensed under this Software License. The City agrees that it and its employees will not make available the software, or portions thereof, or documentation related thereto, to any persons other than the City or Intergraph employees or other persons authorized to use the LAN for which the software is licensed without prior written approval of Intergraph. The City will not copy the software or documentation except as necessary for use under this Agreement. The City will not decrypt without authorization, reverse compile or disassemble the software. The City will not export or re-export the software or dvcumentation without the appropriate United States and foreign government licenses. Furthermore, the City agrees to abide by all applicable Federal and State Trademark and Copyright laws. � Page 3 CONFIDENTIAL r ■ MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX � 7.4 Title Title and ownership of the software shall at all times remain with Intergraph or relevant third parties. 7.5 Termination of Software License In the event the City neglects or fails (i) to pay the appropriate license fee(s) within thirty (30) days, or (ii) to adhere to any of its obligations under the Software License in Section 7, the City shall have thirty (30) days to rectify the cause for termination. Should the City fail to rectify the cause for termination, this Software License shall immediately terminate, and all software licensed hereunder and all encrypted software will be returned to Intergraph within ten (10) days. In the event of any proceeding, voluntary or involuntary, in bankruptcy or insolvency by or against the City, or in the event of the appointment, with or without the City's consent, or an assignee for the benefit of creditors, or of a receiver, Intergraph may elect to cancel any unfulfilled part of this Software License. 7.6 Constructive Acceptance In addition to the execution of this Agreement, receipt by the City of the licensed program, updated program, or optional materials, such as source tapes, decrypting information or listings from Intergraph, shall be deemed conclusive evidence of the City's agreement that the license for such licensed program or optional materials is governed by the Software License in Section 7.0. • 7.7 Third-Party Software Third-party software is licensed to City pursuant to the software license agreement delivered with the third-party's software product. 7.8 Disclaimer Any commercial off-the-shelf product information Intergraph has shared with the City during the proposa� / contract activities to date was to provide an understanding of Intergraph's current expected direction, roadmap or vision and is subject to change at any time at Intergraph's sole discretion. Intergraph does not commit to develop the future features, functions and products discussed in this material beyond that which is specifically committed to be provided by Intergraph as part of the intended contract. The City should not factor any future features, functions or products into its current buying decision since there is no assurance that such future features, functions or products will be developed. When and if these future features, functions or products are developed, they will generally be available for licensing by Intergraph. 8.0 DELtVERY AND INSTALLATION 8.1 Shipment Items shipped via commercial carrier are FOB destination at the price stated herein. The City is responsible for facility preparation (such as appropriate and adequate power, janitorial services, air conditioning, space, all electrical drops, cabling, City furnished items, security, etc.) not provided in Exhibit A, but necessary to accommodate equipment before, during, and after installation. � Page 4 � CONFIDENTIAL 1 � MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND • CITY OF WICHITA FALLS, TX 8.2 Site Access The City agrees to allow Intergraph personnel reasonable access to the City's site and facilities (telephone, facsimile, parking, etc.) during normai business hours and at other times as agreed. The City understands and agrees that on-site Intergraph personnel may need to work Saturdays and Sundays during the installation period and will have the work areas accessibie to them on those days as required. 8.3 User Qualifications The City will ensure that all persons operating the System shall be properly qualified, supervised, trained, and have demonstrated effectively that the operator is proficient in its use. 9.0 TAXES The System purchase price is exclusive of all Federal, State, or Local taxes. Any taxes applied to this sale by Federal, State or Local Taxing Authority will be the responsibility of the Ciry. If the City is claiming a tax-exempt status, it must submit the proper certificates to Intergraph. 10.0 TERMS OF PAYMENT The terms of payment shall be net thirty (30) days from the date of invoice, with invoicing to occur upon certification from Intergraph that it has successfully completed the milestones as set forth in Exhibit D of this Agreement. • 11.0 INDEMNIFICATION 11.1 General Indemnity by Intergraph. Intergraph will indemnify and hold the City harmless from any and all liability, expense, judgment, suit, cause of action, or demand for personal injury, death, or direct damage to tangible property which may accrue against the City to the extent it is caused by the negligence of Intergraph, its subcontractors, or their employees or agents, while performing their duties under this Agreement, provided that the City gives Intergraph prompt, written notice of any such claim or suit. City shall cooperate with Intergraph in its defense or settlement of such claim or suit. This section sets forth the full extent of Intergraph's general indemnification of the City from liabilities that are in any way related to Intergraph's performance under this Agreement. This section is not intended to abrogate the City's right to assert sovereign immunity as a defense to damages. 11.2 General Indemnity by City. To the extent allowed by state law and without waiving any affirmative defenses available under state law, the City will indemnify and hold Intergraph harmless from any and all liability, expense, judgment, suit, cause of action, or demand for personal injury, death, or direct damage to tangible property which may accrue against Intergraph to the extent it is caused by the negligence of the City, its other contractors, or their employees or agents, while performing their duties under this Agreement, provided that Intergraph gives the City prompt, written notice of any such claim or suit. Intergraph shall cooperate with City in its defense or settlement of such claim or suit. This section sets forth the full extent of the City's general indemnification of Intergraph from liabilities that are in any way related to the City's performance under this Agreement. � Page 5 A , / CONFIDENTIAL �D , � MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX � 12.0 INFRINGEMENT In the event of any proceeding (suit, claim or action) against the City arising from allegations that the System, or a portion thereof furnished by Intergraph infringes U.S. patent, copyright, trade secret, or other proprietary right of any third-party, Intergraph will, if such suit does not result from modifications made by the City, defend the City, at Intergraph's expense, provided the City promptly notifies Intergraph in writing of the allegation. Intergraph shali make such defense by counsel of its own choosing and the City shall cooperate with said counsel. 13.0 LIMITATION OF LIABILITY intergraph's total liability for any and all damages arising out of or in any way related to this Agreement from any cause, except for Maintenance under Exhibit E, shall not exceed one (1) times the value of this Agreement. Intergraph's totai liability for any cause related to Maintenance under Exhibit E shall not exceed the annual Maintenance fee paid by the City. Notwithstanding anything to the contrary, in no event shall Intergraph be liable for any incidental, consequental, indirect or special damages regardless of the legal theory under which such damages are incurred. Except as othervvise provided by applicable law, no claim, regardless of form, arising out of or in connection with this Agreement may be brought by the City more than two (2) years after the cause of action has occurred. 14.0 TERMINATION FOR CONVENIENCE This Agreement shall continue in full force beyond the stated term until termination is accomplished in one of the following ways: (a) The City provides Intergraph with a thirty (30) day written notice of their intent to remove any • hardware or software products from coverage under this Agreement. (b) A new Agreement between the City and Intergraph is signed into effect for similar service. (c) The City petitions for reorganization under the Bankruptcy Act or is adjudicated a Bankrupt, or a receiver is appointed for the City's business, or the City fails to pay Intergraph any amount when due hereunder. 15.0 TERMINATION BY DEFAULT 15.1 Default by Intergraph. If Intergraph fails to achieve System Acceptance in accordance with this Agreement or otherwise breaches a material obligation under this Agreement, the City may consider Intergraph to be in default, unless the City or a Force Majeure causes such failure. If the City asserts a default, it will give Intergraph written and detailed notice of the default. Intergraph will have thirty (30) days thereafter either to dispute the assertion or provide a written plan to cure the default that is acceptable to the City. If Intergraph provides a cure plan acceptable to the City, it will begin implementing the cure plan immediately after receipt of the City's approval of the plan. If Intergraph fails to cure its default or to provide an acceptable plan for such cure, or if Intergraph fails to comply with such plan, the City may declare this contract terminated due to Intergraph's breach and may seek any and all remedies available to it except as limited by this Agreement including, but not limited to, monetary damages. 15.2 Default by the City. If the City fails to pay any amount when due under this Agreement, indicates that it is unable to pay any amount when due, or otherwise breaches a material obligation under this Agreement, � Intergraph may consider the City to be in default, unless Intergraph or a Force Majeure causes such failure. If Intergraph asserts a default, it will give the City written and detailed notice of the default and the City will have thirty (30) days thereafter to (i) dispute the assertion, (ii) cure any Page 6 CONFIDENTIAL � 1 I MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX • monetary default (including interest), or (iii) provide a written plan to cure the default that is acceptable to Intergraph. If the City provides a cure plan, it will begin implementing the cure plan immediately after receipt of Intergraph's approval of the plan. Intergraph may stop work until it accepts the plan of action to cure a non-monetary default by the City. 15.3 Failure to Cure. If a defaulting party fails to cure the default as provided above in Sections 15.1 or 15.2, uniess otherwise agreed in writing, the non-defaulting party may terminate any unfulfilled portion of this Agreement. In the event of such termination, the defaulting party will promptly return to the non- defaulting party any of its Confidential Information (as defined in Section 14.1) for which the City has not tendered full payment. If the City is the non-defaulting party, terminates this Agreement as permitted by this Section, and completes the System through a third party, the City may, as its exclusive remedy, recover from Intergraph either (i) the diminution of value of the System due to the breach if it does not complete the System through a third party, or (ii) the reasonable costs incurred to complete or replace the System to a capability not exceeding that specified in this Agreement if it completes the System through a third party. In either case, the City agrees to use its best efforts to mitigate damages and to provide Intergraph with detailed records substantiating the damages claim. In the event of termination of this Agreement prior to completion, the City shall have the right to continue use of the System until such time as the subject dispute between the parties shall be finally adjudicated. Nofinrithstanding the preceding sentence, if termination is due to the City's material breach of the applicable software license agreement, the City shall immediately cease use of the System and certify same to Intergraph upon judicial decree of such breach. • 16.0 INSURANCE Intergraph shall procure and maintain, during the performance of this Agreement, Comprehensive General Liability insurance and Worker's Compensation and Disabiliry coverage for tntergraph employees where services are to be performed, and such other insurance coverage insuring against loss or damages to the City's property and/or personnel caused by Intergraph activities. Upon the City's request, Intergraph will provide a certificate of insurance to the City evidencing such coverage. 17.0 CHANGES Either party may request a change to the scope of work required under this Agreement on any task including but not limited to, alterations, additions, deviations, and omissions from or to the scope of work. Intergraph shall provide the City with a written assessment within a reasonable time identifying the price and schedule impact of implementing the change. Neither party shall be obligated to commence work on the requested change until they have agreed in writing to an equitable adjustment. i8.0 CONFiDEP1TiAL INFarZMATiON The purpose of this Section is to set forth the terms and conditions under which the parties may provide directly or indirectly, verbally or in writing or electronically, incUding but not limited to, software, software code, documentation, pricing, personnel information, financial, purchasing, technical data, products and business operations information which either party considers confidential ("Information") to the other party. 18.1 Confidentiallnformation Information in documentary or other tangible form will be clearly and conspicuously marked as � 'Confidential' or some similar marking. Verbal disclosures must be identified as confidential at the time of disclosure and must be confirmed in writing as confidential within thirty (30) days of the initial disclosure. Page 7 � CONFIDENTIAL I ■ MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX � 18.2 Duty to Protect The Recipient shall hoid all Information in strictest confidence. Recipient shall release such Information only to its employees requiring such Information during the course of business between the parties. Each empioyee must agree to be bound by this Agreement and Recipient's confidentiality policies. Disciosure of Information to persons other than Recipient's employees requires the Disciosing Party's prior written consent. Recipient shall take al� necessary precautions to maintain the confidentiality of such Information, but such efforts shail be no less than that empioyed by Recipient to protect its own confidential information. All Information disclosed to Recipient shall be and remain the sole property of the Disclosing Party. 18.3 Information that is not Confidential Nothing contained herein shall in any way restrict or impair Recipient's right to use or disclose any Information which: (a) was in the public domain at the time of disclosure or becomes part of the public domain through no fault of Recipient; (b) was already in RecipienYs possession; (c) was independently developed; or (d) was received from a third party without the ob6gation of confidentialiry. 18.4 Term of Confidentiality The covenants of confidentiality set forth herein and the rights and obligations related thereto shall continue for a period of three (3) years from the date of disclosure. 18.5 Public Information Act Requests • In the event the City receives a request covered under the Texas Public Information Act (Texas Government Code, Chapter 552) for Intergraph's Confidential Information, the City will promptly notify Intergraph. Within five (5) days after receiving the notice, Intergraph will inform the City whether Intergraph objects to disclosure of the requested information. If Intergraph does not object to disclosure or if Intergraph fails to respond to the City within five (5) days, the City will be relieved of its obligation with respect to the requested information and may release the requested information free of obligation or liability to Intergraph. This Agreement supersedes any and all prior discussions and/or representations, whether written or oral, and no reference to prior dealings may be used to in any way modify the expressed understandings of this Agreement. Any future representations, promises and verbal agreements related to the products, product features, future product • enhancements, product functionality, or services covered by this Agreement will be of no force or effect unless reduced in writing and made a part of this Agreement. This Agreement may not be amended or modified unless so done in writing signed by authorized representatives of both Parties. 20.2 Order of Precedence In the event of an inconsistency among applicable documents issued under this Agreement, the order of precedence (from the document with greatest control over other documents to the lowest) shall be: (a) the base Agreement; (b) Exhibit A(Pricing Detail and Summary) throught Exhibit E (Harware and Software Maintenance Terms and Conditions); (c) Exhibit G(Intergraph Proposal dated February 23, 2007); and (d) Exhibit F(Wichita Falls Request For Proposals #06-07) supersede inconsistent terms in all other documents. Unless otherwise mutually agreed in writing by the parties, and notwithstanding any terms and conditions of a purchase order to the contrary, the terms and conditions of this Agreement shall apply to any City purchase orders for software, professional services, or maintenance services associated with Mobile products issued to Intergraph after the execution of this Agreement. Terms contained in purchase orders, invoices, acknowledgments, or other correspondence that add new or inconsistent terms to this Agreement are void and of no effect. 20.3 Survival The rights and obligations of the Section 7.0 entitled "Software License", Section 13.0 entitled "Limitation of Liability" and Section 17.0 entitled "Confidential Information" shall survive and continue after expiration or termination of this Agreement and shall remain in effect until fulfilled, and shall apply to any permitted successors and assigns. Upon termination of this Agreement, the � provisions of this Agreement, including those in the preceding sentence, which by their express terms survive termination, shall remain in full force and effect. Page 9 � CONFIDENTIAL t � MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND � CITY OF WICHITA FALLS, TX 20.4 Waiver The waiver by either party of any of its rights or remedies in enforcing any action for breach under this Agreement in a particular instance shall not be considered as a waiver of the same or different rights, remedies, or actions for breach in subsequent instances. 20.5 Severability If any provision of this Agreement is void, voidable, unenforceabie, or illegal in its terms, but would not be so if it were rewritten to eliminate such terms that were found to be voidable, unenforceable, or illegal and such rewrite would not effect the intent of the provision, then the provision must be rewritten to be enforceable and legal. 20.6 Counterparts This Agreement may be executed in one or more counterparts, each of which shall be deemed to be original, and all of which together shall constitute one and the same Agreement. A signature delivered by facsimile shall be deemed to be an original signature and shall be efFective upon receipt thereof by the other party. 20.7 Assignment Neither party shall assign or transfer this Agreement nor any rights or obligations thereunder without the express written consent of the other party. Such written consent shall not be unreasonably withheld. Notwithstanding the foregoing, Intergraph may assign its rights and • obligations under this Agreement without the approval of the City to a third party in connection with a merger, consolidation, liquidation or reorganization of Intergraph Corporation or its wholly owned subsidiaries or affiliates. 20.8 Applicable Law / Disputes The parties agree that for all purposes, this Agreement shall be governed and interpreted in accordance with the laws of the United States and the State of Texas. Venue for any cause of action arising under this contract is Wichita County, Texas. This contract shall, in any dispute over its meaning or application, be interpreted fairly and reasonably, and not more strongly for or against either party. 20.8(a) Settlement Preferred Intergraph and City will attempt to settle any claim or controversy arising from this Agreement (except for a claim relating to intellectual property) through consultation and negotiation in good faith and a spirit of mutual cooperation. The respective project managers will confer and attempt to settle a dispute. The dispute will be escalated to appropriate higher-level managers of the parties, if necessary. 20.8(b) Litigation Any claim relating to intellectual property and any dispute that cannot be resolved between the parties through negotiation within sixty (60) days after the date of the initial project manager meeting, as described above in Section 5.1, may then be submitted by either party to a court of competent jurisdiction in the state courts in the County in which the System is installed. Each party consents to jurisdiction over it by such a court. The doctrine of laches, waiver, or estoppel will not � adversely affect the rights of either party. Page 10 `' \� CONFIDENTIAL , MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND CITY OF WICHITA FALLS, TX � 21.0 LIQUIDATED DAMAGES Intergraph shall be entitled to an extension of working time under this contract only when claim for such extension is submitted to the City in writing by Intergraph. Requests for extensions in time shali be submitted within seven days from and after the time in which the delay was first known to Intergraph. In adjusting the contract working time for the completion of the project, unforeseeable causes beyond the control and without the fault or negligence of Intergraph, including, but not restricted to, inability to obtain supplies and materials, site availability, material design changes, act of God or the public enemy, the City governmental regulatory or other agencies other than the City, fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, unusually severe weather conditions or delays of subcontractors due to such causes beyond their control shall be taken into consideration. The parties acknowledge and agree that the City will incur cost if Intergraph falls more than thirty (30) days behind in meeting the Cutover Dates set forth in the Project Schedule. The parties further acknowledge and agree that the costs that the City might be reasonably anticipated to accrue as a result of such failure are difficult to ascertain due to their indefiniteness and uncertainty. Accordingly, Intergraph agrees that in the event it falls more than thirty (30) days behind in meeting the Cutover date set forth in the mutually agreed upon Project Schedule for the System, it shall pay the City five hundred ($500) per day from the scheduled date of the Cutover until the date the individual Cutover occur. In no event will total liquidated damages exceed five percent (5%) of the total Agreement price. Liquidated Damages shall be waived subject to the Force Majeure provisions of this Agreement, and extensions thereof allowed by the City, or delays caused by the City. The parties acknowledge and agree that the liquidated damages specified herein are the City's sole remedy and Intergraph's sole liability if late delivery should occur. 22.0 SOFTWARE ESCROW • Intergraph shall provide all source code and any updates or fixes for the application software that the City has purchased from Intergraph for safekeeping with Iron Mountain Intellectual Property Management ("IMIPM"); an escrow agent located at 2100 Norcross Parkway, Suite 150, Norcross, Georgia 30071. The software source deposited with the escrow agent will be a snapshot of all source code maintained by Intergraph in the form of a Microsoft Visual Source Safe Archive. In this way, as beneficiary of the escrow agreement between Intergraph and IMIPM, the Ciry will have access to all source code of the products that they license for all versions of the software. Upon taking possession of the source code, the City will have the right to use the source for products that they license in the versions currently installed on the System or any subsequent versions in the archive. Intergraph will make a deposit of the Source Safe Archive with the escrow agent once every six (6) months. The City hereby agrees to pay the yearly s�ndard fee for a beneficiary of the source code. The City shall have access to the source code only in the event Intergraph becomes unable to, or otherwise fails to, maintain the software during the warranty period or during the maintenance period, or if Licensor decides to stop support of the software application(s), or Intergraph becomes bankrupt. Upon the City taking possession of the source code, the City hereby agrees as follows: (1) The City accepts full and total responsibility for the safekeeping of the source code. The City agrees that such source code shall be subject to the restrictions of transfer, sale, and reproduction placed on the software itself as stated in the software license signed by all parties. (2) The City agrees to only use source code related to applications for which they own a license. There will be source from other applications in the archive. (3) The City agrees that any unauthorized release of the source code will cause irreparable � harm to Intergraph. Therefore the City agrees to compensate Intergraph for any and all damages Intergraph suffers, to include reasonable attorney's fees, resulting directly or indirectly from, but not limited to, the mishandling, misuse, or theft of the source code, Page 11 CONFIDENTIAL , , MOBILE SYSTEM AGREEMENT BETWEEN INTERGRAPH CORPORATION AND • CITY OF WICHITA FALLS, TX regardless of intent, or the absence thereof, by the City, its employees, former employees, agents and third-party associates if so ordered by the court. Notwithstanding the foregoing, the City agrees that Intergraph is entitled to an immediate injunction to stop any further alleged or actual disclosure. (4) No license under any trademark, patent, copyright, or any other intellectual property right, is either granted or implied by the disclosure of the source code to the City. Intergraph's disclosure of the source code to the City shall not constitute any representation, warranty, assurance, guarantee or inducement by Intergraph to the City of any kind, and, in particular, with respect to the non-infringement of trademarks, patents, copyrights, or any other intellectual property rights, or other rights of third persons or of Intergraph. (5) Intergraph will not be responsible for maintaining the source code. Furthermore, Intergraph will not be liable for any consequences related to the use of source code modified by the City. 23.0 PERFORMANCE BOND A Performance Bond in the amount of one hundred percent (100°/a) of the contract value in Exhibit A of this Agreement is required for the faithful performance of the Agreement. The Performance Bond shall be provided within thirty (30) days of the execution of this Agreement. The Performance Bond will remain effective until Cutover. RAPH • STATEMENT OF WORK General Project Information The following Statement of Work defines the principal activities and responsibilities of Intergraph Corporation (Intergraph) and the City of Wichita Falls, Texas (City) for the implementation of a Mobile Computing System and Field Reporting System to support the City's mobile operations. The "system" (used to refer to the subsystems, interfaces, and ancillary systems) to be provided to the City is composed of the following primary software components: ► Mobile Computing System (MDS) — for all Mobile communications [I/Mobile] including automatic vehicle location functionality [IlTracker] and handheld devices [I/MobilePDA] ► I/LEADS Field Reporting via CITRIX — for Law Enforcement records keeping ► Advanced Public Safety (APS) Electronic Tickiting and Field Reporting Products (Quick Crash, QuickForm, PocketCrash, PocketForm, PocketQuery, QuickTicket, PocketCitation) ► ZOLL - Fire RMS Mobile - MI Note: This Statement of Work will be revised during the initial project planning phase of the project to include additional details regarding the planned implementation for the APS and Zoll products. • Assumptions This SOW is based upon the following assumptions: ► The work identified in this SOW is considered complete upon live operational/production use [cutover]. ► The City is responsible for purchase, installation, and testing of all mobile hardware including GPS devices. ► Mobile hardware meets the minimum recommendations provided by I ntergraph. ► The City is responsible for purchase, installation, and testing of the mobile/AVL infrastructure. ► The City is responsible for acceptance testing. ► The I/Mobile configuration for any Fire department will not require a query interface to NCIC. ► The City is responsible for required changes in I/CAD and CADDBM to accommodate the addition of the Mobile and Field Reporting subsystems. Changes include any needed modifications to fire or police deployment plans, addition of Mobile users / logins, etc. General Project Management Responsibilities Project management occurs throughout the project and is involved in every task. Please note that both the City and Intergraph will provide Executive Sponsors for the system implementation. These sponsors will communicate on an as-needed basis and will act as escalation paths for their team members, if needed. They will not be involved in the day-to-day project details. • The overall project management activities are listed here for reference. However, the Project Manager identified below will act as a single point of contact at Intergraph, and is assigned and empowered to handle any situation before, during, and extending to after the deployment of the project. If the City feels that tasks are not being performed to the reasonable satisfaction of the City, the foilowing hierarchical escalation process wili be used to ensure that the appropriate personnel of Intergraph are aware of such issue(s) and will assist the parties with resolution. All parties recognize that the Implementation Plan is not formatted chronologically, and the actual project implementation tasks and time lines will follow the mutually agreed to Project Schedule, unless othennrise noted. Task 1: Project Kickoff Task Description: The Project Kickoff is a meeting conducted on site by the intergraph Project Manager. This will be conducted at the City's designated facility. During this meeting, there wili be high-level discussions of the foilowing: / Review the software as defined in Contract Agreement ► A review of Intergraph project team roles, assignments, and support levels ► Identification of City project team requirements ► Process review of how the system will be implemented � 1 City Police Security Badging, Background Checks, and Security Requirements ► Change Order process ► Communication to other personnel who will be involved with utilizing the system • / Facility access (during and after normal business hours) 1 Work space requirements for Intergraph personnel while on site ► Facility tour to be conducted by the City Project Manager 1 Any known schedule constraints ► Discussion of interfaces and the information needed from the City for special interface development Intergraph shall: 1. Provide Project Manager on-site. 2. Work with City personnel in designing and approving of the format of an action item log to be used in conjunction with the Project Schedule. The purpose of the log is to identify outstanding issues, provide continual status updates on specific tasks and to identify responsibilities of the parties. City shall: 1. Provide Project Manager and any other resources that are recommended by the City and Intergraph Project Managers. Upon compietion of the initial schedule, the Intergraph and City Project Managers will review the schedule, and any mutually agreeabie updates wiil be made by the Intergraph Project Manager. It is anticipated that Intergraph witi have a draft final schedule ready for review within five days of completing the project kick-off meeting. The schedule will be updated as required during the course of the project implementation. All changes to the schedule will be mutually agreed upon and, if required, wili be documented via the mutually agreed upon Change Order process. Any schedule changes that occur will be a part of the weekly project status report provided by the Intergraph Project Manager. The Project Schedule will be created and maintained with Microsoft Project 2003. Responsibilities: Intergraph shall: 1. Review with City personnel the identified implementation tasks, priorities, inter-dependencies and other requirements needed to establish the final Project Schedule. 2. Prepare the final Project Schedule document and deliver it to the City. 3. Review the Project Schedule with City personnel and make changes and/or corrections that are � mutually agreed upon. City shall: 1. Analyze with Intergraph project personnel the identified requirements and make such implementation decisions as are reasonably required to finalize the Project Schedule. 2. Review the final Project Schedule and identify in writing any specific deficiencies found within ten (10) business days. Completion Criteria: This task is considered complete upon mutual agreement of the finalized project schedule. Task 3: Project Documentation Deliverables Task Description: Intergraph shall: 1. Provide a Project Schedule—identifies all tasks to be completed during the life cycle of the project, the responsible party for each task and the project milestones defined in the schedule. A draft sample Project Schedule for the City is provided as Exhibit D Contract Agreement 2. Provide a Training Plan--all documents utilized in the training classes are left with the City so they can be used for new operators or for refresher training as needed. � 3. Provide weekly project meeting minutes and Monthly status report. 4. The system product documentation, training documentation, and maintenance documentation is Intergraph's standard documentation and on- line Help files, and this documentation will not be customized to the City's site configuration. 5. Provide an Acceptance Test Plan—mutually developed document between Intergraph and the City. This document is defined to a level that verifies the intent of system functionality is met. 6. Provide a Cutover Pian--describes the tasks that will be hand�ed by intergraph and City personnel during the initial time the system is cutover to "live operations". 7. Provide an Interface Control Document—describes each interface in the system. 8. Provide Mobile System Documentation—provided on-line and includes system administration procedures. Completion Criteria: This task is considered complete upon submittal of the flnalized and City accepted Plans and as-built specification and intertace control documents. Task 4: InterFace Control Documents (ICD's) for I/Mobile Task Description: Initial requirements for I/Mobile-related interfaces are obtained during the Project Kickoff meeting. The goal is to obtain essential information needed to configure the interfaces and identify data information needs for the highly customized interfaces. This will be followed by a separate workshop designed to • finalize remaining interface requirements. The workshop is as follows: ► I/Mobile Configuration Worksh�p During the I/Mobile Configuration Workshop, Intergraph technical personnel will meet on site with the appropriate City personnel to review each of device or external system that will be interfaced to (as listed below), the type of connection and protocol to be utilized (serial, TCP/IP), the type of data to be transferred, and definition of the intertace screen layouts and formats (if applicable). Intergraph will also provide questionnaires to assist in identifying basic configuration needs for each interface. Interface Control Documents (ICD's) will be developed for all interfaces to be developed and implemented based upon the information shared within the workshops. � Interfaces include: ► NCIC/TLETS Interface / I/Tracker for AVL functianality ► APS – SmartExport (RMS) / APS – Virtual Partner Engine ► APS – Quick Crash 1 APS – QuickForm (fncident) ► APS – QuickForm (Suspect) ► APS – PocketCrash / APS – PocketForm (Incident) ► APS – PocketForm (Suspect) ► APS – PocketQuery � ► ScenePD V2 (Transcite Logic Systems) Please note that optional pricing includes interfaces to the City and County Warrants system. Responsibilities: Intergraph shall: 1. Provide questionnaires to assist in identifying basic intertace expectations. 2. Prepare draft ICD's, based on the Project Workflow Analysis and questionnaires. 3. Lead Requirements Workshops, identifying remaining open items and expectations. 4. Write ICD's for City review and approval. 5. For I/Mobile: a) During the I/Mobile Workflow and Configuration Workshop (IPST2502), the I/Mobile Trainer and I/Mobile implementer will spend two days demonstrating all of the basic I/Mobile capabilities and showing how the City's configuration has already been modified to meet the identified needs of the agency (based on observations during the Project Workflow Analysis). b) During these two days, the City's I/Mobile Core Team will make recommendations/requests for additional configuration changes, to ease user training and encourage system adoption. The City team will prioritize requests. c) During the following three days, the I/Mobile Implementer will remain on site, completing all changes that can be made within that time period. As changes are made, the core team members will be asked to review and approve them • d) At the end of the week, the implementer will review the completed changes and any additional requests with the City I/Mobile Core Team. An additional two days of configuration time will be done remotely. Thus, the prioritization of the remaining items will be critical. If the City requires additional time to review and evaluate the desired t/Mobile configuration requirements for the police configuration, the City will document these final configuration changes to Intergraph at least 30 days prior to the scheduled I/Mobile go live date, at which time Intergraph will configure the final I/Mobile software image. e) Approximately two months following the cutover to live operations, the I/Mobile Implementer will return on site. During this visit, the I/Mobile Implementation Lead identifies additional configuration opportunities, based on City feedback and on observation. After conferring with City staff, configuration requests requiring up to two days of labor will be completed, if needed. City shall: 1. Provide detailed schema, protocol, query specifications, as needed, and as available per ��tarface. 2. Provide a Point of Contact for each interface who is knowledgeable of the workflow and data requirements and who has authority to make design decisions. 3. Answer Intergraph questionnaires thoroughly and timely. 4. Act as the primary point of contact with third parties, including other vendors, state agencies, and local agencies that control products and/or databases with which Intergraph products are to be interfaced. 5. Ensure that open questions and design decisions are made conclusively and in a timely fashion. • 6. Review and approve ICD's. 7. Completion Criteria: This task is considered complete when the City has reviewed and accepted the Interface Control Documents (ICD's). Task 5: Software Installation and Deliverables Task Description: The following activities will take place during the course of implementing the system: ► Instail all software (at the locations identified in the Intergraph's response to the City's RFP and the contract pricing detail summary, unless otherwise mutualiy agreed). ► Install final software versions prior to system cutover to live operations. ► Assist City in configuring the Mobile systems to the City's workflow and requirements. Responsibilities: Intergraph Shall: 1. Provide the software as defined in the Contract Agreement. • 2. Hardware that is to be purchased by Intergraph (if any) under the Agreement shall be ordered at a time mutually agreeable to both the City and Intergraph. 3. All Server Software purchased under this c�ntract wiil be instalied o� the se�vers by Intergraph personnel. 4. Insta�l the system client software as follows: a. Mobile: up to ten (10) City-supplied Mobile Data Computers (MDC's), providing instructions and training to City on the Mobile client software installation process. b. Field Reporting: up to ten (10) of the I/LEADS field reporting client and Citrix client software on MDCs, providing instructions and training to City on the field reporting and Citrix client software installation process. 5. Install Initial System Software The Intergraph Project Manager and Implementation Lead will arrive on site to install the system software identified in Project Deliverables Detail Summary The Interface software will be installed and configured on the servers and client workstations based on the information collected from the conflguration workshop. The implementers will ensure the system is ready for training. At this point, the initial Mobile system is considered to be initially installed and available for the subsequent training workshops. 6. Further installations/modifications As with any major technology project, configuration refinements will occur on the system and throughout the project as the City team becomes more familiar with the software and fine tunes the system via configuration changes. • Intertaces requiring significant customization, such as the I/Informer-based interfaces will be installed remotely (via VPN) as part of the development process. These products will use a server-based product that establishes communications with the remote systems and cannot be Wichita Falls, Texas Page 8 of 24 Mobile — Field Reporting Statement of Work Intergraph Proprietary Information . . �IVTERG���H • tested to allow further development until the communication lines have been established between the City and the remote agencies. If possible, these will be ready upon initial installation, but may lag, depending on the timeframe in which test lines can be established and communications can be confirmed. All interface software will be installed and fully configured prior to end user training and system go live. City shall: 1. Instali additional products not purchased under this contract, such as third-party backup software, and any telephony software. 2. Install the Mobile client software on the MDC's after receiving instruction from Intergraph on the client software installation process 3. Confirm that the initial software installation and delivery has been completed by Intergraph. 4. Assist the Intergraph team as they install the software (City Project Manager, System Administrator, and Network specialist) Prior to the software installation, the City Project Manager, System Administrator, and Network specialist will confirm the site is ready for software installation. The following must be confirmed: a) All hardware is in place and on the network and ready for interface and software install b) All interface connections are complete in accordance with the check list supplied c) Sufficient serial ports are ready to support all RS232 type communication for intertaces d) City System Administrator is available for the duration of the installation • Once the Intergraph team arrives to install all software and interfaces, the City Project Manager and Network specialist must be available to assist. Completion Criteria: This task is considered complete when the system software as defined in Project Deliverables Detail Summary are installed on the City's premises and verified by the City's Project Manager to be operating in accordance with standards as set forth within the agreement and this Statement of Work. Task 6: Mobile Interfaces Task Description: The implementation of the interfaces is performed in conjunction with the Mobile implementation and is based on the ICD's described above in Task # 6. After initial interface installation and configuration, described under previous tasks, the expectation is that the interfaces will be exercised during user training, and system testing. Additional configuration changes can be made based on City requests. The intergraph inieRaces Implementation Lead will, where appropriate, provide one-on-one training to the City System Administrator on how to make common configuration changes and on general software architecture and operation. Responsibilities: Intergraph Shall: 1. Install and configure interfaces as described in the Interface Control Documents. • 2. Provide one-on-one instructions on common configuration changes. 3. Make minor additional configuration changes after installation. City Shall: 1. Ensure that preparatory work has been done to establish authorized access to systems to which Mobile is to interface (NCIC, etc.) 2. Verify that physical connectivity has been achieved from City's communication server to remote agency servers. 3. Provide the following values to Intergraph: a) IP address for remote databases b) Socket value for remote systems c) Operator ID's, ORis, terminal mnemonics, as needed by remote systems 4. The System Administrator must work closely with the intergraph team for the duration. Completion Criteria: This task is considered complete when each interface is installed and tested. The operation or availability of the external system or third-party software is necessary for task completion. Task 7: Mobile Data System Product Installation • Task Description: Install and configure I/Mobile, I/MDT and I/Tracker software products. 1/Mobile I/Mobile resides in each MDT and provides the mobile user interface to the I/CAD System and to other mobile MDT's. I/Mobile have the ability to interoperate with the GPS receiver if available. I/Mobile will communicate with the City's existing I/CAD system through the server-based I/MDT product. Messages are sent and received asynchronously. I/Mobile allows units to access a subset of I/CAD commands and provides an interface to external databases for queries such as vehicle license checks. Although certain operations are performed locally at the unit, ultimate event and unit management is performed at the central site. Thus, I/Mobile mainly facilitates and supports the overall I/CAD System. I/Mobile serves as a mobile user interface to I/CAD, empowering remote personnel with abilities to deal with units, events, people, things, and locations. The following depicts the operational context of I/Mobile. The I/Mobile software resides in an MDT in a remote unit, connected by radio to I/MDT, the server-based interface to I/CAD. I/Mobile runs on the Wir.dows 20�JQ Professior�al or later operating system and thus may bz running cancurrently with other software, such as an editor for report capture. I/Mobile does not preclude any additional software from running on the operating system so long as it does not interfere with I/Mobile operation. I/Mobile provides a mechanism to allow: • The I/CAD operator to provide information (especially dispatches) to the unit with I/Mobile • The I/CAD System to automatically provide information to the unit • The I/CAD operator to make inquiries about the I/Mobile unit • The I/Mobile uniYs operator to provide information to the I/CAD System • The I/Mobile unit to automatically provide information to I/CAD, such as vehicle location . • The I/Mobile operator to make inquiries from I/CAD • The I/Mobile operator to make inquiries on external databases such as a vehicle license check • The I/Mobile operator to communicate with other units Wichita Falls, Texas Page 10 of 24 Mobile — Field Reporting Statement of Work Intergraph Proprietary Information . . �� INTERG��N • 1/MobilePDA I/MobilePDA provides support for mobile handheld devices in conjunction with I/CAD. The device can be used as a standalone unit or in conjunction with I/Mobile (IPS0038) as an extension to the primary device used by the mobile unit. When used as an extension, all messages sent to the primary device are also sent to the handheld devices. I/MobilePDA provides a limited subset of the functionality available in I/Mobile. In particular it provides the ability to initiate I/Informer queries, and view the responses, short text messaging, dispatch reports, unit status updates, and officer emergency requests. I/MobilePDA does not provide map functionality. Please note that due to the limited subset of the functionality of I/MobilePDA, separate user training is not provided. I/MobilePDA training is included within the proposed I/Mobile Training course. I/MDT The I/MDT interface product provides a set of standard functions adapted to the needs of the mobile operators and provides the interface between I/Mobile product via the customer supplied wireless infrastructure and the CAD system. Intergraph has bid two I/MDT licenses: • I/MDT: I/Mobile mobile data computer application • I/MDT: I/MobilePDA application for handhelds I/Tracker I/Tracker accepts incoming vehicle location data received from an automatic vehicle location (AVL) controller or from the I/Mobile Data Terminal. I/Tracker functions as an extension to the dispatcher • functionality. I/Tracker periodically sends the latest updated location information to the dispatch environment for map updates of vehicle locations. Certain AVL systems will also accept commands from an external system to control the frequency of location reports from a GPS-equipped unit. I/Tracker sends the appropriate commands to such an AVL system to set the frequency of location reports based upon the uniYs type, the uniYs status, and event type. Provide mobile data terminal software (I/MDT) to provide message routing, logging, syntax translation, and security capabilities for I/Mobile MDC units. 2. Provide mobile data terminal software (I/MDT) to provide to provide message routing, logging, syntax translation, and security capabilities for mobile handheld units. 3. Provide I/Tracker software to AVL provide capabilities for MDC's. • 4. Configure I/Mobile user interface to meet the City's configuration requirements. 5. Provide one-on-one training on I/MDT and I/Tracker to the City's System Administrators. Provide a complete and accurate description of the wireless interface protocol. 2. Participate in the relevant training and workshops as described elsewhere 3. Provide a strong end user based core team to ensure that configuration options are understood and are designed for optimum end user acceptance. 4. Ensure that designated City administrative personnel receive training on the proper installation and configuration of the I/Mobile client software. 5. Provide radio or wireless infrastructure utilizing the TCP/IP protocol for software interface. Completion Criteria: This task is considered complete when all mobile data terminal software has been installed and tested. Task 8: Mobile Data System Customization to MDS Requirements Task Description: During the I/Mobile Configuration Workshop, the I/Mobile implementer and Trainer will participate in interviews of the City field management and staff, to gain an understanding of the City's desires for site specific mobile screen configurations. A questionnaire will also be reviewed to ensure that specific • information is obtained. Based on interviews conducted during this visit, the 1/Mobile Implementer will pre- configure I/Mobile prior to on-site installation. Responsibilities: Intergraph shall: 1. Conduct interviews. 2. Provide questionnaires to assist in identifying basic configuration needs. 3. Conduct the I/Mobile Configuration Workshop. 4. Make configuration changes per City requests: a) Following the I/Mobile Configuration Workshop b) Between the I/Mobile Configuration Workshop and final MDC software loading prior to live operations City shall: 1. Assign a core team of future I/Mobile users (Police and Fire Field Staff primarify, not just command staf�, as well as IT staff who will have the organizational authority and experience to make these decisions for the City. Task 9: Mobile Workflow and Configuration Workshop Task Description: During I/Mobile implementation, accomplishing certain parts of a customer's workflow with I/Mobile may not be immediately evident to the customer themselves. The I/Mobile Workfiow and Configuration Workshop dedicates Intergraph consultants to helping the customer define their workflows using I/Mobile. Before and during this process, specific configuration needs will become apparent, including graphical user intertace adjustments, report formats and other special configuration tasks that may be required to accomplish the customer's operational requirements. These configuration tasks will be designed and possibly completed during this session. When finished, the intent is for the customer to proceed with their I/Mobile user training with the configuration and workflow definition as close as possible to the final, to ensure their users are comfortable and competent with the system. Responsibilities: Intergraph shall: 1. Two weeks prior to the meeting date, provide the City with a list of items to be collected in preparation for this meeting. • 2. During the I/Mobile Workflow and Configuration Workshop (IPST2502), the I/Mobile Trainer and I/Mobile implementer will spend two days demonstrating all of the basic I/Mobile capabilities and showing how the City's configuration has already been modified to meet the identified needs of the agency (based on observations during the Project Workflow Analysis). 3. During these finro days, the City's I/Mobile Core Team will make recommendations/requests for additional configuration changes, to ease user training and encourage system adoption. The City team will prioritize requests. 4. During the following three days, the I/Mobile Implementer will remain on site, completing all changes that can be made within that time period. As changes are made, the core team members will be asked to review and approve them 5. At the end of the week, the implementer will review the completed changes and any additional requests with the City's I/Mobile Core Team. An additional two days of conflguration time will be done remotely. Thus, the prioritization of the remaining items will be critical. If the City requires additional time to review and evaluate the desired I/Mobile configuration requirements for the police configuration, the City will document these final configuration changes to Intergraph at least 30 days prior to the scheduled I/Mobile go live date, at which time Intergraph will configure the final I/Mobile software image. City shall: 1. Provide the City's I/Mobile Core Team and to attend the I/Mobile Workflow and Configuration Workshop 2. Answer Intergraph questionnaires thoroughly and timely. 3. Ensure that open questions and I/Mobile configuration decisions are made conclusively and in a • timely fashion. Task 10: Mobile Data System — Train-the-Trainer Training Task Description: A Train the Trainer training program wili be developed and scheduled for the City and then conducted to thoroughly train the City's end users, training, and administrative personnel on the use of the I/Mobile client subsystem, and City technical personnel on the operation and support of the I/MDT and I/Mobile software. One (1) electronic set of user and technical documents plus one (1) hardcopy for each student will be provided for each installed system. The training will be provided by members of Intergraph training personnel (unless some other arrangement is made by mutual agreement of Intergraph and the City). Responsibilities: Intergraph shall: 1. Provide I/Mobile User (IPST2501) training classes for City Police / Fire trainers, Technical and Training staff members, as presented below and on a mutually agreed to schedule. Training will be provided on all standard shifts, not to exceed 8 hours per 24-hour period. 2. Provide one complete set of printed training materials in the form of reproducible black and white • masters and machine-readable documents in Microsoft Word 2003 or higher format, based upon Intergraph's documentation standard at the time of delivery. 3. Provide technical and user manuals for all Intergraph subsystems in the form of on-line Nelp. City shall: 1. Designate and assign personnel to receive training in groups not to exceed the maximum class size of 12 students. 2. Provide the necessary classrooms, facilities, materials, copies of documentation, networks and lines to data terminals, personal computers and PC operating system software, and related equipment to support training classes. Set up the workstations per Intergraph instruction. This includes one full-function workstation per student, one full-function workstation for the instructor, an LCD, a projection screen, a whiteboard, and connectivity to the server. 3. Ensure that appropriate City personnel are available to actively participate in the scheduled training programs and that they attend the classes in their entirety. 4. Ensure that City personnel to receive training are proficient in the use of Microsoft Wndows functionality. Completion Criteria: This task is considered complete when all scheduled Mobile Data System Training has been completed. The Cutover Plan will assign tasks and responsibilities for both Intergraph and City personnel during the final month before cutover, to ensure that the move to live operations goes as smoothly as possible. This Plan will include such things as City staffing, movement of equipment into final location, final database clean out of test events, issue reporting procedures and planned sequence of events for the cutover day. A Readiness Review meeting will be held with members of the Intergraph and City teams. The final decision to cut over to live operations is ultimately a City decision; however, both . Intergraph and City will review system status and jointly make a recommendation to move into production. Intergraph personnel will assist the City in placing the system into productive use. Intergraph personnel will be on site at least 1 day prior to live operations and will provide post-live cut on-site support for 3 days during the week of cutover. On-going focused Helpdesk phone support will follow on site support. Follow- up reassessment visits will be planned as well. The cutover operation will be supported by the following Intergraph staff: • Project Manager • Mobile Implementation Lead • Mobile Training Lead Intergraph personnel will fine-tune the Mobile software application for optimal performance. City technical personnel will be present to provide support for the system. City training personnel and core team members will be scheduled so as to provide knowledgeable City support to all shifts during the first few days after cutover to live operations in conjunction with the scheduled Intergraph staff, who witl also provide support to all shifts. After live cut over to production operations, the 60-day Performance and Reliability Test period will begin, and the Mobile Extended Software Warranty for 12 months begins. Responsibilities: Intergraph shall: 1. Assist the City staff in placing Mobile into a production status. • 2. Provide technical support for 5 days during the week of cutover. 3. Monitor the initial operation of Mobile and answer any operational questions raised by the City. Completion Criteria: This task is considered complete when Mobile is placed into production operation. Task 14: Mobile Performance and Reliability Testing Task Description: Mobile will demonstrate availability levels for a thirty (30) calendar day Performance and Performance and Reliability Testing period as described in Attachment A-1 of this Statement of Work. • At the end of this test period, if subsystem availability has not met or exceeded this required level, the Performance and Performance and Reliability Testing period will continue until this level of reliability has been demonstrated for at least thirty (30) consecutive calendar days. The Mobile subsystem will be considered "down" if there is a failure of any Mobile software module or component that prevents critical event entry, dispatch or status monitoring functions to operate at a level that allows operation to continue. Functional problems that do not prevent productive use of the subsystem are not considered downtime. Software problems of this type are documented by the City on an "action item IisY' to be fixed during this phase. Downtime will begin at the time that the designated Intergraph contact person has been notified of the failure. The subsystem shall not be considered down during any manual or automated fail-over process, or if it is operational in a backup mode or via replacement with spares, pending the receipt of replacement components and repair of the failed component. Failures in individual communication lines, terminals, workstations, PCs, non-Intergraph PC licensed software, modems, data communications or problems that involve non-redundant or fault-tolerant hardware or remote workstation or terminal sites do not constitute downtime. They will be repaired as expediently as possible, and operations will then continue. Performance and Pertormance and Reliability Testing will not be delayed or interrupted if there are failures in systems that are not the responsibility of Intergraph (communication lines, external databases, etc.). Also, the Performance and Reliability Test and subsystem certification will not be delayed if any user- provided peripheral components encounter a failure or have not been made available for implementation and testing according to the project schedule. Scheduled subsystem unavailability for purposes of software update, performance tuning, file backups and other processes typical in a production environment is not considered as downtime. • The Pertormance and Performance and Reliability Testing process can be temporarily suspended upon agreement between City and Intergraph for scheduled changes, software corrections or upgrades. Responsibilities: Intergraph shall: 1. Identify a point of contact for logging system interruptions that is available during the Performance and Reliability Testing period. Develop and complete a list of "minor" P3 or P4 subsystem problems for delivery to the City within five (5) business days following the completion of Performance and Performance and Reliability Testing. 2. Address and/or correct the "minor" P3 or P4 subsystem problems either during this period or as a part of the Extended Software Warranty period. City shall: 1. Utilize and monitor the Mobile subsystem in a production environment. • 2. Prepare the site as necessary (i.e., ensure communication lines are installed and available, any City-provided equipment and external systems are operational, etc.). 3. Log all functional problems on an "action item IisY' with detailed information as to the sequence of events leading up to the problem, time of day, node name or unit involved, and other such pertinent details. 4. Contact Intergraph personnel in a timely manner in the event of subsystem problems or failures. 5. Begin subsystem monitoring in support of the Extended Warranty period. Completion Criteria: This task is considered complete after Mobile has demonstrated availability levels during the test period for a thirty (30) day Subsystem Performance and Performance and Reliability Test period, commencing at the Mobile Production Cutover. Task 15: Mobile Reassessment Task Description: The I/Mobile Reassessment session is designed to bring the users and managers of the I/Mobile system together with Intergraph system consultants experienced in field Mobile operations. The consultant will conduct structured group sessions to clarify the origina� goals of the project, and will then review present operations on-site and assess how goals and objectives are being met. This information is the core of additional group sessions to determine if progress is satisfactory or if adjustments must be made to goals and priorities. Recommendations will be made as to any configuration changes that should be made to accomplish the goals and objectives, or other requests as they arise. These recommended system • modifications may be accomplished during the week, depending on the scope and complexity of each item. Further implementation work may be required to pertorrn more complicated recommendations, and these will be part of follow-on work provided during subsequent visits or contact. At the successful completion of this sixty (60) day Performance and Reliability Testing period, the I/Mobile subsystem (inclusive of all software products purchased as listed in Exhibit A of the Agreement) will be deemed accepted and payment will be made as outlined in the Agreement. Successful completion of the sixty (60) day Performance and Reliability Testing period will be achieved thirty (30) days from Cutover based on the stipulations outlined below. Should there be questions regarding the priority level of an issue, such priority level will be mutually agreed upon by the City and Intergraph. Final Acceptance of the System will not be unreasonably withheld for errors noted below as P3 and P4. Error Level 1(P1) — Critical system errors which are defined as, Loss of Data, Corruption of Data, or Loss of Productive Use of the System. In the event this type of error occurs, the City will immediately notify Intergraph and the sixty (60) day Performance and Reliability period will be cancelled. Intergraph personnel shall promptly resolve the problem at no additional cost to the City and a new sixty (60) day Performance and Reliabiliry period will begin. Once the system operates for 30 consecutive days without an Error Level 1, sixty (60) day Performance and Reliability test will be completed. Error Level 2(P2) — Critical errors which are defined as the primary purpose of the Intergraph • Application Software (or Module) is compromised, productive use of the System is significantly impacted, a procedural workaround is not immediately and readily available or has significant operational impact. In the event this type of error occurs, the City will immediately notify Intergraph and the thirty (30) day Performance and Reliability period will be suspended. Intergraph personnel shall promptly resolve the problem at no additional cost to the City, and the sixty (60) day Performance and Reliability period will resume. Error Level 3(P3) — Non-critical errors which are defined as incomplete operation of system where a procedural workaround is readily and immediately available, and productive use of the system is not significantly impacted on software or operations. In the event this type of error occurs, the City will immediately notify Intergraph, but the sixty (60) day Pertormance and Reliability period will continue. If possible, Intergraph shall resolve the problem during the sixty (60) day Performance and Reliability period, but if necessary, resolve in a future bug fixes release of the product. Error Level 4(P4) — Cosmetic errors which are defined as configuration issues that can be corrected by the City, data integrity issues that must be addressed by the City, help file documentation errors, or enhancements that can be made in the future to the presently installed System. Error level 4 delects wili be remedied within a future software fixes release. If, during the sixty (60) day Pertormance and Reliability period, the system is deemed non-operational by the City due to P1 or P2 errors, the Extended Warranty period will either be cancelled or suspended as identified above. The City may choose to stop use or use whatever operational portion that may be available. An upgrade to Oracle 10gR2 will be performed as part of the upgrade configuration. • Intergraph and the City will review the SOW and determine a mutually agreeable date for the training and workshop services to be performed. • City-specific changes that were pertormed as a part of the original contract or that have been added since the original c�ntract and are covered by a current Intergraph Maintenance agreement will be upgraded. • The interface protocol has not changed from the existing implementation. • The interface switches have not changed from the existing implementation. • The interface functionality has not changed from the existing implementation. • Intergraph applications and interfaces will be upgraded to the latest patch version of the 8.1.x release applications. Installation Services Intergraph will provide the City wit h on-site installation services for software upgrades to the latest versions of the Intergraph products. The CAD and RMS test servers which will be used for functional and end user tests will be upgraded remotely by Intergraph personnel several months in advance of the go- live dates. The live CAD and RMS servers will be upgraded simultaneously in one on-site visit by Intergraph personnel. During the upgrade, the City will experience downtime. Intergraph will endeavor to minimize downtime; however, the City should be prepared to support manual operations. The following represents the installation services covered by this SOW: a) Application loading and configuration building with onsite implementation and project management resources for CAD and Interfaces for initial production load of Intergraph applications on existing test server hardware. • b) Application loading and configuration building with onsite implementation and project management resources for I/LEADS RMS for initial production load of Intergraph applications on existing test server hardware. c) Site Acceptance Test review with onsite implementation and project management resources for CAD and Interfaces. d) Site Acceptance Test review with onsite implementation and project management resources for I/LEADS. e) Go-Live Week with onsite implementation and project management resources for CAD and Interfaces. fl Go-Live Week with onsite implementation and project management resources for I/LEADS. g) Remote dedicated resource support of all Intergraph applications for one (1) week after the upgrade for CAD, I/LEADS RMS, and all related interfaces. City Responsibilities • The City is responsible for completing the Oracle database backup and all Application, Communications and Archive Servers prior to the upgrade. • The City is responsible for ensuring that the server operating system and workstations operating systems are at required levels. This upgrade does not include an upgrade of the OS. • The City is responsible for completing the client installation for the Intergraph application software (Intergraph will install ten clients). • The City is responsible for providing Intergraph with a database dump in accordance with the • draft upgrade schedule as depicted in Exhibit D of the Agreement. In case of different LANs for each system, the proper trust and communication should be in place between the LANs. • The City is responsible for ensuring that network and subject matter expert support is available during the on-site upgrade. • The City is responsible for providing Intergraph with a I/LEADS database export in accordance with the draft upgrade schedule. • The City is responsible for a communication plan, ensuring that all personnel are aware the upgrade will be occurring and to expect potential down time for CAD, I/LEADS RMS, and all InterFaces. • The City is responsible for providing the Intergraph staff with client machines with direct access to the servers throughout the upgrade process, as well as unlimited access to all involved servers. • • The City is responsible for testing software prior to live operations on the new versions. • The City is responsible for providing Intergraph with a training area with Instructor and student workstations. Intergraph recommends a maximum of two students per workstation. • The City is responsible for providing a training area with a white board and projector. • The City is responsible for loading all client software on training workstations and insuring that all workstation are connected to the training LAN and database. • The City must insure that all training workstations and servers are operational prior to the agreed start of training classes. I/CAD Upgrade Intergraph will provide services to upgrade I/CAD products listed above. The CAD and CAD interfaces confguration will be upgraded remotely �y Intergraph with the assistance of City personnel. The test client configurations will be delivered by Intergraph but will be installed by the City with remote assistance from Intergraph. Once the test system is upgraded, the City will have several weeks to test the new software and then Intergraph will conduct delta training. Intergraph will provide five (5) days of remote assistance for upgrade prep and help with issues resolution prior to the upgrade of the live system. Intergraph personnel will be scheduled for a single site visit to upgrade the live system. The CAD and LEADS upgrades will occur during the same week. Intergraph personnel with assistance from the City will upgrade the I/Dispatcher workstations. • I/CAD downtime is typically four hours or less. Interface downtime may be considerably longer, but typically less than 24 hours. Such services will be provided in accordance with the Scope of Support as specified below in Section 3.0, or if applicable, an additional separately executed Scope of Support. Ninety (90) days prior to the expiration date of warranty period, extended warranty period, or any twelve (12) month Maintenance coverage period, Intergraph will submit to the City a quote, which includes pricing for the upcoming twelve (12) month period. The City must provide Intergraph with written notice of intent to either terminate coverage or agree to the rates and terms of the quote by providing a purchase order. If City fails to provide written notice of intent, Intergraph will, at its option, either assume the Ciry has accepted the offer, or terminate coverage. 2.0 CHANGES Maintenance Services can be changed or modified in one of the following ways: • a) During the Maintenance period, Intergraph provides a thirty (30) day written notice of their intent to remove any individual product(s) from coverage under this Agreement. b) Ivotwithstanding Section 14.0 of the Agr2ement, the City may remove software product(s) from Maintenance coverage at the end of the twelve (12) month Maintenance period. Maintenance may not be terminated for individual software licenses that have been installed multiple times at one site or for software licenses that are being used interdependently from one site. c) Any other changes or modifications must be by mutual written agreement. 3.0 SCOPE OF SUPPORT Support will be provided to the City by Intergraph's Huntsville, Alabama, office via a Customer Support Center staffed between the hours of 7:00 AM until 7:00 PM Central Standard time, Monday through Friday, with call-back support for after-hours, holidays, and weekends. 3.1 Intergraph Premium Software Service Software support will include and is limited to the following for all software products listed on Exhibit A: a) Telephone support line service, which provides software support requests, answered by Intergraph support engineers for product specific technical needs and problems. b) Support services are limited to specific products as shown on Exhibit A functioning on the appropriate Intergraph supported operating system. c) Upon the City's request, Intergraph will provide upgrades (excluding installation), for • which Premium Service has been purchased. Upgrade(s) refers to subsequent releases to the software products covered under the Agreement. For Intergraph interface products under Premium Service there is an additional time and material charge, at Page 18 CONFIDENTIAL . . Premium Service does not include MicroStation support. MicroStation support options are available and must be purchased directly from Bentley. 4.0 AGREEMENT ADDITIONS In the event the City purchases additional products direct from Intergraph during the term of this Agreement, Intergraph will notify the City by submitting, in writing, a quote or amended Agreement reflecting the additional items, effective date(s) of service, and charges for those items under the terms and conditions of this Agreement. Unless Intergraph receives written notification declining service from City within thirty (30) days of the date of the Quote or amended Agreement as described above, support services and the appropriate monthly charges will begin on the effective date as shown on the Agreement or quote. 5.0 CHARGES Maintenance charges are due annually in advance and are payable in full by the first day of the Agreement or any subsequent renewal thereof. The Maintenance charges shall begin on the first day of the month. A full month's Maintenance charge will be invoiced for any partial month's utilization. Services on products added to this Agreement for any period of time less than one (1) year shall be due and payable in full on the date that the product is added to the Agreement in an amount prorated on a daily basis for the • remainder of the Agreement period. In addition to any other remedies Intergraph may have, payments not received thirty (30) days from date of invoice are subject to interest dccrued at one and one-half percent (1 '/�%) per month or the maximum allowed by law. 6.0 EXCLUDED SERVICES Services provided by Intergraph outside the scope of and/or specifically excluded from this Agreement will be invoiced at then prevailing rates, which will be quoted separately. Software Support provided by Intergraph under this Agreement shall not include support calls that are necessary due to failure of software not supplied by Intergraph and not covered in this Agreement. Support services are limited to specific products as shown on Exhibit A, functioning on the appropriate Intergraph supported operating system. Software support for the following may be available under separate Agreement at an additional charge: . Network configuration support for third party products not sold to the City by Intergraph • System Tuning and Optimization • Installation of Software Upgrades, Fixes or Releases • Programming development • All Customization Intergraph is not responsible for: a) Software malfunctions caused by uses other than ordinary intended normal use as set forth in Intergraph's applicable specifications. • b) Movement or rearrangement of Equipment after initial installation. IMPORTANT NOTICE: The City should back up the software and data on the System's hard disk drive(s) and on any other storage device(s) in the System. Intergraph is not responsible for any loss of such software or data. 7.0 CITY RESPONSIBILITY During the term of the Agreement, the City shall commit to the following: In the event the City should purchase additional software license(s) through an authorized reseller, or through any other manner, the City agrees to notify Intergraph of the acquisition of the software licenses(s). In response, Intergraph will provide the City with a quote/modification to this Agreement reflecting the additional effective date of services and charges for that software license(s) under the terms and conditions of this Agreement. The City warrants that for all software licenses supported under this Agreement, all like software licenses in the possession of the City and located at the City's site referenced on this Agreement are listed on Exhibit A. The City also warrants that all prerequisite software licenses necessary to operate the software supported under this Agreement are listed on Exhibit A. 8.0 LAPSE IN MAINTENANCE COVERAGE Reinstatement or certification fees may be applicable if there is a lapse in maintenance service. • Intergraph will provide a quotation upon request. 9.0 SUBCONTRACTING Intergraph reserves the right to provide the services as set-forth in this Agreement through a sub-contract arrangement with a Third Party maintenance provider.
