ORDINANCE OF THE CITY COUNCIL OF THE CITY OF WICHITA
FALLS, TEXAS, APPROVING AMENDMENTS TO AGREEMENTS
BETWEEN THE WICHITA COUNTY - CITY OF WICHITA FALLS, TEXAS
HOSPITAL BOARD AND UNITED REGIONAL HEALTH CARE SYSTEM,
INC.; AUTHORIZING THE CITY MANAGER TO EXECUTE SAME AND
FINDING IT IN THE BEST INTERESTS OF CITY RESIDENTS TO
ALLOW CONSOLIDATION OF HOSPITAL SERVICES; FINDING AND
DETERMINING THAT THE MEETING AT WHICH THIS ORDINANCE
WAS PASSED WAS OPEN TO THE PUBLIC AS REQUIRED BY LAW.
WHEREAS, the City Council has been presented with amendments to
agreements between the Wichita County - City of Wichita Falls, Texas Hospital Board
(the "WCCHB") and United Regional Health Care System, Inc. ("URHCS"), specifically
consisting of a First Amended Master Agreement, First Amended and Restated Lease,
First Amended and Restated Sublease Agreement, Second Restated and Amended
Management Contract and Lease Agreement (collectively the "Amendments"); and,
WHEREAS, this City Council has previously been informed of and considered
significant developments in the operation of URHCS and the facilities generally known
as Wichita General Hospital and Bethania Hospital, including the purchase by URHCS
of real estate and improvements from the Holy Family of Nazareth Ministry of Wichita
Falls, a non-profit corporate embodiment of the health care ministry of the Sisters of the
Holy Family of Nazareth, formerly known as Bethania Regional Health Care Center, Inc.
(the "Sisters"), which transactions are also reflected in the Amendments; and,
WHEREAS, at its meeting on April 11, 2007, the WCCHB approved the
Amendments and the transactions and arrangements contemplated thereby, and
recommended to the City Council that it approve the Amendments and the transactions
and arrangements contemplated thereby.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE
CITY OF WICHITA FALLS, TEXAS, THAT:
SECTION 1 . The execution of the Amendments, and consummation of the
transactions and arrangements contemplated therein, are in the best interests of the
City of Wichita Falls, Texas, and the forms, terms and provisions of the Amendments
are hereby approved in all respects.

SECTION 2. The City shall enter into the Amendments for the intended
purposes specified therein, and the City Manager is hereby authorized to execute and
deliver the Amendments on behalf of the City of Wichita Falls, Texas, with such
changes, deletions and additions as the City Manager may deem necessary,
appropriate or desirable to accomplish the transactions and arrangements
contemplated in the Amendments generally in accordance with terms, intent and tenor
of the forms presented to the City Council, and in order to carry into effect the purposes
and intent of these ordinances, with the City Manager's determination to be conclusively
evidenced by the City Manager's execution of the Amendments.
SECTION 3. The City Council acknowledges that the hospital services and
other functions previously conducted at Wichita General Hospital shall, in accordance
with a hospital campus consolidation plan developed by URHCS and implemented with
the oversight of the WCCHB, result in Wichita General Hospital ceasing to provide
clinical functions and ceasing to serve as a hospital, with such services and functions
thereafter to be conducted by the expanded hospital campus on 11 Street, and that
the interests of the WCCHB in Wichita General Hospital will be transformed into an
interest reflected in the Amendments and in Articles of Incorporation and Bylaws of
URHCS. The City Council finds that the cessation of operations at Wichita General
Hospital and consolidation of the services and functions previously carried on at Wichita
General Hospital into the 11 Street campus, as contemplated in the Amendments and
in campus consolidation proposals by URHCS, are in the best interest of the residents
of the City of Wichita Falls, Texas, and are hereby approved and ordered for the
purposes of Health & Safety Code Section 265.071.
SECTION 4. It is hereby officially found and determined that the meeting at
which this ordinance was passed was open to the public as required by law.
