RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA
FALLS, TEXAS, AUTHORIZING THE TRANSFER OF LOTS 3
THROUGH 5 AND THE EAST ONE-HALF OF LOTS 1 AND 2, BLOCK
163, ORIGINAL TOWNSITE, TO THE HISTORIC HOLT HOTEL L.P.;
FINDING AND DETERMINING THAT THE MEETING AT WHICH
THIS RESOLUTION WAS PASSED WAS OPEN TO THE PUBLIC AS
REQUIRED BY LAW.
WHEREAS, the City is the owner of the above-described property; and,
WHEREAS, the development of the Holt Hotel project is included in the Tax
Increment Financing Plan for the downtown area, as adopted by the City; and,
WHEREAS, the conveyance of this property will provide economic development
in the Tax Increment zone; and,
WHEREAS, the conveyance of this property at less than fair market value is
authorized by Chapter 272 of the TEXAS LOCAL GOVERNMENT CODE.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS, THAT:
SECTION 1. In consideration of the receipt of Ten and No/100 ($10.00) Dollars,
this resolution shall authorize the City Manager to execute the attached Deed Without
Warranty to the Historic Holt Hotel L.P. for Lots 3 through 5 and the east one-half of
Lots 1 and 2, Block 163, Original Townsite.
SECTION 2. It is hereby officially found and determined that the meeting at
which this resolution was passed was open to the public as required by law.

Property: Lots 3 through 5 and the east one-half of Lots 1 and 2, Block
163, Original Townsite, an addition to the City of Wichita
Falls, Wichita County, Texas, according to the plat of record
in Volume 4, Pages 1-4, Wichita County Plat Records.
WHEREAS, the development of the Holt Hotel is included in the Tax Increment
Financing Plan adopted by the City; and
WHEREAS, the conveyance of this property will directly support the
development of the Holt Hotel.
THEREFORE, IN CONSIDERATION OF THE PREMISES, the covenants set
forth below and the sum of ten and more dollars paid by the Grantee, the receipt and
sufficiency of which is hereby acknowledged, the City of Wichita Falls has GRANTED,
SOLD AND CONVEYED, and by these presents does GRANT, SELL AND CONVEY,
to Grantee the above-described real property, subject to the following terms,
reservations, restrictions and conditions:
(1) This conveyance is subject to all valid restrictions, covenants, conditions,
rights-of-way, easement and other reservations, if any, affecting the
above-described property.
(2) This conveyance is made, and Grantee accepts the same WITHOUT
WARRANTY OF TITLE, either express or implied.
(3) Grantee accepts the property herein conveyed, "AS IS" AND WITH ALL
FAULTS.
