RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA
FALLS, TEXAS, AUTHORIZING THE CITY MANAGER TO SIGN A
LEASE /LICENSE AGREEMENT WITH LANDFILL SERVICES
CORPORATION TO LEASE EQUIPMENT TO APPLY AN ALTERNATE
DAILY COVER AT THE CITY OF WICHITA FALLS LANDFILL; FINDING
AND DETERMINING THAT THE MEETING AT WHICH THIS
RESOLUTION WAS PASSED WAS OPEN TO THE PUBLIC AS
REQUIRED BY LAW.
WHEREAS, the City of Wichita Falls will experience a negative soil balance at
the landfill requiring the city to purchase dirt, and
WHEREAS, the City of Wichita Falls desires to obtain and use and alternate
daily cover material, and
WHEREAS, the Landfill Services Corporation is able to provide an alternate daily
cover system (Posh ll® Cover System) approved by the TOED.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS, THAT
SECTION 1 . The City Manager is authorized to sign the attached Lease /License
Agreement (and addendums) with Landfill Services Corporation,
SECTION 2 . It Is hereby officially found and determined that the meeting at
which this resolution was passed was open to the public as required by law.

STANDARD CONDITIONS
This Lease /License agreement is subject to the standard conditions specified on the
attachment. Licensor shall provide to the Licensee a three day training program on the

ADDENDUM TO AGREEMENT
180 DAY REGULATORY TRIAL AND EVALUATION
This agreement, dated 2005, is an addendum to the executed
License and Lease Agreement by and between The City of Wichita Falls and Landfill
Service Corporation for use of the PosiShell® Cover System at the Wichita Falls
Landfill in Wichita Falls, Texas. This addendum provides additional rights to the
Licensee to cancel the License and Lease Agreement and to the extent thereto
supercedes the License and Lease Agreement annexed hereto.
WHEREAS, the Posi - Shell® Cover System will be an innovative technology not
having had regulatory evaluation for use at the Licensee's facility ; and
WHEREAS, the regulatory agency having jurisdiction over the Licensee's facility
may require that an evaluation be done of the Posi-Shell® Cover System as It functions
at the Licensee's facility, and
WHEREAS, the Licensee is desirous of having the right of cancellation should
the appropriate regulatory agencies find that the Poe - Shells Cover System is not an
appropriate system to be utilized at the Licensee's facility.
The Licensor and Licensee agree that the Licensee shall have a one- hundred-
eighty (180) day period to cancel the License and Lease Agreement if it is Informed in
writing by the regulatory agency having jurisdiction over the Licensee's facility that the
Posi - Shells Cover System is not an appropriate or proper system for use at the
Licensee's facility. This cancellation may only be effectuated after Landfill Service
Corporation has opportunity to visit the Licensee's facility to ensure that the Pas[ Shells
Cover System has been used in accordance with manufacturer's specifications.
Cancellation may be effectuated by the Licensee providing the Licensor written
notice of Its cancellation together with a copy of the regulatory authodly's written
advisement as to the use of the Poe - Shells Cover System, by cribbed mail, return
receipt requested, with the date of said cancellation being the date of the post mark of
said written notice.
In the event cancellation is not exercised within the one - hundred -e[ghry (180)
day period, the right to cancellation shall expire. In the event of cancellation, the
License shall not be entitled to any refund for equipment rental, materials or
mobilization /demobil[zation /training payments previously made.

the License and Lease Agreement prior to the delivery of the Pop - Shell® Cover System
equipment.
Cancellation may be effectuated by the Licensee providing the Licensor written
notice of its cancellation by cedided mail, return receipt requested, with the date of said
cancellation being the date of the postmark of said written notice.
