Resolution Authorizing The Purchase Of Inspection Services From
Pressure Pipe Inspection Company For The Leak Detection And
Video Inspection Of Segments Of Critical Pipeline Within The City In
The Amount Of $119,000.00
WHEREAS, the City of Wichita Falls reviewed the capabilities of pipeline
inspection firms for the performance of leak determination and video inspection of
identified pipeline segments within the City; and
WHEREAS, the video inspection capability was found to be a limiting factor in the
selection of the vendor; and the City Council desires to inspect the interior of certain
critical pipelines and determine leak locations.
WHEREAS, the City Council finds this expenditure is exempt from the
requirement for competitive bidding pursuant to Tex. Local Gov't Code § 252.022(a)(2)
because it is a procurement necessary to preserve and protect the public health or
safety of the residents of the City of Wichita Falls.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS, THAT:
The City Manager is authorized to execute the attached Agreement for Leak
Location Services, with changes thereto in a form approved by the City Attorney, in the
amount of $119,000.00.

PPIC Re.�onsibilities — PPIC shall be responsible for:

• Providing tt�e CJient with a("�st of lacations wt�ere tt�e Sahara� equiprrient will be
inserted Into the pipellne, as well as minimum dearanae requtrernents for tfie

• Prwiding the Cient with a 6st of locations where additional 2" taps (if nec�sary)
will be required for insertion of the Sahara� equipme�rt
• Providing the CNent with tt�e minimum flow velodty that will be required for the

• Conduc�ing a one (1) day o�site meeting witfi tfie CJient prior to the inspection bo
evaluabe if tt�e insertion sites are suPfxier�riy prepared for equipment hsertion

1.2. Clierrt Responsibilities — The Client shall be responsible for:
• Pr�ng information about tfie pipeline to PPIC at least three (3) w�eeks prior to
tt�e inspection dabe induding, but not neo�ssarily limited b�, desired insertion
fo�ons identified on the PPIC d�awing review, plan and profile drawings, lay
sheets, shop drawings, manufacburing de.tails, and details of aocess structures,
air vahies, blawofTs, and main line valves .
• Providing PPIC with the minimum and maximum flow velocities and pressures '
tt�at tfie pipeline operat�s � as per the PPIC drawing review
• Preparing and/or rr'�oafyin9 ��9 P�P�ine fittirgs and strudures as indica�ed
by PPIC to a000mmodate insertion of the Sahara� equipment
• Providing additional 2" taps if nec.essary fnr irisertion of the Sahara� equiprnent

1.3. Time and Availability — PPIC shall make staff available as necessary bo meet the
schedule defined in the project Plan. During the inspection, the PPIC uew shall
work up to 10 hour working days, and spend up fio a botal of 10 days onsite.
1.4. Reports — PPIC shall deliv� a detailed Drait Report to the Client wittain three (3) �
weeks aPoer oompletion of the lr►spect3on. The Draft Repoit shall describe the
Sahara� tedmology and its limitada�s, dscuss the projed in ger�eral t�erms, idenfify
the locations along the pipdine where leaks were located with respect to ead�
insertion site, and estimate the size of eadi leak as small, medium, or large. The
Draft Report will be deliwered ln �+onic fom�at for the Cfient m review for up bo
ftve (� bt�siness days and provide oomments to the PPIC Project Manager for
indusion into t�e Fnal Repott APoer flv�e (� btainess days tl�e Draft Report wi!! be

The Finat Report will be delivered in both electronk and harcl oopy fnrrr�s, and if
adequabe survoey 000rdinaUes of tt�e shvcbures and pipel'ine are availabie or c�n be
obtained during the inspection, it rnd� intiude an ele�ronic, spatialfy-enabied
da�tabase of the sect�on of pipe6ne ir�spected with a software app�cal3on for
acoessing the database.

2. Terms
2.1. The temis and prioPS listed in this Agreement wi1 be t�onored for 90 days from the
date shoNm in tfie PPIC Agreement Numbe�' on tlte aover page, after wt�ich tlme the
tenru and prices ere subjed to charge if the Agreement has not been sigr�d bY
tlien. This Agreement shall beoorr�e e�fedive when both parGes ha�ve sigrtied and
shall ti�en rerr�ain in � un61 all tasics have been completed, or is terrr�nated bY

3. Compensatlon and Payment

3.2. Payrr�ent Scfiedule
31.1. Mobllization — 6096 of tt�e amount Ilsted in 3.1.1 witl be irnoioed upon
mobilizaUon of tt�e Sahara� equipment to tfie jobsite
3.2.2. Inspection — 309�6 of the amour�t Nsbed in SeCtion 3.1.1(and 3.1.2 if applicable)
shall be irnoiced upon completion of ti�e field ir�spaction
3.2.3. Report — the remaining 1096 of tf�e amount (ist+ed in Sec�on 3.1.1 (and 3.1.2 if
appl'�cable) shall be invoiced upon delivery of an electronic oopy af Lfie Draft
Report desaibed in Section 1.5.
3.3. Delays — PPIC aews will normally woric an 8 hour working day. For this irupection
the PPIC crevvs wiA be prepared b� work up to 10 haus per day and PPIC wNl
schedule 10 workir►g days onsite for tl�is inspection. If addit�ional time is requir+ed in
ti�e field due bo delays that are beyond PPICs r�sonable oorrb�d, tfiat time shall be
subject to an additional dx�rge of $1,100 per hour for time sperrt in e�coess of 10
hour working days (up Go 15 hr/day maximum), and/or #13,200.00 per daY for exb'a
days onrer tt�e 10 days allotted.
3.4. Payment terms — Payrr►e�s are net 30 days frorn date of irnroioe, and a flnance
diarge of 1°rb wiN be added for each month an invoioe remains ur�aid afte�' 30 days.

herein Pxdusively, and shall not share any of tfiis Inforrriation wltl� arry dt�er party
vvftl�otrt the wrtitten oot�sent of the C!'�K. In add'�tion, PPIC may pt+ovide oo�ide�a�
information regarding iCs technologies bo tt►e G�ient during tt+e oour�se of t3�e work
desvibed herein. The Clierrt agrees to use this ir�fom�ation for their own fv�awledge
exdusively and st�all not share arry of tfii.s inforrnation with arry othe� party witi�out
the wri�tten ao�uent of PPIC
6. Special Co�didons
6.1. Independent C.ontracbor — PPIC is an independent contractor and is not an
employee. Partr�er, or arry otfier seivioe r�tior�ship with the Clie►�t. As an
independer�t c�ontracGor, PPIC has the auttwrity to coMrd and direct the
pe�fortnarioe of the details of the work desQibed herei�, t►ow�e+ier, the rPSUlts of the
work must meet the approval of the CIieM.
6.2. I�ellect�sl Praperty — To perfartn the work desc�ibed herein, PPIC will use
speciatized equipn�er�t bo oollect data from the Client's pipetine, and proprietarY
softvrare to anatyze tt�ese data. AN da�a wiil be tt�e sole {xoperty of PPIC upon
oompletion of tl�e w�ork.
6.3. Sahara�' Limitations — The Sahara� e�quiPmeryt is ireerted irito ti�e pipefine and is
propelled along tt�e pipeline by tt�e flow of wat�. Cw►sequenti�+ tf�ere are some
requfrelner�ts and r+�stridions for where tlie tiedmdogy can be used. The Sahara�
equipment requires a minimum flow v�Jodty Lo move it tt�rough the pipeline, which
is deper�dar�t on a number of factors indudin9 P�Pe tYPe. P�Pe diamete�, rwrr►ber of
and cumu{ative degree of bends in the pipdine, and a�fier factors. The minimum
flow vdocity required for this project wi11 be defir�ed in the project plan, but vn11
nom�ally be betvMeen 1 and 5 feet per second. The Sahara� equipme� is also
limibed to a maximum preswre that it can be inserted irmo and can not pass through
�in types of vahies. Ttus maximum p�sure is also de�endar�t on a number of
factors but 200 psi maximum should be u9ed as a guidduie. The Sahara�
equipment is not able bo pass through butterfy vaives, or partlariy opened i�ai1, piug,
oone, or gate vahres.
PPIC can not guarantee tt�e distanoe to be inspec�ad. Shorter wrvey d'�stanoes can
be expecGed if operating oonditions af tt�e pipeline are ouCSide ot ti�e parameters
spec�Red in the Pr'oject Plan, o� if there are restricbons, sudi as vaNes or other
obstades tt�at predude the equipment from moving fredy through the pipeline.

Every �ort will be made to ide�fy tt�ese restnctions pnor to the inspec�ion and
PPIC will strive to ir�spect the er�tire section of pi�ne that is desired by the Qierrt.
The Sahara operabor is capable of eslimating the size of �ch leak in terms of
srnall, medium, a[arge. and pn not at the pr�'it time quarrtify the amount of
water Ieaking at any location.
7. Execvtlon and Termination
7.1. Exea�t'Jon — This Agreemerrt must be �cea�bed at least two (2) weelcs prior t�o tlie
inspection da�te or a IaRe charge of $4,400 will be applied b� cover the ir+craased
mobilization and scheduling costs.
7.2. Termina�Jo� — The Client may at arry time, by writt�er► r�otice, terMnate this
qg�mer� wlth PPIC. 7t�e CJient shdil retnain Gable for and shall pay PPIC for a!{
servioes rendered up Lo the date of bermiretion, indudirg per�or�nel and equfpmer�t
r�escFteduling. If payrr�er►t of invoioes �y tt�e Clfent is not maitrtained u+rtent, PPIC

txnught currer�t. Tt+e Client agrees tio indemnify ar�d hdd PPIC harmless fi�om any
daim or liability resulting from wd� suspension.
7.3. Late Termination Penalties — If the Olent terrNnates tt�is Agreement witt�in two (2)
weeks of tt�e agreed inspection da�be, r�ng in ir�curred rnsts or lost opporttx�ities
for PPIC, a late terrnlnatian penaRY of 1096 of the Agreemer�t value shall be irnoiaed
eo tt�e C�ier►t.
8. Post Pr'oject Sup�pDrt
8.1. PPIC will provide wpport and ans�n'er questlor�s regardin9 tr+e inspedion and Rnal
Report for up b� 30 days from tfie date that the Final Report is deliver�ed, at no
additional oost. Support wlll oo�rnie to be available aRer the 30 day period,
however, a fee of #110 per hour pius e�ses may apply dependirg on the Iev�J of
support requlred.
9. Gene�al Provfsfons
9.1. Agreement — These Gerra�l Provisions and this Agreerr�ent cor►stitube tt�e full and
oomplete A�reement of tt�e pacties and cnay be amesKled, added Lo, superseded, or
warved only if bdh p�rties spedflcaiy deflne in writing an of�idal amendmerrt of tt�is
A9reeme�.
9.2. Right of Errtry — When entrY � P�P�tY ��luirod by the work. tt►e Client agrees to
obtain arry required legal-right�f entry on the property at no o�st to PPIC.
9.3. Doaxr�enCs — All notes, be�t data, calcvlatfot�s, and other inforrriation ger�erated bY
PPIC are ir�strurr�ts of PPICs serviae tt�at shaN remain PPICs prope+ty. The CGem
agrees not bo use PPIC generabed documents for e�cbernal use without PPICs expr'ess
vrritten perrnission.

safe for the serv�oes induded in tfiis Agr+eemerit, induding lodcing and tagging
pumPs, valves and motors; de-watering areas b� pelmit rriove�nent af persons and
equipmer� vector and roderrt oontrd; vpr�tilatia� and moniboring of air qual'ity;
prepanng entry permits; pra�viding personnel and equipment for oorr►municadon and
�covery; and meeting tt�e requirements of federal and local government authorities.
9.5. Standard of Care — PPIC and its subsfdiaries, ir�dent pr'of+essional associabes.

or�narily pradioed under similar dreumstar�s by engir�s, sdentists, and other
professionals providing similar services. Clierrt agrees that servioes pravided will be

9.6. Opinion of Strucaxal Coridition — PPIC pravides bPSting ar�d oondition ass�rnent of
piPeJines using advanced tedmologies and mettiods. These metliods and
pnocedures are ooMinually beirg developed by PPIC and its assodates ard are
currently not available arrywF�ere ocoept from PPIC. These bedmologfes will be used
diligently and carefully to identify areas of c.oncem in tf�e pipeline. dient
adcno�uledges tfiat these tedmologies are devebpme�l, and titiat servioes provided
are render�ed without arry warraMy, expres.5ed or implied, of tiieir aocuracy.
9.7. C]�anges or Delays — Unless tt�e Agreerr�rt provides ott�erwise, tfie proposed fees
oor�itute PPICs estlmate 1n perform the servioes required bo oanplebe the Projec�.
Required servioes ofLen are not fully definable in tlie inidal planrrng; a000rdingly,
developments may didabe a dtiange in the scope of servioes to be pe�formed.
Where this oaurs, cha�ges in the Agreement shau be negotiaked and agreed upon
by aN parti�s and an equitable adjuslment shall be made, prior bo the work being
done.
C�osts and schedule oommitrnerrts shall be subjec�ed tio renegodation for
unreasonable delays caused by tt�e Q'�ent's fallure to provide specified faciiities, .
direction, or infnrtr�on, or if PPICs failure to perfam is due bo any act of God,
labor tra�ble, flre, indemer�t weath�, act of govemmental authority, failure of
tra�portat3on, aoddent, Power fadtre, or interruption of arry atlier c�use beyond
tt�e reasoiiable oontrol of PPIC. Temporary work sboppage caused by arty of ti�e
above may resuR in addiGonal oost beyond tfiat outlined in ti�is Ag�ernent.
9.8. Liability — PPIC will fumish appropriaGe Ir�anoe certificakes for general and
professional liability upon request. The Qient agrees that PPICs total iabil'ity to tt�e
Client for any and all injuries, daims, fosses, e�cperues, or damac�es whatsoever.

professional assignment, but PPIC camot as.wre tfiat conflicts or peroeived oonfl'�cts
w11 not arise, and PPIC does not aooept responsibility for sudi aoc�renoes.

C,ovemirg Law: For work perfwmed in the Unibad Stabes, ttie laws of the state of
Texas shall govern the �ralidity and irrberpretation aF tfiis Agre�r�er�t. For work
performed in Canada, tf�e laws of tfie Provinoe of Onfario shal govem tt�e vaGdity
and inberp�a6ion of this Agreerr�erit.
Irnalid Terms: If arry of ttiese General Previsions shall be finally dehermined bo be
lrnralid or unenforoeable in whole ar in pa�t, the remainirg provisions hereof shall
remain in full foroe and effed and be binding upon tfie parties. The partles a9ree to
reform the oorrOrac� beiween thern bo replaoe any wch invalid or unenforoeable
