Min 07/12/1983 231 Wichita Falls, Texas Memorial Auditorium Building July 12, 1983 Item 1 The City Council of the City of Wichita Falls, Texas, met in called session on the above date in Room 500 of the Memorial Auditorium Building at 7:00 o 'clock P.M. , with the following members present. Gary D. Cook Mayor Thomas E. Swift Charles Thomas Craig A. Wilson Councilmen Howard M. Morris Horace 0. Boston Charles Harper Absent James Berzina City Manager - - - - - - - - - - Item 2 The City Council met in joint session with Wichita County Commissioners and the Wichita General Hospital Board to discuss the creation of a non-profit corporation. A proposal was presented by the Wichita General Hospital Task Force to permit restructuring of the Wichita General Hospital to allow city and county governments to maintain ultimate ownership of the hospital , while permitting major decisions affecting the hospital to be made in a business environment focused on the needs of the hospital and the community. Discussion was held on a proposed resolution approving the concept of lease of Wichita General Hospital to a non-profit corporation. A motion was made by Councilman Thomas, and seconded by Councilman Swift, for passage of the resolution. Further discussion was held on the proposal , after which an amendment was moved by Councilman Morris, and seconded by Councilman Wilson, that the Board of the non-profit corporation be appointed by the City Council and the Wichita County Commissioners. The motion for the amendment was carried by the following vote. Ayes: Mayor Cook, Councilmen Swift, Thomas, Wilson, Morris, and Boston Nays: None RESOLUTION NO. 134-83 RESOLUTION APPROVING CONCEPT OF WICHITA GENERAL HOSPITAL LEASE TO A NON-PROFIT CORPORATION, AND PROVIDING FOR METHOD OF APPOINTMENT OF BOARD MEMBERS. The motion for passage of Resolution No. 134-83 was carried by the following vote. Ayes: Mayor Cook, Councilmen Swift, Thomas, Wilson, Morris, and Boston Nays: None Mayor Cook presented a proposal , as follows. (See attached) 1 . The City Council of Wichita Falls and the County Commissioners of Wichita County, owners of Wichita General Hospital , and acting in behalf of the citizens of the City and County, authorize the creation of a non-profit corporation (under 501 -C) , and appoint local and county members to that corporation on a one-time only basis, the Board to be self-perpetuating. 232 Item 2, Cont'd. 2. The City Council and County Commissioners also create, through a one-time appointment of local and area people, an additional body (also under 501-C) to be known as the Wichita Falls Medical Founda- tion with the express purpose to plan, guide, direct, and develop a medical center to be known as the Wichita Falls Medical Center. 3. The City of Wichita Falls and the County of Wichita acting through their elected representatives sell Wichita General Hospital to the non-profit organization on a long term, low interest, nothing down, monthly payment basis with the direct stipulation of the City Council and County Commissioners that payments be made to the Wichita Falls Medical Foundation on a low interest basis. 4. The Wichita Falls Medical Foundation, acting as receiver of the payments, would then use the money received from the non-profit organization as seed money to be loaned as a low rate of interest for the: a. Development of a Medical Center initially within the area of Brook Street on the West, Ilth Street on the South, Highway 287 on the East, and 6th Street on the North. b. Guaranteed care for indigent patients in Wichita County. c. Provision and management of an ambulance service for Wichita County. 5. When the Medical Center is termed completed, the sum of money designated as the sale price be returned to the City/County on a no-interest basis. After further discussion, it was moved by Councilman Morris, and seconded by Councilman Boston, that the Mayor be authorized to work with County Judge Tom Bacus in appointing a task force of approximately eleven citizens representing the City Council , County Commissioners, Medical Society, and the Hospital Board to study the feasibility of establishing a Wichita Falls Medical Center, and implementation of the suggested plan. Becau I se the Ci ty of W i chi ta Fal I s ' medi cal f aci I i ti es currently servi ce a I arge area of north and west Texas and southern Oklahoma, and Because a firm foundation of physicians and facilities now exist in Wichita Falls , and Because Wichita Falls has the growth potential greater than that of any city from Oklahoma City to Dallas or Amarillo to Dallas, the following proposal is made. Proposal : Wichita Falls Medical Center 1. When the Medical Center is termed completed, the sum of money designated as the sale price be returned to the City/County on a no-interest basis . Advantages of 2roposal : By promoting a private/public partnership, the growth and expansion of existing services and facilities could serve a larger geographical area to: A. Provide people the best in regional medical 'services without the necessity of having to go to big cities . B. Procure more medical personnel located in Wichita Falls through the increase of facilities and growth of services . C. Attract more people who will bring in more revenue. D. Help bring both hospitals together in a unified effort to provide better medical facilities. E. Utilize available City tools as tax abatement and Tax Increment Financing to encourage further development. F. Revitalize an area of Wichita Falls that needs redevelopment. Disadvantage: The non-profit organization relying o n Wichita General Hospital revenue, might not be able to meet financial obligation monthly to the Foundation, thus, limiting the use of seed money for development. Long range growth possibilities: 1 ) - Additional facilities such as an intermediate care facility housing patients and families. 2) - Co-existence of central services for both hospitals and elimination of wastei npersonnel and equipment as A. Central admissions center B. Central check-out center C. Central insurance center D. Cooperation of equipment to provide service. 3) - The possibility of joining, by virtue of a physical plant, the two hospitals . 4) - The advertising of a regional medical center. 5) - The additional growth in specialized areas of medicine, including research, out-patient services, etc. 6) - The increase of public interest through private donations . 7) - Increase in volunteer opportunities for local citizens. 8) - The elimination of governmental bodies involvement in medical care. Suggestion: That a task force of approximately 11 citizens representing the Wichita Falls City Council , the Wichita County Commissioners, the Wichita County Medical Society, the Wichita General Hospital Board and the citizens at large be made to: 1 . Study details and legal requirements concerning the feasibility of implementing this proposal , and, should the task force find the initiation of this proposal advisable,, 2. Write the ordinances to establish the non-profit organization and the Medical Foundation and any other ordinances deemed necessary for the implementation of this proposal . The task force is asked to complete its report and make the presentation to the City Council and County Commissioners on or before September 15, 1983.
