Ord 1384 5/13/1944 ORDINANCE NO. 138/, "AN ORDINANCE by the Board of Aldermen of the City of Wichita Falls, Texas, authorizing the issuance of bonds in the principal sum of $3tOOOtOOO-OO, designated as ' CITY OF WICHITA FALLS, TEXAS, FIRST MORTGAGE WATERWORKS SYSTEM REVENUE IUROVE- MENT BONDS' s (being part of a total authorized issue of $3,500,000.00 bonds authorized at an election held on April 11, 1944, for the purpose of paying offs refunding and cancelling $351,000-00 ' City of Wichita Fallss Texas, Waterworks System Improvement Revenue Bonds' , dated October 11 1940, and for the purpose of purchasing additional water powers, riparian rights, improvingt enlarging, ex- tending and repairing such system at a cost of not exceeding $3,149,000.00, as authorized by the General Laws of the State of Texast particularly Articles Jill et seq. , Revised Civil Statutes of 1925, as amended) ; providing that the said $3,000,000.00 bonds shall be issued in two series, being 'Series 11 for the sum of $1000,000-00, of which $3519000-00 will be used for the purpose of paying off, refunding and cancelling a like principal amount of the aforesaid outstanding bonds, and $649sOOO.00 thereof will be used for the pur- pose of acquiring the authorized waterworks improvements$ and, being 'Series 21 for the sum of $2, 000, 000.00, which amount will be used for the purpose of acquiring the authorized waterworks improvements; prescribing the form of bond, interest coupons, and certificates of registration; pledging the revenues of the City' s waterworks system to the payment of principal and interest of the bonds, after providing for the expenses of operating and maintaining said system; further securing said bonds by a first mortgage on all the properties comprising the City' s entire waterworks system, acquired or to be acquired; enacting provisions incident and re- lating to the subject and purpose of this ordinance; and declaring an emergency." WHEREAS, under and by virtue of an ordinance duly passed and adopted by the Board of Aldermen of the City of Wichita Falls, Texas, on the 13th day of Marcho 19449 an election was ordered to be held in said City on the llth day of Aprilo 1944, and at which election the following proposition was submitted to the qualified voters of said City: "SHALL the Board of Aldermen of the City of Wichita Falls , Texast be authorized to issue the revenue bonds of said City in the principal sum of not exceeding THREE MILLION FIVE HUN- DRED THOUSAND DOLTARS 43,500000-00) o matur- ing serially over a period of years not to exceed forty years from the date thereoft bearing interest at the maximum rate of THREE AND ONE HALF PER CENTUM OW per annum, for the purpose of paying offs refunding and cancelling not exceeding $351* 000-00 of bonded indebtedness of the City' s Waterworks System and for the purpose of purchasing additional water powers, riparian rightsp improvingo enlargingg extending and repairing such Sys- tem at a cost of not exceeding Three Million One Hundred Forty Nine Thousand Dollars ($3, 149,000-00) , as authorized by the General Laws of the State of Texast particularly Articles 1111 et seq. , Revised Civil Statutes of 1925, as amended, said bonds to be special obligations of the City of Wichita Falls, Texas, payable as to both principal and in- terest solely frm the revenues of the City's Waterworks System andp SHALL the Board of Aldermen be authorized to encumber the City's Waterworks System or the revenue thereoft or botht for the purpose of securing the payment of the principal of and interest on said bonds, said encumbrance on said revenues to be an exclusive first lien on and pledge of said I'm revenues, after the deduction of reasonable expenses of operating and maintaining said System, as said expenses are defined by statutes and all bonds of said series are to be ratably secured in such manner that no one bond shall have priority of lien over any other bond of said series; the indebtedness to be paid off, refunded and cancelled now being in the principal sum of $3519000.00, represented by City of Wichita Falls, Texast Waterworks System Improvement Revenue Bonds, ' dated October 1' 1940, bearing interest at the rates of 3% and 31% per annum, due serially in each of the years- 1945 to 1960s both inclusive; but redeem- able on October lt 1955, or on any interest pay- ment date thereafterl which bonds were author- ized and issued pursuant to an election held in said City on September 30, 1938, and an ordi- nance adopted by the Board of Aldermen of said City on September 23, 1940, recorded in Ordinance Book Number 80 and to which ordinance reference is hereby made for further description of said indebtedness?" AND WHEFMAS, upon consideration of the returns of said elections the Board of Aldermen found that said election had been conducted in the manner prescribed by law, and was in all respects legally held, after due and proper notice as re- quired by law; that due returns of said election had been made by the proper officers; that said election resulted favorably to the issuance of said bonds; that a majority of the qualified electors, voting at said electiono voted in favor of the issuance of said bonds; and that the Board of Aldermen is in all things authorized to issue said bonds and to do any and all things necessary and/or convenient in connection therewith; and, WHEREAS, it being now determined by the Board of Aldermen that it is not desired at this time to issue all of the bonds in the amount of $3, 5009000-00 voted for on the proposition, as aforesaid, and that OP000,000-00 is the amount of bonds now desired to be issued under and pursuant to this ordinancel and that the remaining amount of said bondsv to-wit: OOMOO.009 shall be issued at a future date or dates, when, in the judgment of the Board of Aldermen of said City, the said amount is needed by the City for the purpose for which it was authorized; PROVIDEDo HOWEVER., that all of the said $395009000.00 bonds authorized at the said election shall be, when and as the same are issued and soldq ratably secured by such pledge of revenues and by the terms of such mortgage or indenture and/or any supplemental mortgage or indenture, in such manner that no one bond shall have priority of lien over any other bond of the entire series ; and, WHEREAS, this Board deems it advisable that said bonds in the principal sum Of $3,000,000-00 shall be issued in two series, that is to say - (a) "Series l" for the principal sum Of UsOMOOO-009 with interest rates, maturities and option of redemption, as hereinafter stated, of which series $3519000-00 will be used for the purpose of paying off9 refunding and can- celling a like principal amount of the aforesaid outstanding bonds, and $649sOOO-OO thereof will be used for the purpose of acquiring the author- ized waterworks improvements; and, (b) "Series 211 for the sum of $29000, 000,00, with in- terest rate, maturities and option of redemption as hereinafter stated, and the said amount will be used for the purpose of acquiring the authorized waterworks improvements; thereforej BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE CITY OF WICHITA FALLS9 TEXAS: SECTION 1: Thatt in order to borrow the said sum of THREE MILLION DOLLARS ($3,000,000-OO) t for the purpose of pay- ing offs refunding and cancelling the existing indebtedness of the city' s waterworks system represented by that certain series of bonds known as "City of Wichita Falls2 Texas, Waterworks Sys- tem Improvement Revenue Bonds, " dated October 11 1940, aggrega- ting the principal sum of Three Hundred Fifty One Thousand Dol- lars ($3519000-OO) s and for the purpose of purchasing additional water powers� riparian rightst improving, enlarging2 extending and repairing such system at a cost of Two Million Six Hundred Forty Nine Thousand Dollars ($2t6499000,00) 9 the Board of Alder- men of the City of Wichita Falls, Texas$ by virtue of authority expressly conferred by the qualified electors of said Cityq at the aforesaid elections and pursuant to the General Laws of the State of Texas, particularly Articles 1111 et seq. 9 Revised Civil Statutes of 19259 as amended, has determined to provide for two series of coupon bonds9 to be designated as "CITY OF WICHITA FALLS9 TEXAS, FIRST MORTGAGE WATERWORKS SYSTEM REVEM 31TPROVEMENT BONDS, SERIES l, tl aggregating in amount ONE MILLION DOLURS 41,0009000.00) , and, "CITY OF WICHITA FALLS, TEXAS, FIRST MORTGAGE WATERWORKS SYSTEM REVEM IMPROVEMENT BONDSt SERIES aggregating in amount TWO MILLION DOLLARS ($2,000,000-OO) o pay- able as to both principal and interest solely from the revenues of the City' s waterworks systemo and further secured by a first mortgage on the City' s entire waterworks system, said encumbrance on said revenues to be an exclusive first lien on and pledge of said revenues, after the deduction of the reasonable expenses of operating and maintaining said waterworks system, as said expen- ses are defined by statute and all bonds of both series are ratably secured in such manner that no one bond shall have prior- ity of lien over any other bond of said series. The said $3519000-00 "City of Wichita Falls, Texas, Waterworks System Improvement Revenue Bonds, " dated October 11 1940, bear interest at the rates of 3% and 3-1/4% per annum; are numbered consecu- tively from 50 to 400, both inclusive, due serially in numerical order on April lst in each of the years 1945 to 1960, both inclusive., but bonds numbers 273 to 400, both inclusive, are redeemable at the option of the City, in whole or in part, on October 1, 1955, or on any interest payment date thereafterg by paying principal and accrued interestp and the said bonds were authorized and issued pursuant to an election held on September 30P 1938 and an ordinance adopted by the Board of Aldermen of said City on September 23, 1940, recorded in Ordinance Book Number 8, and to which ordinance reference is hereby made for further description of said indebtedness. SECTION 3-A: That the said "CITY OF WICHITA FALIS, TEXAS, FIRST MORTGAGE WATERWORKS SYSTEM REVENUE IMPROVEVENT BONDS, SERIES 211 shall all bear interest from date until paid at the rate of TWO AND THREE-FOURTHS PER CENTUM (2-3/4%) per annum, such inter- est to be evidenced by proper coupons attached to each of said bonds; and said interest shall be payable semi-annually on April lst and October lst in each year, the first interest payment date to be October 19 1944. SECTION 4: That the principal of and interest on said series of bonds shall be payable on presentation and surrender of bonds or proper coupons, in lawful money of the United States of America, at MERCANTILE NATIONAL BANK AT DALIASt DALIAS9 TEXAS. SECTION 5: That each of said bonds shall be signed by the Mayor, countersigned by the city Clerko and sealed with the seal of the Cityt and the interest coupons attached to said bonds shall be executed with the lithographed or printed fac- simile signatures of said officers; and each bond may be registered as to principal only by the City Clerkj at the option of the holder. Among other provisions, the Indenture shall stipulate and provide for a grant to the purchaser or pur- chasers under any sale or foreclosure thereunder, a franchise to operate said Waterworks Systemo and properties so purchased., for a term of twenty ( 20) years, dating from the purchase, subject to all laws regulating same then in force; such franchise to become operative and effective only in the event of sale of the Water- works System under foreclosure proceedings ; and as provided and authorized by Section 122., of the Charter of said City, such franchise may be terminated by ordinance at specified intervals at the end of each five ( 5) year period from and after date of purchase of said System and properties under foreclosure proceed- ings. Any funds remaining on hand, after provision for the maintenance and operating expenses of the Waterworks Systems and after paying the amount required to be paid into the "SPECIAL WATERWORKS SMTEM REVENUE BOND FUND, 11 as above provided, may be used by the City for any other purpose per- mitted by law. SECTION 9: The Mayor, City Clerk and City 11anager are hereby instructed and directed to do any and all things neces- sary in reference to the installing and maintaining of a complete system of records and accounts pertaining to said Systems and to make the monies available for the payment of said revenue bonds in the manner provided by Article 1113, Revised Civil Statutes of 1925, as amended by Chapter 1399 Acts of the Regular Session of the Forty-Eighth Legislature; the fiscal year for the operation of such System shall be Tanuary lst to December 31st of each year; and the remaining part of 1944 shall constitute a fractional part of a fis- cal year; and any purchaser of twenty five (25 ) per centum. in ag- gregate principal amount of the bonds at the time then outstand- ing or any holder or holders of twenty five (25) per centum of said amount of outstanding bonds, shall have the right at all reasonable times to inspect the System and all records, accounts and data of the City relating thereto, SECTION 10: That the Mayors City Clerk and the Trustee named in the Indenture to secure payment of said bonds, shall be and they are each hereby expressly authorized to do any and all things necessary in respect to the issuances approval and certifications the registration and delivery of said bonds. SECTION 11: IT IS HEREBY DECLARED that the afore- said ordinance is an emergency measure; that in order to improvel enlargeq extend and repair such Waterworks System at the earliest possible dateg there exists urgent public need for preservation of peace, health and safety of property that this ordinance shall take effect from and after its passageq and it is so ordained.
