A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
WICHITA FALLS, TEXAS, AGREEING IN CONCEPT TO
CERTAIN AMENDMENTS TO THE SEPTEMBER 15, 1992,
JOINT CITY /COUNTY MULTI - PURPOSE EVENTS CENTER
AGREEMENT; FINDING AND DETERMINING THAT THE
MEETING AT WHICH THIS RESOLUTION WAS PASSED
WAS OPEN TO THE PUBLIC AS REQUIRED BY LAW.
WHEREAS, on the 15th day of September, 1992, the City and County entered
into an agreement to fund, build and operate a joint City /County Multi- Purpose Events
Center (MPEC); and,
WHEREAS, in order to facilitate the construction of the Coliseum phase of
MPEC, it is desirable to amend said agreement to accomplish this purpose.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS, THAT:
SECTION 1. The City Council of the City of Wichita Falls, Texas, agrees in
concept to the proposed amendments to the September 15, 1992, agreement between
the City and the County, the same attached hereto as Exhibit A and made a part of this
agreement for all purposes.
SECTION 2. It is hereby officially found and determined that the meeting at
which this resolution was passed was open to the public as required by law.

PROPOSED AMENDMENTS TO THE 1992
MULTI - PURPOSE EVENTS CENTER CONTRACT
BETWEEN THE CITY AND COUNTY
A. The County will agree to convey its property interest in the MPEC center,
subject to the following covenants and conditions:
1. The existing MPEC agreements between the City and County will
be superceded by contract documents providing for the
conveyance of the County property to the City;
2. The City may not sell the property without concurrence of the
County Commissioners' Court until the bond issues have been fully
paid in the year 2012;
3. MPEC will charge the same rental or lease charges to any
individual residing within Wichita County, or any entity or
organization which offices and conducts its business within the
County;
4. The County will retain two of seven positions on a newly
constituted MPEC Board of Directors until County Bonds are paid
off and then none; and
5. The City assumes total responsibility for cost of operation and
maintenance of MPEC and will fully indemnify, hold harmless and
insure the County against any and all related costs or liabilities.
