Ordinance amending the Employee Benefit Trust Agreement to update the
title of a trustee, add a trustee position, and increase the quorum for any
Trust Committee meeting
WHEREAS, on September 27, 1983, the City Council, by adoption of Ordinance No.
128-83, created the Employee Be nefit Trust (EBT);
WHEREAS, on August 5, 2014, the City Council modified the EBT Agreement to
update the title of the trustee position of “Human Resources Manager”; and,
WHEREAS, the position of “Human Resources Manager” has recently been changed to
“Director of Human Resources”; and,
WHEREAS; the City Council desires to add a fifth trustee to the EBT, that being the
position of Deputy City Manager; and,
WHEREAS, the addition of a fifth trustee w ould therefore necessitate increasing the
quorum for Trust Committee meetings from two to three members.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
WICHITA FALLS, TEXAS, THAT:
Section 3.15 of the Employee Benefit Trust Ag reement is hereby amended to read as
follows:
“3.15 Voting: To constitute a quorum at any regular or special meeting of the Trust
Committee, there must be present in person or by proxy at least two (2)three (3) Trustees.”
Section 4.1 of the Employee Benefit Trust Agreement is hereby amended to read as
follows:
“4.1. Trustees: The Health and Welfare Program and Trust shall be administered by a
trust committee of four five trustees. The Trust Committee shall consist of the City
Manager, Deputy City Manager, Director of Finance, City Attorney, and Director of
Human Resources Manager. Trustees shall be selected by the City and may resign or
be removed at any time. An alternate trustee may be appointed, who shall serve in the
absence of any regular Trustee. In the event of the removal, resignation, legal
disability, or death of any Trustee, the City shall designate a successor to such Trustee,
who, upon acceptance of his appointment in writing, shall succeed to the legal interest
of the predecessor member of th e Trust Committee and have the same powers and
duties.”
