RESOLUTION AND ORDINANCE NO. 2359 CONVEYING WICHITA GENERAL HOSPITAL
THE STATE OF TEXAS •
COUNTY OF WICHITA
CITY OF WICHITA FALLS :
We, the undersigned officers of the City of Wichita Falls, Texas, hereby certify
as follows:
1. The Board of Aldermen of said City convened in Regular MEETING ON THE 25th
DAY OF September, 1967, at the City Hall, and the roll was called of the duly con-
stituted officers and members of said Board of Aldermen, to-wit:
Wilma Thomas, City Clerk R. C. Rancier, Mayor
R. Kenneth Hill S. M. Lyons
James M. Davis Leroy Daniel
Max Kruger Cletus C. Schenk
and all of said persons were present, except the following absentees: None , thus
constituting a quorum. Whereupon, among other business, the following was transacted
at said Meeting: a written RESOLUTION AND ORDINANCE NO. 2359 CONVEYING WICHITA GENERAL
HOSPITAL was duly introduced for the consideration of said Board of Aldermen and read
in full. It was then duly moved and seconded that said Resolution and Ordinance be
adopted and passed as an emergency measure; and, after due discussion, said motion,
carrying with it the adoption and passage of said Resolution and Ordinance as an
emergency measure, prevailed and carried by the following vote:
YEAS: All members of said Board of Aldermen shown present above voted "Yea."
NAYS: None.
2. That a true, full, and correct copy of the aforesaid Resolution and Ordinance
adopted and passed at the Meeting described in the above and foregoing paragraph is
attached to and follows this Certificate; that said Resolution and Ordinance has been
duly recorded in said Board of Aldermen's minutes of said Meeting; that the above and
foregoing paragraph is a true, full, and correct excerpt from said Board of Aldermen's
minutes of said Meeting pertaining to the adoption and passage of said Resolution and
Ordinance; that the persons named in the above and foregoing paragraph are the duly
chosen, qualified, and acting officers and members of said Board of Aldermen as
indicated therein; and that each of the officers and members of said Board of Aldermen
was duly and sufficiently notified officially and personally, in advance, of the time,
place, and purpose of the aforesaid Meeting, and that said Resolution and Ordinance
would be introduced and considered for adoption and passage at said Meeting, and each
of said officers and members consented, in advance, to the holding of said Meeting
for such purpose; and that said Meeting was open to the public as required by law.
3. That the Mayor of said City has approved, and hereby approves the aforesaid
Resolution and Ordinance; that the Mayor and the City Clerk of said City have duly
signed said Resolution and Ordinance; and that the Mayor and the City Clerk of said
City hereby declare that their signing of this Certificate shall constitute the
signing of the attached and following copy of said Resolution and Ordinance for all
purposes.

RESOLUTION AND ORDINANCE NO. 2359 CONVEYING WICHITA GENERAL HOSPITAL
WHEREAS, the Wichita County-City of Wichita Falls, Texas Hospital Board
has been duly created as a public agency and body politic, as joint agent of and for
the joint benefit of Wichita County and the City of Wichita Falls for hospital
purposes, pursuant to Chapter 511, Acts 1965, 59th Leguslature, Regular Session; and
WHEREAS, Wichita County and the City of Wichita Falls jointly own all real and
personal property constituting the Wichita General Hospital; and
WHEREAS, Wichita County and the City of Wichita Falls have determined to make
an unconditional grant, conveyance, and transfer of all of their collective rights,
title, and interest in and to the real and personal property constituting the Wichita
General Hospital to the Wichita County-City of Wichita Falls, Texas, Hospital Board,
pursuant to Section 5 of the aforesaid Chapter 511.
IT IS THEREFORE RESOLVED AND ORDAINED BY THE BOARD OF ALDERMEN OF THE CITY OF
WICHITA FALLS, TEXAS:
1. That in order to effect and consummate the above grant, conveyance, and
transfer, on behalf of the City of Wichita Falls, Texas, the Mayor of the City of
Wichita Falls is hereby authorized and directed to sign. and acknowledge, and the
City Clerk of the City of Wichita Falls is hereby authorized and directed to attest
and seal, a deed of grant, conveyance, and transfer in substantially the form set
forth in "Exhibit A", which is attached hereto and made a part hereof for all
purposes.
2. That upon execution of such deed as aforesaid it shall be irrevocably binding
upon the City of Wichita Falls and its Board of Aldermen.
' 3. This Resolution and Ordinance is hereby declared to be an emergency measure,
to be effective immediately, on the ground of urgent public need for the preservation
of the peace, health, and safety of property of the City, such emergency being that
it is urgently needed for the Wichita County-City of Wichita Falls, Texas, Hospital
Board to begin operation of the Wichita General Hospital as soon as possible to preserve
the public health.

The County of Wichita, State of Texas, acting by and through Calvin Ashley,
County Judge of Wichita County, acting herein pursuant to power and authority granted
by resolution and order adopted by the Commissioners Court of Wichita County, Texas, at
a meeting duly convened and held on the day of , 1967, and
the City of Wichita Falls, Texas, acting by and through Richard C. Rancier, Mayor of
the City of Wichita Falls, Texas, hereunto authorized and directed to act by resolution
and ordinance adopted by the City Council of the City of Wichita Falls at a meeting
duly convened and held the day of , 1967, said order, ordinance,
and resolution having been adopted in accordance with and pursuant to the provisions
of Chapter 511, Acts of the 59th Legislature of the State of Texas, Regular Session,
1965, (the same being Article 4494i - 1, Vernon's Annotated Revised Civil Statutes
of the State of Texas) do hereby grant and convey to Wichita County - City of Wichita
Falls, Texas, Hospital Board, a public agency and body politic heretofore created
pursuant to said Chapter 511 of the Acts of the 59th Legislature Regular Session
by resolution of the County of Wichita and City of Wichita Falls, Texas, all of that
certain lot, tract and parcel of land in Wichita County, Texas, described as follows:
Lots Nos. 4, 12 and 13 of Block 258 of the Original Townsite of Wichita Falls,
Texas, according to the map recorded in Volume "E", Page 264 of the Wichita
County, Texas, Deed Records, together with those adjoining lands embraced
within the following metes and bounds description which covers all lands
covered hereby, to-wit:
BEGINNING at the South corner of Block 264 of the Original Townsite
of Wichita Falls; THENCE North along the East boundary line of Brook Avenue,
at 363.7 feet the North corner of Block 264, and continuing on the same
course in all 426.4 feet to the intersection of the East' boundary line of
Brook Avenue and the South boundary line of Seventh Street, a point for the
Northwest corner of this tract;
THENCE North 55 deg. 10 min. East along the South boundary line of Seventh
Street, at 64.2 feet, the Northwest corner of Lot 13, Block 258, and continuing
on the same course, in all 114.2 feet to the Northeast corner of Lot 13,
Block 258 for the most Northern Northeast corner of this tract;
THENCE South 34 deg. 50 min. East along the East line of Lot 13, Block
258, at 165.0 feet the Southeast corner of Lot 13, Block 258, and continuing
on the same course, in a11,185.0 feet to a point in the South boundary line of
an alley and on the North line of Lot 12, Block 258 for an Ell corner of this
tract;
THENCE North 55 deg. 10 min. East along'the North line of Lot 12, Block

Street, at 250.0 feet the Southwest corner of Block 258, at 350.0 feet the
Southeast corner of Block 264, and continuing on the same course, in all,
557.9 feet to the place of beginning, and containing 2.65 acres of land,
together with all rights and appurtenances thereunto in any way belonging and together
with all buildings and improvements located thereon.
Likewise, pursuant to the order, ordinance, resolutions and statute above recited
and the authority therein given, said County and City, acting by and through the
aforementioned officers hereunto duly authorized, do hereby grant, convey, assign
and deliver unto said Wichita County - City of Wichita Falls, Texas, Hospital Board
all equipment, supplies, furnishing, fixtures and all personal property of every kind
and character owned in connection with Wichita General Hospital, which hospital is
located upon the above premises.
TO HAVE AND TO IIOLD, Unto said Wichita County - City of Wichita Falls, Texas,
Hospital Board, its successors and assigns, forever.

The County of Wichita, State of Texas, and the City of Wichita Falls, Texas,
do hereby covenant that they will forever warrant and defend title to all property
here conveyed against the claims of all persons claiming or to claim the same or any
part thereof.
