Res 1745 12/2/1975RESOLUTION NO. //20/ RESOLUTION APPROVING CONTRACT WITH PINNELL- ANDERSON-WILSHIRE AND ASSOCIATES, INC. CON- CERNING LAW ENFORCEMENT SUBSYSTEM. BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE CITY OF WICHITA FALLS, TEXAS , THAT: That certain contract, a copy of which is attached hereto, between the City of Wichita Falls and Pinnell-Anderson-Wilshire and Associates, Inc. , providing for consulting services in connection with the development of a system status document for the City' s Automated Law Enforcement Subsystem (LES) , is hereby approved, and the City Manager is authorized to execute the same for the City of Wichita Falls. PARTIES TO CONTRACT The parties to this contract are the City of Wichita Falls ,Texas , hereinafter referred to as the CITY , and Pinnell-r Anderson-Wilshire and Associates , Inc . , a consulting organization hereinafter referred to as the CONSULTANT. II . PURPOSE OF THE CONTRACT The purpose of this contract is to: set north the responsi- bilities and covenants of the CONSULTANT and the CITY in executing consulting services in connection with the develop-ment of a system status document for the CITY' s automatedLawEnforcementSubsystem (LES) . III . PERIOD OF CONTRACT The effective date of this contract is It will continue in effect for sixty (60) days at which time the project is scheduled for completion . IV. AGREEMENTS 9 In consideration of the covenants and agreements herein contained, the parties hereto do mutually agree as follows : A. Terms of Agreement--The CITY hereby . employs the CONSUL- TANT and the CONSULTANT hereby agrees to performm the necessary services herein set ' forth . The CITY hereby designates Mr. Voin Campbell , Assistant City Manager, as its representative and the CONSULTANT hereby desig-pates Mr. Robert Anderson , Vice President, as its representative . B . Responsibilities of the CONSULTANT—The CONSULTANT agrees to assume responsibility for the performance and completion of the following tasks : 1. Perform a detailed review of all L' S documentation . Pit 2 . Perform a thorough test of all completed LES programs . I 3 . Perform a status. analysis of all LES programs that . . are not in a form suitable for testing. 4 . Perform a review of the other municipal subsystems , which are operational, so as to determine the inter- face needs of the IMS support software modules . 5 . Develop a status report which describes the detailed status of the Law Enforcement Subsystem and which itemizes the tasks which must . be accomplished to bring the subsystem to full operational status . 6 . Develop a cost estimate and time schedule for each task itemized in step 5 . 7 . Prepare and submit to the CITY five copies of a in final report. This document shall represent the system status as developed in item 5 above . It shall also present an estimated cost and estimated time schedule for each task as developed in item 6 above . It shall also present recom.;;en.dations as to which tasks might properly be performed by municipal personnel and which . tasks might properly be performedbynonmunicipalpersonnel. 8 . Prepare and submit to the CITY a Project Status re li ' port, if required by the provisions of item IV-D of this contract. The CONSULTANT will perform the majority of the program It testing and analysis work on weekends when the CITY ' s c± - puter system is available for nonproduction use . The CON- SULTANT will give the CITY three days advance notice on all1computertimerequests . II C. Responsibilities of the CITY--The CITY agrees to assume responsibility for the following provisions : 1. The CITY will , with suitable notice from the CON- SULTANT, provide complete access., as necessary , to the computer system from noon until 10 : 00 pm on Saturdays and from 8 : 00 am until 10 : 00 pm on Sundays . The CITY will also provide a trained computer opera- tor during ,these. periods . I: ' 2 . The CITY shall support Life CONSULTANT personnel with the part-time assignment, as needed, of the follow- ing municipal personnel : 7 o A data processing systems analyst. This person should be familiar with all of the Wichita Falls r 1 t .s :+,r-.'„'_--.*--wev-wiRK 1.sr_.'s7-,,t-•.:'.Aria-+i -..y data processing operational controls and pro- cedures . Some familiarity with the Law Enforce- ment Subsystem is also desirable . o A terminal operator. This person should be abletoprovidedata, code data, enter data via theterminal, and verify subsystem outputs .E o An appropriate member of the Police Department. This person should be able to assist in the testing and evaluation of subsystem performance . These persons shall be available (with suitable notice of need from the CONSULTANT - see contractitemIV-B) for participation during significant portions of the weekend test periods . I 3. The CITY shall provide the CONSULTANT with adequate work space within the City Hall and allow NCONSULTr.,T r access to this work space at any time. 4 . The CITY shall collect and organize all available documentation on the Law Enforcement Subsystem in- x eluding all program descriptionsii program listings , ai program source decks , terminal layouts and descrip-tions , record layouts and descriptions , work and •internal record layouts and descriptions , examplesrofoutputreports , data conversion procedures and any other documentation pertaining to the Law En-forcement Subsystem. This documentation must also include that pertaining to the IMS Data Entry SystemrandtheIMSsoftwareutilitiesrequiredbytheLawEnforcementSubsystem. The CITY shall place and a maintain this documentation in the work space pro- vided for CONSULTANT personnel (see item IV-C-3above) . I D. Compensation--The CONSULTANT shall be compensated on anhoursandexpensesreimbursementbasisaccordingtotheratescheduleappendedtothisContractasAttachmentA.The CONSULTANT shall submit to the CITY: an itemized feestatementattheendofthe30thdayofthePeriodandattheendoftheContractPeriod. TheCCON- SULTANT shall be entitled to prompt and. full payment of the amounts itemized in the fee statements subject tothefollowingconstraint: rShould the total CONSULTANT ' s fee reach or exceed• the amount of $3 ,000 . 00 prior to the completion oftheContract, the CONSULTANT shall submit to the J4 CITY a statement of Project Status which shall in- clude an estimate of the time and cost involved in. The CONSULTANT shall not continue Contract work. beyond the $3 ,000 . 00 level without written authorization from the CITY. E. Interest of CONSULTANT--The CONSULTANT covenants that he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in il any way or degree with the performance of "his services herein. The CONSULTANT further covenants that in the I performance of this contract, no person having any such interest shall be employed. F. Changes to this Contract--The duration of this contract may be increased or decreased by mutual agreement of both parties. The CITY may at its option extend this contract' for inclusion of additional supplementary tasks by the execution of written amendments to this contract which are mutually agreed by and between the CITY and the CONSULTANT.
