RESOLUTION NO. /(D—D
RESOLUTION AUTHORIZING AN AMENDMENT TO THE ARTICLES
OF INCORPORATION OF THE NORTH TEXAS HOUSING FINANCE
CORPORATION TO INCLUDE THE CITIES OF HOLLIDAY, TEXAS
AND QUANAH, TEXAS, AND THE COUNTY OF WILBARGER, TEXAS,
AS SPONSORING LOCAL GOVERNMENTAL UNITS.
WHEREAS, the North Texas Housing Finance Corporation
Corporation") , has been created by the Commissioners ' Courts of
the counties of Wichita and Clay and the City Councils of the cities
of Wichita Falls, Iowa Park, Henrietta, Olney, Graham, Burkburnett,
Bowie, Electra and Vernon, Texas, in accordance with the Housing
Finance Corporation Act, Article 12691-7 , as amended, Vernon ' s
Annotated Texas Civil Statutes ( "Act") ; and,
WHEREAS, Subsection 8 (A) of the Act grants corporations the
right to amend their Articles of Incorporation so as to make any
changes therein and add any provisions thereto which might have
been included in the Articles of Incorporation in the first
instance; and,
WHEREAS, Article 6 of the Corporation' s Articles of Incorpora-
tion ("Articles of Incorporation") provides in part that the
Articles of Incorporation may at any time and from time to time be
amended pursuant to the procedures relating thereto as set forth
in the Act; and,
WHEREAS, in the exercise of the power granted under the
Articles of Incorporation and in accordance with the Act, the
Board of Directors of Corporation has filed with the governing
bodies of the local governmental units an application in writing for
permission to amend the Articles of Incorporation to include the
cities of Holliday and Quanah, Texas, and Wilbarger County, Texas,
as sponsoring local governmental units of Corporation.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WICHITA FALLS , TEXAS, THAT:
SECTION 1 . Having considered such application, it is duly
found and determined that it is wise, expedient and advisable
that the Articles of Incorporation be amended as hereinafter
provided.
SECTION 2 . The Board of Directors of the Corporation are
authorized to amend Article Ten of the Articles of Incorporation
of the Corporation to read as follows:

Resolutions approving the form of these Articles of Incorpora-
tion have been duly adopted by the governing bodies of the Sponsoring
Local Governmental Units on the dates as follows :

Any obligations incurred by the Corporation (including bonds
or interest thereon) shall be payable solely from the revenues of
the Corporation which shall be paid into a special fund or funds
of the Corporation as its directors may provide by resolution.
The Sponsoring Local Governmental Units shall not in any event be
liable in any manner for or with respect to the payment from funds
under its control of any obligations or agreements created or
incurred by the Corporation and no obligations or agreements of the
Corporation shall be construed as an indebtedness, obligation or
moral obligation of the Sponsoring Local Governmental Units.
SECTION 3 . The First Articles of Amendment shall be sub-
stantially in the form attached hereto.

FIRST ARTICLES OF AMENDMENT
TO THE
ARTICLES OF INCORPORATION
Pursuant to the provisions of Article 12691-7 of the Housing
Finance Corporations Act, as amended, Vernon' s Annotated Texas
Civil Statutes, the North Central Texas Housing Finance Corporation
the "Corporation") adopts the following First Articles of Amend-
ment to its Articles of Incorporation (the "Articles of Incorpora-
tion") which provide for the addition of Holliday and Quanah and
the County of Wilbarger, Texas, as sponsoring local governmental
units of the Corporation.
ARTICLE ONE
The name of the Corporation is NORTH TEXAS HOUSING FINANCE
CORPORATION.
ARTICLE TWO
That Article Ten of the Articles of Incorporation is hereby
amended to reflect that Holliday and Quanah and the County of
Wilbarger, Texas, are added as sponsoring local governmental units
of the Corporation and to read as follows:
