Res 141-84 7/23/1984RESOLUTION NO. 141-84 RESOLUTION APPROVING CONTRACT BETWEEN WICHITA COUNTY, WICHITA FALLS, BURKBURNETT AND IOWA PARK CONCERNING AMBULANCE SERVICES . That certain contract, a copy of which is attached hereto, between Wichita County, Wichita Falls, Burkburnett and Iowa Park, for the providing of ambulance services, is hereby approved, and the City Manager is authorized to execute the same for the City of Wichita Falls. M A Y O R ATTEST : City Clerk Z-c' l C'/y EXHIBIT "D l- V THE STATE OF TEXAS X KNOW ALL MEN BY THESE PRESENTS : COUNTY OF WICHITA X WHEREAS , on the '? day of J }- 1984 , a certain contract was entered into by and bewteen the City of Burkburnett, Texas , the City of Iowa Park, Texas , the City of Wichita Falls , Texas and the County of Wichita, Texas, hereinafter called "Entities" , and Life Line Emergency Medical Services, hereinafter called "Contractor" , and said contract being for the provision of ambulance service to the Entities on an independent contractor basis; and WHEREAS , the Entities have agreed in said contract to furnish a subsidy to assist Contractor in providing ambulance services to citizens of the Entities, and WHEREAS, the entities have agreed in said contract to furnish by lease, certain ambulances to Contractor for use in providing ambulance service within Wichita County, Texas, as well as various items of equipment associated therewith, and WHEREAS , the Entities desire to formulate the basis and method for acquiring and disposing of said ambulances and equipment; NOW, THEREFORE , the Entities, in furtherance of their collective desire to purchase and furnish for the use of Contractor various ambulances and equipment associated therewith, do hereby agree to the following terms and conditions: I . The Entities agree to provide a subsidy as provided in the Ambulance Service Contract of even date herewith and to recompense the City of Wichita Falls for providing fire stations used as ambulance substations if and when such substations are used. The subsidy will be paid by the Entities to the City of Wichita Falls on or before the 25th of each month for disbursal on or about the last day of each month service is provided. The actual subsidy due each month from each Entity will be determined by adding the monthly cash subsidy and the cost of providing ambulances as per the Ambulance Lease Agreement, Exhibit B of Ambulance Contract, then multiplying that figure by the percentage allocation of costs. The allocation of costs for the subsidy payments shall be as follows: County of Wichita, 50% , City of Burkburnett, 5% ; City of Iowa Park, 3% ; and the City of Wichita Falls, 42% . The recompense to be paid the City of Wichita Falls by the other Entities for providing portions of various fire stations to be used as ambulance substations shall be calculated and paid annually, on or before May 1st of each year. The costs associated with providing a portion of these fire stations shall be based upon a percentage square foot basis, together with such percentage of utility bills and adding the cost of additional linen, bedding, laundry, and personal supplies estimated to be used. The alloca- tion of costs to be paid the City of Wichita Falls shall be as follows: County of Wichita, 50% , City of Burkburnett, 5% ; and the City of Iowa Park, 3% . II . The Entities agree to purchase such ambulances and equipment as are required to meet the terms and conditions of the contract entered into between the Entities and Contractor on the 2,-; day ofA_"LV 1984 , and any amendments or alterations thereto. The Entities hereby appoint the City of Wichita Falls, Texas, as their agent and trustee for the purchase of such ambulances and equip- ment as are necessary to meet their joint obligations under their contract with Contractor. III . Ambulances and equipment to be provided by the Entities in accordance with the contract set forth in Item II above are to be purchased by the City of Wichita Falls, Texas, and title shall be obtained in the name of said City as trustee for the Entities. IV. The City of Wichita Falls, Texas agrees to purchase, lease or lease/purchase ambulances and equipment on its usual bid basis as required by the laws of the State of Texas. V. The Entities agree to reimburse the City of Wichita Falls their proportionate shares of the cost of any ambulances or other equipment purchased in furtherance of this agreement on a timely basis. Further, the Entities also agree to recompense the City of Wichita Falls their proportionate share of the cost of providing fire stations used as ambulance substations. Reimbursement shall be on the same ratio provided for in Item I above. VI . After prior consultation and agreement with the Entities, the City of Wichita Falls , as necessary, may take action to trade in or dispose of any of the ambulances or equipment which it has purchased in trust for the Entities; provided, however, that any funds derived from the sale of any such equipment or ambulances shall be distributed proportionately among the Entities in accordance with their contri- butions to the annual subsidy to Contractor under the terms of the ambulance contract referred to in Item II above. Notwithstanding the foregoing sentence, various items of equipment and ambulances may be disposed of and funds may be divided among the Entities in any manner as may be hereafter agreed to in writing by the Entities. VII . This agreement constitutes the full and complete agreement between the Entities concerning: subsidy payments; purchase, leasing, and disposal of ambulances and equipment; and the recom- pense to the City of Wichita Falls to provide ambulance substations, as necessary, to implement that certain contract between the Entities and Contractor dated the 4-----) day of 9()( 1984 , which shall become effective on the date of the execution hereof.
