Res 113-84 6/6/1984RESOLUTION NO. 113-84 RESOLUTION APPROVING INTERIM CONTRACT WITH LIFE LINE EMERGENCY MEDICAL SERVICES FOR FURNISHING INTERIM AMBULANCE SERVICE . BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS , THAT: That certain contract, a copy of which is attached hereto, with Life Line Emergency Medical Services, is hereby approved, and the City Manager is authorized to execute the same for the City of Wichita Falls . JK Apr M - Y O R ATTEST: City C erk THE STATE OF TEXAS X COUNTY OF WICHITA X CONTRACT FOR INTERIM AMBULANCE SERVICE This contract made and entered into this the 4:;46 day of June, 1984, by and between the City of Burkburnett, Texas, the City of Iowa Park, Texas, and the City of Wichita Falls, Texas, and the County of Wichita, hereinafter called "Entities" , and Life Line Emergency Medical Services, hereinafter called "Contractor" , WITNESSETH: WHEREAS, it is anticipated that the present ambulance service for the citizens of Wichita County will cease on June 7 , 1984, and the parties desire to make provision for interim ambulance service until such time as a long term ambulance contract can be negotiated and executed. NOW, THEREFORE, the parties hereto do hereby agree as follows: I . Contractor agrees to furnish those ambulance services as set out in his proposal to the Entities , which is now being considered by them. Such services shall be provided by Contractor as an independent contractor. II . Entities shall furnish to Contractor, to be used by it in providing the service hereunder, three ambulances, two of which are new ambulances leased by the Entities and the third is an ambulance owned by the Entities. On or about June 15, 1984 , Entities are opening bids for ambulances, after which time a decision will be made by Entities as to whether or not to furnish additional ambulances to Contractor during this interim contract. III . Entities shall provide Contractor with appropriate space in fire stations as is necessary to operate the ambulance service during this interim period. If Contractor desires to obtain space in some other locations in the City of Wichita Falls at its expense, Contractor shall have the right to do so. While operating out of Wichita Falls fire stations, Contractor shall observe all rules promulgated by the Wichita Falls Fire Chief governing such fire stations. IV. Contractor shall furnish the personnel needed to operate such service, which personnel will have the qualifications as set out in its proposal. V. Entities shall furnish radio and dispatch service for Contractor during this interim contract, or until such earlier time that Contractor desires to obtain its own equipment. VI . Contractor shall provide normal routine maintenance to the vehicles furnished by Entities. Entities reserve the right at convenient times to inspect such vehicles for proper care and main- tenance. VII. Contractor agrees to hold harmless the Entities from all claims for damages to persons and property arising out of the operations of such ambulance service. Contractor shall carry public liability insurance in amounts of at least $100 , 000 bodily injury per person, 300, 000 bodily injury per accident, and $100, 000 property damage. VIII. Entities agree to pay Contractor for providing this service at the rate of $18, 667 . 00 per month. In order for Contractor to meet its start-up costs, Entities shall pay to Contractor the sum of 9 ,333 .50 on the inauguration of service and a like payment on the 16th and 31st days, if this contract is still in effect on those days . If this interim contract is terminated in less than one and one-half months for the reason that a long-term contract is entered into between the parties, the unearned prorata part of the advance payment shall be credited to the Entities on the new contract. In the event 2- R this interim contract is terminated in less than one and one-half months for any other reason, Contractor shall repay to the Entities the unearned prorata portion of the advance payment. IX. This contract shall be for a term of 45 days after the date hereof , or until a long-term contract may be entered into between the parties hereto, whichever period is shorter. However, it is agreed that Entities may terminate this contract at any time that they, in their reasonable judgment, determine that Contractor is not ful- filling its obligations under this interim contract in a manner which is in the best interest of the public . Nothing herein contained shall obligate the Entities to enter into a long-term contract with this Contractor. IN WITNESS WHEREOF, the parties hereto have caused this agree- ment to be signed as of the day and year first set out above.
