Res 015-84 2/7/1984RESOLUTION NO. / J- Ay RESOLUTION APPROVING THE BYLAWS OF THE YOUTH ACTIVITIES ADVISORY COUNCIL. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: The bylaws of the Youth Activities Advisory Council, a copy of same being attached hereto, are hereby approved. O. Box 1431 Wichita Falls , Texas 76307 ARTICLE ONE Membership SECTION 1 . Resignation and Removal. A. When any member of the Council fails to attend two (2) consecutive meetings without due cause, the Chairperson shall certify same to the City Council. Legitimacy of "due cause" for absence shall be determined by majority vote of the Executive Board. Such member shall be deemed to have been removed and a vacancy created. A member from the school which lost a member may present a nominee for Y.A.A.C. consideration. If approved, the Chairperson shall recommend the nominee to the City Council. B. Any member who must resign from membership may notify the Chairperson in writing. At this time a vacancy shall be deemed to have been created. The written notice of resignation may also include a nominee for the resigning member ' s replacement, subject to Y.A.A.C. and City Council approval. ARTICLE TWO Executive Board SECTION 1. The Board shall consist of the elected officers . SECTION 2 . The Executive Board shall handle the regular business of the Council except when committees are appointed to do so. SECTION 3 . Meetings . Regular meetings of the Executive Board shall be held no later than five (5) days prior to each regular Y.A.A.C. meeting. BYLAWS OF THE YOUTH ACTIVITIES ADVISORY COUNCIL; Page 1. SECTION 4 . Quorum. A quorum for conducting the business of the Executive Board shall not be less than 3/4 of the members of the Board . SECTION 5 . Each outgoing Board must leave in the treasury a sum equal to the unpaid bills or obligations for which the Council is responsible. ARTICLE THREE Officers and Committee Heads SECTION 1. There shall be the following elected officers: A. Chairperson B. Assistant Chairperson C. Recording Secretary D. Treasurer SECTION 2 . A Board member who does not comply with assigned responsibilities may be relieved of office by majority vote of the Y.A.A.C. Appointment of a replacement shall be made by the Chair- person with majority approval of the Y.A.A.C. SECTION 3 . The heads of committees shall be appointed by the Chairperson after approval by the elected board. ARTICLE FOUR Elections SECTION 1. Nominations for election of Officers. A. Nominations from the floor will be in order at the second meeting of the term. B . Elections shall be by secret ballot. C . Each voting member shall have one vote . SECTION 2 . Term of Office. A. Officers shall be elected for a term of one year to serve from the time of installation in September until the succeeding installation of officers the following September. B. Officers may not serve more than two years. BYLAWS OF THE YOUTH ACTIVITIES ADVISORY COUNCIL; Page 2 . ARTICLE FIVE Duties of Officers SECTION 1 . The Chairperson shall: A. preside at all meetings of the Executive Board and general meetings of the Council, and at any special meetings. B. appoint the committees with approval of the Executive Board. C. call a special meeting when it is necessary. D. represent the Youth Activities Advisory Council when formal recommendations are made to the City Council. SECTION 2 . The Vice-Chairperson shall: A. act as Chairperson in the Chairperson' s absence. B. assist the Chairperson in the administration of his duties . SECTION 3 . The recording secretary shall record the minutes of all proceedings of the Board and membership meetings and record attend- ance at all such meetings . SECTION 4 . The Treasurer shall : A. have charge of the budget of the Council. B. make a financial report to the Council at each regular meeting. C. act as Recording Secretary in the Recording Secretary' s absence. SECTION 5 . The Administrator shall : A. handle the correspondence of the Council. B. provide the Council with the information necessary for the performance of its duties. ARTICLE SIX Meetings SECTION 1. There shall be no fewer than twelve (12) regular meetings annually. Written reminder of each meeting shall be given each member at least three (3) days before the meeting. BYLAWS OF THE YOUTH ACTIVITIES ADVISORY COUNCIL; Page 3 . SECTION 2 . Special meetings may be called by those persons authorized to do so by ordinance. Notice of special meetings shall be given to the members at least three (3) days in advance. SECTION 3 . Emergency meetings may be called by those authorized to do so by ordinance. Notice of emergency meetings shall be given to members as far in advance as possible . Attendance requirements shall not apply to emergency meetings but quorum must be achieved. SECTION 4 . Members who expect to be absent must notify a member of the Executive Board at least two (2) hours in advance of the meeting. ARTICLE SEVEN Amendment The bylaws may be amended by a majority vote of all the members present. ARTICLE EIGHT Rules of Order SECTION 1 . Discussion. A. All discussion shall be confined to the agenda item under consideration. B . After discussion, the Chairperson shall ask for a motion on the item. C. The motion offered by the membership shall be one of the following: 1) Motion for action. 2) Motion to amend. 3) Motion to rescind. 4) Motion to table. 5) Motion to suspend the order of business . 6) Motion to suspend discussion. D . After the motion is made, the Chairperson shall repeat the motion and ask for a second. If the motion is seconded, the Chairperson shall conduct a vote on the item. BYLAWS OF THE YOUTH ACTIVITIES ADVISORY COUNCIL; Page 4 . SECTION 2 . Meeting Time. Meetings will begin promptly at the appointed time and shall be adjourned no later than eighty (80) minutes later.
