RESOLUTION AUTHORIZING CITY MANAGER TO
CONSENT TO ASSIGNMENT OF POLICE COMPUTER
SYSTEM CONTRACT AND MAINTENANCE AGREEMENT
FROM COMMAND DATA SYSTEMS TO US WEST, INC. ,
OR ANY OF ITS AFFILIATES OR SUBSIDIARIES
RETROACTIVE TO JUNE 30 , 1989.
WHEREAS, Command Data Systems, Inc. , has entered into a
contract to sell substantially all its assets to a subsidiary of
US West, Inc. , and,
WHEREAS, included in all its assets proposed for acquisition
are the rights and obligations under the City of Wichita Falls '
contract for the police computer system and maintenance with
Command Data Systems; and,
WHEREAS, Command Data Systems has requested that the City of
Wichita Falls, Texas, consent to the assignment of its rights and
obligations to a subsidiary of US West, Inc. , effective June 30,
1989; and,
WHEREAS, the City Council finds that consent to said
assignment is in the best interests of the City of Wichita Falls
in continuing maintenance for its police computer system and
further, that continued maintenance is best achieved by
authorizing such consent retroactive to June 30, 1989 .
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WICHITA FALLS, TEXAS, THAT:
The City Manager is hereby authorized to execute the
attached consent to assignment from Command Data Systems to a
subsidiary of US West, Inc. , and to execute such consent
retroactive to June 30, 1989, provided that the acquisition of
the assets of Command Data systems by a subsidiary of US West,
Inc. , does indeed occur as proposed.

CONSENT
The undersigned hereby consents_ to the assignment to US
West, Inc. or any of its affiliates or subsidiaries of all of the
rights and obligations of Command Data Systems subsequent to June
30, 1989 under the undersigned's contract(s) with Command Data
Systems:
Computer System Agreement(s) dated 07/16/86,09/30/88
Maintenance Agreement(s) - covering the period
10/01/88-09/30/89
05/01/89-09/30/89
Along with all amendments not specifically noted here.
