Res 118-90 7/3/1990CERTIFICATE FOR RESOLUTION per'. a-1D THE STATE OF TEXAS COUNTY OF WICHITA CITY OF WICHITA FALLS We, the undersigned officers of said City, hereby certify as follows: 1. The City Council of said City convened in REGULAR MEETING ON THE 3RD DAY OF JULY, 1990, at the City Hall, and the roll was called of the duly constituted officers and members of said City Council, tewit: Michael Lam, Mayor Donald Kirkham, Mayor Protem Angus Thompson David Farabee Paul Hughes J. W. Martin Charles Thomas Wilma J. Thomas, City Clerk and all of said persons were present, except the following absentees:None thus constituting a quorum. Whereupon, among other business, the following was transacted at said Meeting: a written RESOLUTION DIRECTING PUBLICATION OF NOTICE OF INTENTION TO ISSUE CITY OF WICHITA FALLS, TEXAS WATER AND SEWER SYSTEM SUBORDINATE LIEN REVENUE BONDS 24,180,000 - SERIES 1990-A 1,490,000 - SERIES 1990-B 540,000 - SERIES 1990-C was duly introduced for the consideration of said City Council and read in full. It was then duly moved and seconded that said Resolution be adopted; and, after due discussion, said motion carrying with it the adoption of said Resolution, prevailed and carried by the following vote: AYES: All members of said City Council shown present above voted "Aye". NOES: None. 2. That a true, full and correct copy of the aforesaid Resolution adopted at the Meeting described in the above and foregoing paragraph is attached to and follows this Certificate; that said Resolution has been duly recorded in said City Council's minutes of said Meeting; that the above and foregoing paragraph is a true, full and correct excerpt from said City Council's minutes of said Meeting pertaining to the adoption of said Resolution; that the persons named in the above and foregoing paragraph are the duly chosen, qualified and acting officers and members of said City Council as indicated therein; that each of the officers and members of said City Council was duly and sufficiently notified officially and personally, in advance, of the time, place and purpose of the aforesaid Meeting, and that said Resolution would be introduced and considered for adoption at said Meeting, and each of said officers and members consented, in advance, to the holding of said Meeting for such purpose, and that said Meeting was open to the public and public notice of the time, place and purpose of said meeting was given, all as required by Vernon's Ann. Civ. St. Article 6252-17. 3. That the Mayor of said City has approved and hereby approves the aforesaid Resolution; that the Mayor and the City Clerk of said City have duly signed said Resolution; and that the Mayor and the City Clerk of said City hereby declare that their signing of this Certificate shall constitute the signing of the attached and following copy of said Resolution for all purposes. 410 ! July 3, 1990 Lae_. `_Add 'P ty Clerk Mayor SEAL) RESOLUTION NO. 118-90 RESOLUTION DIRECTING PUBLICATION OF NOTICE OF INTENTION TO ISSUE CITY OF WICHITA FALLS, TEXAS WATER AND SEWER SYSTEM SUBORDINATE LIEN REVENUE BONDS 24,180,000 - SERIES 1990-A 1,490,000 - SERIES 1990-B 540,000 - SERIES 1990-C WHEREAS, the City Council finds that the construction of improvements and extensions to the City's Water and Sewer System is urgently needed by the City of Wichita Falls, Texas, in order to perform its essential municipal functions; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS: 1. That attached hereto and marked "Exhibit A" is a form of notice, the form and substance of which are hereby adopted and approved. 2. That the Mayor shall cause said notice to be published, in substantially the form attached hereto, in a newspaper, as defined in Chapter 84, Acts of the 43rd Legislature, First Called Session, 1933, as amended (Article 28a, Vernon's Tex. Civ. St.), of general circulation in the City of Wichita Falls, Texas, for two consecutive weeks, the date of the first publication thereof to be at least fourteen (14) days prior to the date tentatively set for the passage of the ordinance authorizing the issuance of the Bonds as described therein. 3. That it is hereby officially found and determined: that a case of emergency or urgent public necessity exists which requires the holding of the meeting at which this Resolution is adopted, such emergency or urgent public necessity being that the City of Wichita Falls, Texas urgently needs to construct improvements and extensions to the City's Water and Sewer System and to issue its Water and Sewer Revenue Bonds in payment therefor as soon as possible and without delay for the immediate preservation of public property, health and safety; and that said meeting was open to the public, and public notice of the time, place and purpose of said meeting was given, all as required by Vernon's Ann. Civ. St. Article 6252-17, as amended. EXHIBIT "A" NOTICE OF INTENTION TO ISSUE CITY OF WICHITA FALLS, TEXAS WATER AND SEWER SYSTEM SUBORDINATE LIEN REVENUE BONDS NOTICE is hereby given, in accordance with Article 2368a, V.A.T.C.S. and Chapter 252 of the Local Government Code that the City Council of the City of Wichita Falls, Texas does intend to consider for passage at a Special Meeting to be held at 10:30 o'clock, A.M., on the 23rd day of July, 1990, at the City Hall, Wichita Falls, Texas, an Ordinance authorizing the issuance, sale and delivery of issues of bonds to be designated as "City of Wichita Falls, Texas Water and Sewer System Subordinate Lien Revenue Bonds, Series 1990-A", "City of Wichita Falls, Texas Water and Sewer System Subordinate Lien Revenue Bonds, Series 1990-B", and "City of Wichita Falls, Texas Water and Sewer System Subordinate Lien Revenue Bonds, Series 1990-C". The maximum amount of Bonds that may be athorized for the above listed purposes is $26,210,000. Said Bonds will be issued for the purpose of improving and extending the City's Water and Sewer System. The City Council presently proposes to provide for payment of Bonds by the pledge of net revenues of the Issuer's combined Water and Sewer System, being subordinate to the lien and pledge securing the City's "Priority Bonds", now outstanding or hereafter issued, all as will be further described, defined and provided in the aforesaid Ordinance. Said Bonds will bear interest at maximum rates not to exceed 15% per annum, will be scheduled to mature serially within a maximum of not to exceed 40 years from their date, and will be subject to redemption prior to maturity, and will have such other and further characteristics as will be provided in the aforesaid Ordinance.
