Res 103-91 7/2/1991RESOLUTION NO. /O3-17 RESOLUTION APPROVING SECOND AMENDMENT TO CONTRACT FOR AMBULANCE SERVICE TO WICHITA COUNTY AND THE CITIES OF WICHITA FALLS, BURKBURNETT AND IOWA PARK, TEXAS WHEREAS, the Cities of Burkburnett, Iowa Park and Wichita Falls and Wichita County entered into a contract dated July 6, 1989, with Life Line Emergency Medical Services, Inc. providing for ambulance service to such entities; and WHEREAS, said contract provides for the annual extension of the contract at the mutual agreement of both parties; and WHEREAS, the parties desire to extend the contract for an additional one-year period as provided in the contract, reduce the subsidy and adjust the rates. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: That certain Second Amendment to Contract for Ambulance Service to Wichita County and the Cities of Wichita Falls, Burkburnett and Iowa Park, Texas, a copy of which is attached hereto, is hereby approved, and the City Manager is authorized to execute the same for the City of Wichita Falls. PASSED AND APPROVED this the JAL-' y of July, 1• • 0000, dr MA OR I ATTEST: C ty Clerk SECOND AMENDMENT TO CONTRACT FOR AMBULANCE SERVICE TO WICHITA COUNTY AND THE CITIES OF WICHITA FALLS, BURKBURNETT, AND IOWA PARK, TEXAS This Second Amendment made and entered into this the day of July, 1991, by and between the City of Burkburnett, Texas, the City of Iowa Park, Texas, the City of Wichita Falls, Texas, and Wichita County, Texas, hereinafter referred to as "Entities, " and Life Line Emergency Medical Services, Inc. , a Texas corporation, hereinafter referred to as "Contractor. " WITNESSETH: WHEREAS, the parties hereto have entered into a contract dated July 6, 1989, providing for ambulance service; and WHEREAS, said contract provides for the annual extension of the contract at the mutual agreement of both parties; and WHEREAS, the parties desire to extend the contract for an additional one-year period as provided for in the contract, reduce the subsidy and adjust the rates. NOW, THEREFORE, BE IT RESOLVED, the parties hereto do hereby agree that the following sections are hereby amended to read as follows: I. Contract Term A. The term of this contract shall be for a one-year period beginning July 24, 1991 and ending July 23, 1992, subject to satisfactory performance by the Contractor as outlined herein. This contract may be renewed by written agreement of both parties on an annual basis. XVI. Rates A. A schedule of rates for ambulance service is provided in Appendix A. Any changes in rates for ambulance services proposed by Contractor must be reasonable and necessary and have prior approval of Entities. B. The rates to be charged shall be posted in every ambulance in a conspicuous place, readily visible to the occupants. XXI. Subsidy A. The Entities covenant and agree to pay Contractor for providing emergency and transfer service in Wichita County, Texas, as provided in this contract, the sum of Thirty-Five Thousand Dollars ($35,000) annually, payable as follows: 1. One-twelfth (1/12) of the annual subsidy shall be payable on the last day of each month. 2. The Entities shall retain the right to seek adjustments in the subsidy at any such times the other collections by the Contractor are increased to the extent the Entities feel reconsideration of the subsidy amount paid by the Entities is merited. This First Amendment executed as of the day and year first set out above.
