RESOLUTION TO AUTHORIZE THE CITY MANAGER TO
RE-NEW A CONTRACT WITH THE CHILDREN'S AID
SOCIETY THAT WILL DESIGNATE EACH CITY FIRE
STATION AS A "SAFE PLACE"
WHEREAS, the Teen Emergency Shelter, a sub-division of
the Children's Aid Society, has requested a renewal of the
contract for "Project Safe Place" ; and,
WHEREAS, for the past year, the Fire Department has
served as the contact point between the youth and the Teen
Emergency Shelter; and,
WHEREAS, the involvement of the Fire Department is seen
as a natural extension of helping services that the
Department already provides to the community; and,
WHEREAS, this service has been, and will continue to be
provided without expending City funds;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF WICHITA FALLS, TEXAS, THAT:
The City Manager is authorized to re-new the contract
with the Children's Aid Society that has established each
Fire Station in the City as a "Safe Place. "

CONTRACT WITH CHILDREN'S AID SOCIETY
This contract, made and entered into on this the
day of 1993 , by and between the City of Wichita
Falls, Texas, hereinafter referred to as "City, " and
Children's Aid Society, hereinafter referred to as "Society, "
WITNESSETH:
For and in consideration of the mutual covenants herein
contained, the parties hereto do hereby agree as follows:
1. Scope of Services. The Society agrees to perform
the following services in a satisfactory and proper manner as
determined by the City:
a. Establish and operate a Teen Emergency Shelter
to assist runaway teens in crisis situations who come to
Wichita Falls fire stations designated by a "Safe Place" sign.
b. Provide an orientation program to those members
of the City's fire department on the program the Society
wishes to employ.
c. Provide training sessions on the procedures to
be used by the members of the City's fire department in
assisting runaway teens.
2 . City Responsibility. The City agrees to:
a. Designate all Wichita Falls fire stations as a
Safe Place" zone for all runaway teens who seek shelter.

b. Erect yellow and black signs provided by the
Society with the "Safe Place" logo on all fire stations.
c. Allow runaway teens and the staff of the
Society to use all designated fire stations for assisting said
teenagers.
d. Contact the staff of the Society to come pick
up any runaway seeking shelter in any designated fire station.
3 . Liability. The Society does hereby agree to
indemnify and hold harmless the City, its agents, servants,
and employees, from and against any and all claims, demands or
causes of action, including claims for contribution or
indemnity, and the reasonable and necessary costs, including
attorney's fees, incurred in defense of any such claim, which
any teenager, their heirs or assigns, has or may have arising
out of or resulting from the City or its fire department's
employees, agents or servants in assisting the Society in
aiding teenage runaways.
4. Term of Contract. The term of this agreement shall
be for a one-year period, and shall be automatically renewed
for successive one (1) year periods unless terminated as
provided by Section 5.
5. Termination of Contract. If either party to the
contract should desire to terminate the contract prior to the
date of expiration, they may do so by giving written notice to

the other party not less than thirty (30) days prior to the
intended termination date.
If either party fails to fulfill their obligations under
this contract in a timely and proper manner, the other party
shall have the right to terminate this contract for cause.
Written notice stating the grounds for termination will be
given the other party, not less than thirty (30) days prior to
the effective date of such termination.
