' LI I -I4 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, AUTHORIZING THE CITY MANAGER TO EXECUTE A LEASE AGREEMENT BY AND BETWEEN THE CITY OF WICHITA FALLS, WICHITA COUNTY, TEXAS, AND THE WICHITA FALLS FEDERAL CREDIT UNION OF WICHITA FALLS, WICHITA COUNTY, TEXAS; FINDING AND DETERMINING THAT THE MEETING AT WHICH THIS RESOLUTION WAS DISCUSSED WAS OPEN TO THE PUBLIC AS REQUIRED BY LAW. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: SECTION 1. The City Manager is hereby authorized to execute approval of the attached lease agreement by and between the City of Wichita Falls, Wichita County, Texas, and the Wichita Falls Federal Credit Union, Wichita Falls, Wichita County, Texas. SECTION 2. It is hereby officially found and determined that the meeting at which this resolution was passed was open to the public as required by law. M A Y O R ATTEST: mom City Clerk STATE OF TEXAS S KNOW ALL MEN BY THESE PRESENTS: COUNTY OF WICHITA S THIS agreement, made and entered into on this day of 1994, by and between the City of Wichita Falls, Texas, hereinafter called "City, " and the Wichita Falls Federal Credit Union, hereinafter called "Credit Union, " WITNESSETH: WHEREAS, City is the owner of the Central Services Complex located in Wichita Falls, Wichita County, Texas, known as the Wichita Falls Central Services Complex, hereinafter called Complex;" and, WHEREAS, Credit Union wishes to provide financial services for members of the Wichita Falls Federal Credit Union; and, WHEREAS, City desires to make said services available to the Credit Union. NOW, THEREFORE, in consideration of the mutual covenants, promises and agreements herein contained, the said parties promise agreecovenantromiseandaree with each other as follows: 1. City does hereby grant to Credit Union the non- exclusive right to operate a credit union located on the premises of the Wichita Falls Central Services Complex, as indicated in the plat attached hereto, and is incorporated as Exhibit A. In consideration of the rights hereby granted, Credit Union agrees to pay City the sum of Nine Hundred and 2 No/100 ($900.00) Dollars per month. All payments shall be directed to the Office of the City Clerk, 1300 Seventh Street, Wichita Falls, Texas. 2. Credit Union agrees to save and hold harmless City, its agents, officials, servants and employees from all liability for any loss occasioned by the furnishing of the services herein provided for the City or members of the Credit Union, it being expressly understood that the City, its agents, officials, servants and employees shall not be held liable for any loss, damage or theft of any articles kept at the Credit Union at the Complex. 3. Subject to earlier termination for non-payment or breach of any covenant contained herein, the term of the agreement shall be for a period of one (1) year, commencing on the 1st day of November, 1994. This agreement shall continue until such time as the City and the Credit Union agree to terminate the agreement, or either party may terminate the agreement by giving the other party ninety (90) days advance notice in writing of their intention to terminate. 4. City hereby designates its City Manager and any other official as he may designate as its official representative, with full power to represent the City in dealings with the Credit Union in connection with the terms of this agreement. 5. Credit Union shall not assign nor transfer this agreement nor any privileges hereunder without prior express 3 written consent of the City. In the event the Credit Union shall assign or transfer this agreement or any privilege granted hereunder without express written consent of the City, City reserves the right to terminate this agreement upon written notice to the Credit Union. 6. In the event Credit Union fails to pay the City for the rights and privileges acquired herein within fifteen (15) days after same shall become due, then City shall have the option, without any legal proceedings or notice, to declare this agreement terminated. 7. Credit Union represents that it has inspected the Complex and that it accepts the conditions of same and fully assumes all risks incident to the use thereof. City shall not be liable to Credit Union for any damage or injuries to the property or persons of Credit Union which may result from hidden, latent or other dangerous conditions on the leased premises of the Complex. 8. At the commencement and termination of this agreement, an inventory and condition survey shall be made by the Central Services Complex Administrator, and a representative of the Credit Union, on forms to be furnished by City which shall show a complete inventory of the premises and property belonging to or under the control of the City to be used by the Credit Union, and the Credit Union agrees to fully account for all such property placed on or used in connection 4 with this lease. All property belonging to the City shall be returned to the City in as good a condition as received, reasonable wear and tear excepted. 9. During the term of this lease, the City shall be responsible for all major structural maintenance and repair of the buildings. Credit Union shall pay for maintenance needed because of ordinary wear and tear, including painting of the interior of the building as required. Credit Union will pay for any repairs needed on the building due to negligence or damages caused by Credit Union's operations. If Credit Union does not perform the required maintenance and repairs within sixty (60) days of a written request made by the Central Services Complex Administrator, the City reserves the right to enter upon the premises and perform the necessary work at Credit Union's expense. The City shall be responsible for payment of all utilities (natural gas, electricity, water and sewer) applying only to the function of the administration's building. Credit Union shall not make or permit any additions, improvements, or alterations to the property which constitute any structural change or changes without prior written consent of the City. The request for such consent shall be in writing and shall have plans of the proposed changes attached. Any additions or improvements made with the consent of the City shall be solely at the expense of the Credit Union unless such consent provides otherwise. Title to the additional 5 improvements shall at all times remain with the City, and such additions and improvements shall be subject to all terms and conditions of this agreement. Credit Union agrees to hold the City harmless from any mechanic's and materialmen's liens arising from any additions, improvements, repairs or alterations effect by the Credit Union. 10. Credit Union agrees to operate the leased premises for the use and benefit of the public; to make available all services of the Credit Union to the public without unjust discrimination and to refrain from imposing or levying excessive, discriminatory or otherwise unreasonable charges or fees for the use of the Credit Union facilities or any of its services provided by the Credit Union. All services to be rendered by the Credit Union hereunder shall be provided to the highest standards. 11. It is understood that all persons employed or otherwise hired by Credit Union in operation of the Credit Union's business shall be the employees of, or agents of, the Credit Union and not the City. 12. Credit Union agrees to properly pay all lawful taxes, assessments or charges which during the term hereof may become a lien or be levied by the State, County or City or other tax levying body upon any interest of Credit Union or possessory right which Credit Union may have in or to said premises and/or the improvements thereon by reason of its use or occupancy. I 6 13. Credit Union agrees to comply with all applicable laws, rules, regulations and ordinances now in effect or hereinafter enacted. It shall also be the responsibility of Credit Union to afford equal opportunity for employment to all individuals, regardless of race, color, religion, sex, or national origin, and to comply with the Executive Orders 11246 and 11375 of the Civil Rights Act of 1964, Age Discrimination in Employment Act, and Equal Employment Opportunity Act of 1970, by providing equal employment opportunities through affirmative action guidelines. 14. City reserves the right to enter upon the leased premises at any reasonable time for the purpose of making any inspection it may deem expedient to the proper enforcement of any of the covenants or conditions of this agreement. 15. City reserves the right to further develop or improve the Central Services Complex as it sees fit, regardless of the desires or views of Credit Union, and without interference or hindrance. 16. Credit Union shall, in case of fire or other casualty, give immediate notice in writing to City, who shall thereupon cause the damage to be repaired as soon as practicable, consistent with the contractual provisions with casualty insurance policies, providing materials, supplies and labor are reasonably available; if any portion of the premises is rendered unfit for occupancy, the rent shall be apportioned 7 for the period of time required to make the repairs according to the part of the premises, if any, which remains usable by Credit Union. If the majority of the leased area is destroyed, then within thirty (30) days after the fire or other casualty, either Credit Union or City may cancel this lease by notice in writing to the other, effective as of the date of the mailing of the written notice, except that the rent shall be apportioned as of the date of the fire or other casualty. 17. No waiver by City at any time of any of the terms, conditions or covenants of this agreement shall be deemed or taken as a waiver at any time thereafter of the same or of any other terms, conditions or covenants herein contained, nor of the strict and prompt performance thereof by Credit Union. 18. No waiver of default by Credit Union of any of the terms, covenants or conditions hereof to be performed, kept and observed by City shall be construed to be or act as a waiver by Credit Union of any subsequent default of any of the terms, covenants and conditions herein contained to be performed, kept and observed by the City. 19. Notice to the City as herein provided shall be sufficient if written notice is served in person or otherwise sent by certified mail to the City Manager, City of Wichita Falls, P. 0. Box 1431, Wichita Falls, Texas; or to the Credit Union, if written notice is served in person to its manager at the Credit Union, or otherwise sent by certified mail, to the 8 Wichita Falls Federal Credit Union, Wichita Falls, Texas, or at such other places at party may designate in writing. 20. It is further understood and agreed by and between City and Credit Union that in the event any covenant, condition or provision of this agreement is held to be invalid by any court of competent jurisdiction, that the invalidity of any such covenant, condition or provision shall in no way affect any other covenants, conditions or provisions herein contained.
