A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA
FALLS, TEXAS, APPROVING THE MASTER AGREEMENT AMONG
THE WICHITA COUNTY -CITY OF WICHITA FALLS, TEXAS HOSPITAL
BOARD (THE "CITY- COUNTY BOARD "), WICHITA GENERAL
SERVICE CORPORATION, D /B /A UNITED REGIONAL HEALTH CARE
SYSTEM, INC. ( "URHCS ") AND BETHANIA REGIONAL HEALTH
CARE CENTER ('BETHANIA "), AND IN CONNECTION THEREWITH,
AUTHORIZING THE MAYOR TO EXECUTE AN AMENDED AND
RESTATED MANAGEMENT CONTRACT AND LEASE AGREEMENT
WITH THE CITY - COUNTY BOARD, URHCS AND WICHITA COUNTY;
A LEASE WITH BETHANIA, THE CITY - COUNTY BOARD AND
WICHITA COUNTY; AND A SUBLEASE WITH THE CITY - COUNTY
BOARD, URHCS AND WICHITA COUNTY, IN ACCORDANCE WITH
THE TERMS AND CONDITIONS OF SAID AGREEMENTS; FINDING
AND DETERMINING THAT THE MEETING AT WHICH THIS
RESOLUTION WAS PASSED WAS OPEN TO THE PUBLIC AS
REQUIRED BY LAW.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS,
TEXAS:
SECTION 1. That it is hereby found and determined that the Master Agreement
among the City - County Board, Bethania and URHCS which provides, in part, for the
long -term lease of Wichita General Hospital and clinics and transfer of personal
property to URHCS, the Lease of the Bethania hospital facility and clinics and transfer
of personal property to the City - County Board and the sublease of the Bethania hospital
facility and clinics and transfer of personal property to URHCS, is in the best interest of
the residents of Wichita Falls, Texas and is hereby approved and ordered, such
approval and order being required by Sections 265.037 and 265.071 of the Texas
Health and Safety Code.
SECTION 2. That the Mayor be and is hereby authorized to execute on behalf of
the City of Wichita Falls an Amended and Restated Management Contract and Lease
Agreement with the City - County Board, URHCS, and Wichita County, in accordance
with the terms and conditions of said contract, attached hereto and made a part hereof
for all purposes.
SECTION 3. That the Mayor be and is hereby authorized to execute on behalf of
the City of Wichita Falls a Lease with Bethania, the City - County Board and Wichita

County, in accordance with the terms and conditions of said Lease, attached hereto
and made a part hereof for all purposes.
SECTION 4. That the Mayor be and is hereby authorized to execute on behalf of
the City of Wichita Falls a Sublease with the City-County Board, URHCS and Wichita
County, in accordance with the terms and conditions of said Sublease, attached hereto
and made a part hereof for all purposes.
SECTION 5. It is hereby found and determined that the meeting at which this
resolution was passed was open to the public as required by law.
