RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA
FALLS, TEXAS, APPROVING ACTION TAKEN BY THE WICHITA
COUNTY -CITY OF WICHITA FALLS, TEXAS, HOSPITAL BOARD (THE
"CITY- COUNTY BOARD "), AND UNITED REGIONAL HEALTH CARE
SYSTEM, INC. ( "URHCS "), AND AUTHORIZING A PROPERTY
PURCHASE AND LEASE -BACK AGREEMENT BETWEEN THE CITY -
COUNTY BOARD AND CLINICS OF NORTH TEXAS, ALONG WITH THE
TERMS AND CONDITIONS OF SAID AGREEMENTS; AND FINDING
AND DETERMINING THAT THE MEETING AT WHICH THIS
RESOLUTION WAS PASSED WAS OPEN TO THE PUBLIC AS
REQUIRED BY LAW.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS,
TEXAS, THAT:
SECTION 1. It is hereby found and determined that the purchase of property
known as 1518 10th Street and the lease -back agreement among the City - County
Board, URHCS and Clinics of North Texas which provides, in part, for the lease of said
property and clinics and transfer of personal property to the City - County Board and
lease -back by the Clinics of North Texas, is in the best interest of the residents of
Wichita County Texas, and is hereby approved and ordered, such approval and order
being required by Sections 265.037 and 265.071 of the TExAs HEALTH AND SAFETY
CODE.
SECTION 2. The Chairman of the Wichita County -City of Wichita Falls, Texas,
Hospital Board be and is hereby authorized to execute on behalf of said board a Lease
Agreement with the City - county Board, URHCS, and the Clinics of North Texas, in
accordance with the terms and conditions of said lease agreement between the Board
and the Clinics of North Texas, attached.
SECTION 3. It is hereby officially found and determined that the meeting at
which this resolution was passed was open to the public as required by law.
