certify as follows:
1. The City Council of said City convened in SPECIAL MEETING ON
THE 6TH DAY OF DECEMBER, 1990, at the regular designated meeting
place, and the roll was called of the duly constituted officers and members of
said City Council, to-wit:

was duly introduced for the consideration of said City Council and read in full.
It was then duly moved and seconded that said Ordinance be passed; and, after
due discussion, said motion, carrying with it the passage of said Ordinance,
prevailed and carried by the following vote:

2. That a true, full, and correct copy of the aforesaid Ordinance passed
at the Meeting described in the above and foregoing paragraph is attached to
and follows this Certificate; that said Ordinance has been duly recorded in said
Board's minutes of said Meeting; that the above and foregoing paragraph is a
true, full, and correct excerpt from said Board's minutes of said Meeting
pertaining to the passage of said Ordinance; that the persons named in the
above and foregoing paragraph are the duly chosen, qualified, and acting offi-
cers and members of said City Council as indicated therein; that each of the
officers and members of said City Council was duly and sufficiently notified
officially and personally, in advance, of the time, place, and purpose of the
aforesaid Meeting, and that said Ordinance would be introduced and considered
for passage at said Meeting, and each of said officers and members consented,
in advance, to the holding of said Meeting for such purpose; and that said
Meeting was open to the public, and public notice of the time, place, and
purpose of said Meeting was given all as.required by Vernon's Ann. Civ. St.
Article 6252-17.
3. That the ordinance has not been modified, amended or repealed and
is in full force and effect on and as of the date hereof.

1990-A; CITY OF WICHITA FALLS, TEXAS WATER
AND SEWER SUBORDINATE LIEN REVENUE
BONDS, SERIES 1990-B; AND CITY OF WICHITA
FALLS, TEXAS WATER AND SEWER SUBORDINATE
LIEN REVENUE BONDS, SERIES 1990-C; THE
EXECUTION OF A PAYING AGENT/REGISTRAR
AGREEMENT; AND AUTHORIZING OTHER
MATTERS RELATED THERETO.
WHEREAS, on July 23, 1990 the City Council passed Ordinance
No. 48-90 authorizing the issuance of City of Wichita Falls, Texas Water and
Sewer Subordinate Lien Revenue Bonds, Series 1990-A, Series 1990-B and
Series 1990C (the "Bond Ordinance"); and
WHEREAS, the Bonds authorized by said ordinance were sold to
the Texas Water Development Board pursuant to the State Revolving Fund
Program; and
WHEREAS, the Bonds are to be delivered in installments to the
Texas Water Development Board as construction progresses; and
WHEREAS, the Texas Water Development Board has requested
the amendment of this Ordinance to allow bonds to be delivered in a manner
which will allow the Texas Water Development Board the maximum utilization •
of the federal funds supporting the State Revolving Fund Program and to make
an additional amendment to comply with policies of the Texas Water
Development Board;
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS:
Section 1. Subsection (c) of Section 29 of the Ordinance is hereby
amended to read as follows:
"(c) To facilitate the delivery of the Bonds in
installments to the Texas Water Development Board,
• the City hereby instructs the Paying Agent/Registrar
to hold the Bonds in escrow pursuant to the State
Revolving Funds Bond Escrow Agreement, and
therefore the Bonds shall be initially registered in the
name of the Paying Agent/Registrar. Upon receipt of
advice from the City from time to time that money is
• available from the Texas Water Development Board,
the Paying Agent/Registrar shall deliver Bonds to the
Texas Water Development Board in accordance with
the instructions of the City. The Paying
Agent/Registrar shall complete the "Delivery
Certificate" on each installment of Bonds so delivered
to the Texas Water Development Board as provided
in Section 5(a) of this Ordinance, and interest on
each such installment of Bonds so delivered shall
commence from such date. The Series 1990-A Bonds
not yet delivered to the Texas Water Development
Board shall be delivered to the Texas Water
Development Board in the order set forth in Exhibit
A to this Ordinance, with the maturity amounts set
forth as Lot A being purchased first, Lot B second,
and Lot C last."
Section 2. Section 31 of the Ordinance is hereby amended to read
as follows:
"Section 31. SURPLUS BOND PROCEEDS.
That the City shall use the surplus proceeds from any
Series of Bonds remaining after completion of the
improvements and extensions of the System for the
purchase of the Bonds of such Series owned by the
Texas Water Development Board in inverse order of
maturity."
Section 3. That it is hereby officially found and determined: that
a case of emergency or urgent public necessity exists which requires the holding
of the meeting at which this Ordinance is passed, such emergency or urgent
public necessity being that it is necessary that the proceeds from the sale of said
bonds are required as soon as possible and without delay for necessary and
urgently needed public improvements; and that said meeting was open to the
public, and public notice of the time, place, and purpose of said meeting was
given, all as required by Vernon's Ann. Civ. St. Article 6252-17.
Section 4. That this Ordinance shall be effective immediately from
and after its passage in accordance with the provisions of the Charter of the
City, and it is accordingly so ordained.
