Res 039-2011 5/3/2011 RESOLUTION NO. 39-2011 Resolution Authorizing The City Manager To Execute A Professional Services Agreement With URS Corporation For Engineering And Quality Assurance Testing Services In Conjunction With Phase II Of The Runway 17-35 Reconstruction Project At Wichita Falls Municipal Airport, In An Estimated Amount Of $229,956.21 WHEREAS, the City of Wichita Falls desires engineering, construction quality assurance testing, and resident project representation services be performed in conjunction with the above referenced projects; WHEREAS, the Federal Aviation Administration will fund 95% of the cost of these services and Airport Funds are available to fund the remaining 5% local share of the service agreement; and WHEREAS, URS Corporation proposes to provide these services at an estimated cost of $229,956.21. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: The City Manager is authorized to execute the professional services agreement attached as Work Order No. 19, with changes thereto in a form approved by the City Attorney, in an estimated amount of $229,956.21. SCHEDULE 1'he Estimated Schedule shall be set torth in Attachment B to this Work Order. Because of the uncertainties inherent in the Services, Schedules are estimated and are subject to revision unless atherwise specifically described herein. PAYMENT ANO EQUITABLE ADJUSTM�NTS. This is a Cost Plus Fixed Fee Work Order. URS compensation and provisians for progress and final payments are specified in Attachment C to this Work Order. Payment of �0," is due upon signature of this Work Order and will be applied against the final invoice for this Work Order. URS shall give Client prompt written notice of unanticipated conditions or conditions which are materially different from tfiose anticipated by URS at the time the compensation was agreed upon. If Client wishes UR5 to proceed, URS compensation shall be subject to equitab(e adjustment for such conditions. TERMS AND CONDITIONS. The WORK to which this ORDER applies is the Rehabilitation of Runway 17-35, Phase 2(approximately 45,50Q square yards) at the Wichita Falls Municipal Airport. The ENGINEER shall perform the following services for the WORK: I. BIDDING PNASE 5ERVICES A. Assist the CLIENT in the advertisement of the WORK for construction bids and receive bidding- document deposits (reflective of actual reproduction costs per set) a»d distribute bidding documents. Bidding document deposit check shal] be payable to the CLIENT and those deposits shall not returned to bidders. B. Atten�l anc] conduct pre-bid conference. Pravide written clari�cation and interpretation of the brd documents to the CLIENT and che bidders. C. Prepare and issue all addenda required to clarify the bid documents. D. Maintain a record of bidding document issuance and receipt of same. E. Attend the CLIENT'S opening of bids, review bids and furnish to the CLIENT a recommendation regarding the award of the contract(s), within two (2} working days following bid opening. 1I. BASIC CONSTRUC'I'ION SERVIC�S A. Make periodic visits to the PROJECT site to abserve the progress and quality of the executed work and to determine, in general, if the work is proceeding in acc;ordance with the Project Manual and drawings. It is the intent of die BNGINFER and the CLIENT that these services are to be provided by the ENGINEER'S design professionals. B. Consult with and advise the CLTENT; issue/transmit instructions to the contractor and answer contractor's questions in order to implement the Project Manual and drawings and prepare routine change orders as required. C. Review samples, catalog data, schedules, shop drawings, laboratory, quarry, shop and milt tests of material and ec�uipment; and other data which the contraetor is required lo stibnut for conformance with the design eoncept of the WORK and compliance with the Project Ntanual and R-1 drawings and assemble writtan guarantees which �u'e required by the Project Manual and drawings. Submit copies of ai! equipment and machinery drawings and other contractor submittals to CLIENT. D. Review monthly estimates for payinents to contractor and fw nish the CLIENT with recanunendations regarding payment. E. Upon receipt of notification by the contractor that the work has been completed, the ENGINEER shall conduct an inspection, performed by appropr'rate members of the ENGINE�R'S staff. As a result of this inspection, the ENGINEER sl�all prepare a list of the items needing correcdon. After [he contractar has performed the required corrections, the ENGINEER shall notify the CLIENT in writing that the contract has been substaruially performed according to the Project Manual and drawings and is ready for final inspection by the CLIEN'T and ENGINEER. The ENGINEER shall accompany the CLIENT on the final inspection to assure that the total work has been completed in substantial accordance with the Project Manual and drawings. ENGINEER shall reriew and tabulate all warranties, guarantees, bonds, equipment-operating instructions and similar requzred materials and documents to make sure that all such materials and documents are received and that they substantially meet the requirements of the Project Manual and drawings, after which they shall be transmitted to the CLIENT or his designed representative(s). After determining that all requirements of the PROJECT Manual and drawings have been substantially met, the ENGINEER shall so certify and shall recommend appravaf of the contractor's finaf application for payment. P. Receive from the concractor(s) as-built dacuments reflecting field changes to the bid docunzen[s. The ENGINEER will review documents ta ascertain to the best of his knowledge and belief that tlte reflected fieid changes are comptete and correct. G. Compile contractors', Resident Project Representative's> and EI�GINBER'S recards and submit such compilation to the CLIENT. H. Prepare record drawings of constructian, incorgorating all compiled change orders and field changes from the bid documents. A professional engineer's sea] shall be affixed and signed on each doeument, signifying the recorded changes have been transferred. 1. Drawings shal! be prepared in electronic format and an rnylar drafting film. 2. Drawirigs shall be accurate in scale and dimensions and shall reflect the final, as- constructed condition of the WORK. ; � "� Submit electronic file on CD-ROM, ane (1) set of :full-size mylars and four (4) sets of one-half size print record drawings to CLIENT. Copies of record drawings that may be relied upon by the CLIENT are limited to the printed copies ("hard" copies) that are signed and sealed by the ENGINEER. Record drawings on electronic fites that are furnished by the ENGINEER to the CLIENT are only for the convenience of the CLIENT. III. RESIDENT PRO7ECT REPRESENTATION (26 WEEKS DURATION) A. General The Resident Project Representative (RPR) as the Engineer's age,lt will act as directed by and under supervision of the Bngineer, and will confer with the �ngineer regarding the I2PR's actions. The RPR's dealings in matters pertaining to the on-site work shali in general be only with the Engineer and the Contractor, keeping the Owner/Sponsor advised as necessary, and dealings with the subcontractors shall only be through or with the full knowledge of the Contractor. Written com�nunications with the Owner/Sponsor will be anly through or as directed hy the Engineer. B. Du[ies and Responsibilities of the RPR The RPR shall: l. Be thoroughly familiar with the plans and specifications as they apply t� the work being inspected, and review them frequently. The RPR must be capable of immediately recognizing if the work conforms to the contract requirements. 2. Provide full time ser��ices at at! times the Coniractor conducts activities on the construction site. 3. Serve as ttle Engineer's liaison with the Contractor, working principally through the Contractor's superintendent and assist in understanding the intent of the Contract Documents, and assist the Engineer in serving as the Owner's liaison with the Contractar particularly when the Contractar's operations affect the �wner's on-site operations. 4. Review the progress schedule, samples schedule of Shop Drawing submittals and schedule of values prepared by the Contractor and consult with the Bngineer as to the acceptability of such schedules. 5. Act as the Engineer's Liaison: i) Attend/conduet meetings with the Engineer, Owner and Contractor, such as Pre- Construction Conferences, progress meetings, weekly construction coordination rrieetings, job conferences and other project-related meetings, and prepare and circulate copies of minutes thereof. ii) assist in obtain'rng from the Owner additional details or information, when required .�-3 for proper execution of the Work. 6. Collect And transmit Shop Drawings and samples: i) record date of receipt of Shop Drawings and samples. ii) receive samples which are furnished at the site by the Conlractor, and notify the Engineer of the availability of samples for examination, iii) advise the Engineer and Contractor of the commencement of any Work requiring a Shop llrawing or sample if the submittal has not been approved by the Engineer. 7. Review, rejection and correction of defective work, inspection and testing: i) observe, review and test the Work throughout the construction administration phase, as needed, to determine if the Work is proceeding in accordance with the Contract Documents. ii) reject, require corcection, or uncovering of the Work for observation, or require special testing, i�ispection or approval of the Work that in the opinion of the RPR does not conform to the Contract Dacuments or is defective, unsatisfactory, or faulty, and notify the Engineer and Owner in writing of the reason for each such rejection, correction, and uncovering. The RPR shall evatuate, if rec�uested by the Owner, the impact of each such rejection, correction, and uncovering of the Work on the Contractor's scheduling. iii) verify that tests, equipment and systems startups and operating and maintenance training are conducted in the presence of appropriate personnel, and that the Contractor maintains adequate records thereof; and observe, record and report to the Engineer appropriate details relative to the test procedures and startups. iv} accompany visiting inspectors representing public or other agencies having jui�sdiction over the Nroject, record the results of these inspections and report to the Engineer. 8. Maintain at the jab site orderly files for correspondence, reports of job conferences, Shop Drawings and samples, reproductions of original Contracc Documents, including a11 Work Directive Changes, flddenda, Change Orders, Field Orders, additional drawings issued subsequent to the executior� oF the Contract, Engineer's clarificacions and interpretations of the Contract Documents, progress reports, and other project related documents. 9. Keep a diary or log book, recording Contractor hours on the job site, weather condiiions, data relative to quesNons of Work Directive Changes, Change Orders or changed conditions, list of job site visitors, daily activities, decisians, observations in general, and specific observations in more detail as in the case of observing test procedures, send copies to the ,, _:,; Engineer, and provide copies to the Owner upon request. 10. Record names, addresses and telephone numbers of al] subcontractars and major suppliers of materiais and equipment. 1I. Furnish the Engineer with weekly reports as required of progress of the Work and of Contractor's compliance with the progress schedule of Shop Drawings and sample submittals. 12. Consult with the Engineer in advance of scheduled major tests, inspections or start of important phases of the Work. i) draft proposed Change Orders and Work Directive Changes, obtaining backup materi�l from the Concractor and recommend to the Engineer Giange Orders, Work Directive Changes, and Field Orders. 13. Report immediately to the Engineer and Owner upon occurrence of any accident. 14. Review applications for payments with the Contractor for compliance with the established procedure for their submission and forward the recommendations to the Engineer, noting particularly the relationship of the payment requested to the schedule of values, Work completed, and materials and ec�uipment delivered 1t the site b��t not incorporated into the Work. The Engineer shall then determine the amount owing to the Contractor and shall certify requests for payment in such amounts, on the basis that the Work has progressed to the Qoint indicated and that the qualiry of the Work is in accordance with the Contract Documents. C. Limitations of the RPR's Autharity The Resident Project Representative: 1. Shall not authorize any deviation from the Contract Documents or substitution of rnaterials or equipment, unless authorized by the Gngineer. 2. Shall not exceed the iimitations of the Engineer's authoriry as set forth in che Contract Documents and [he Agreement. 3. ShaU not undertake any of the responsibilities of the Contractor, subcontractors, ar Contractor's superintendent. 4. Shal! not advise on, issue directions relative to or assume control over any aspect oF the means, methods, techniques, sequences or proceclures of construction unless such advice or directions are specifically required 6y the Contract Documents. 5. Shall not advise on, issue direcuons regarding, or assume control over safety precautions and programs in connection with the Work. Howe.ver, the RPR shall notify the Cantractor, the Engineer, and the Owner of any safety concerns the Rl'R may have, whether suci� matters A-S relate to the Con[ractor, or the Contractor's subcontractors or suppliers. Such nouce shall be immediate and when possible from the project site in order to allow, among other things, the Owner the opportunity to have safe conditions for its employees. 6. Shall not accept Shop Drawings or samples from anyone other than the Conaactor. N.
