Ord 61-2010 11/2/2010 ORDINANCE NO. 61-2010 Ordinance Accepting Grant Funds Through The Texas Historical Commission In The Amount Of $5,625 To Research, Revise, Collaborate And Produce Updated Design Review Guidelines For Locally Designated Historic Districts And Buildings, Directing The Use Of $5,625 Of Funds For City Matching Requirements, Authorizing The Mayor And City Manager To Execute All Documents Necessary To Accept This Grant, And Authorizing The City Manager To Execute A Consultant Services Contract With Hardy-Heck-Moore, Inc. To Provide Said Guidelines WHEREAS, the City of Wichita Falls, in conjunction with the Landmark Commission and sub-grantee Hardy-Heck-Moore, Inc. (HHM), through grant contract TX- 10-025 with the Texas Historical Commission (THC), will research, revise, collaborate and produce an updated policy document — Design Review Guidelines; and WHEREAS, this project will assist local residents, the Landmark Commission and City staff by creating a document to increase community awareness of appropriate methods to maintain, restore, and rehabilitate the City's designated historic resources. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: 1. Grant funds in the amount of $5,625 from the Texas Historical Commission are hereby appropriated to assist in the research, development, and production of the revised Design Review Guidelines. General Funds in the amount of $5,625 that were appropriated in the 2010-11 budget are directed be used to meet the City's matching requirements of the grant. 2. The City Manager and Mayor are hereby authorized to execute all documents necessary to accept this project grant, in a form to be approved by the City Attorney. 3. The City Manager is hereby authorized to execute an agreement with the sub grantee, Hardy-Heck-Moore, Inc, in an amount not to exceed $11,250, for the preparation of an updated Design Review Guideline document, in a form to be approved by the City Attorney. TTEST: M A Y O R � � ity Clerk AGREEMENT FOR CONSULTANT SERVICES DESIGN REVIEW GUIDELINES This contract, made and entered into as of the day of , 2010, by and between the City of Wichita Falls, Wichita County, Texas, a Municipal Corporation in the State of Texas, (hereinafter called "CITY") and the firm of Hardy-Heck-Moore, Inc. (hereinafter called "CONSULTANT"), a consulting firm registered in and practicing under the laws of the State of Texas; WITNESSETH: WHEREAS, the City of Wichita Falls proposes to research, revise, collaborate and develop an updated policy document, addressing historic cultural resources, that will increase community awareness about appropriate methods to maintain, restore, rehabilitate and protect our City's designated historic resources, this project will be known as the DESIGN REVIEW GUIDELINES; and WHEREAS, the firm of Hardy-Heck-Moore, Inc. is considered acceptable to the CITY and is willing to enter into a contract to perform the work elements outlined in this contract as required by the CITY. NOW, THEREFORE, it is agreed as follows: A. SERVICES TO BE PROVIDED BY THE CONSULTANT REQUIRED ELEMENTS - SCOPE OF SERVICES Information provided in the Cost Proposal and Scope of Work dated May 29, 2009 shall be considered a part of this Agreement. The Scope of Services contained in this document were reviewed and refined by both parties and, in cases of any conflict, shall define the actual Scope. The responsibilities of the CONSULTANT shall include the tasks listed on the attached Exhibit "A". B. SERVICES TO BE PROVIDED BY THE CITY The CITY will provide to the CONSULTANT as needed and available copies of the following information: existing design review guidelines, the historic preservation ordinance, historic preservation files documenting City designated historic districts and individual landmarks, digital maps as needed, and photographs. The City will also provide in-kind project assistance through the Planning Division staff and the Landmark Commission members. CITY'S RIGHTS The CITY reserves the right to cancel the Contract without penalty if circumstances arise which prevent the CITY from completing the project. INTEREST OF MEMBERS OF THE CITY The CONSULTANT agrees that no member of the governing body, officer, employee or agent of the CITY shall have any interest, financial or otherwise, direct or indirect, in the Contract. TERMS AND CONDITIONS An Exhibit `B' of Terms and Conditions is provided for the general information of the contractor. PROJECT FUNDING The Design Review Guidelines Project includes the use of federal funds — U.S. Department of the Interior (National Park Service) through the Texas Historical Commission Certified Local Government Program (Exhibit `D'). Awarding of this contract by the CITY to the CONSULTANT is subject to any and all applicable federal funding requirements. ATTACHED EXHIBITS The attached Exhibits `A' — Scope of Services, `B' — City of Wichita Falls - Terms and Conditions, 'C'- Compensation for Professional Cultural Resources/Planning Services, `D' — Certified Local Government (CLG) Grant — FY2010 Contract, `E' - U.S. Department of the Interior Civil Rights Assurance, 'F' — Assurances for Consultants or Subcontractors, and their representations shall be a part of this Agreement. President 10/28/2010 EXHIBIT `B' TERMS AND CONDITIONS 1. APPLICABLE LAW - This Contract is entered into subject to the Charter and ordinances of the City of Wichita Falls, as they may be amended from time to time, and is subject to and is to be construed, governed, and enforced under all applicable State of Texas and federal laws. The parties to this contract agree and covenant that for all purposes, including performance and execution that this contract will be enforceable in Wichita Falls Texas; and that if legal action is necessary to enforce this contract, exclusive venue will lie in Wichita County, Texas. 2. INDEPENDENT CONTRACTOR - Contractor shall operate hereunder as an independent contractor and not as an officer, agent, servant or employee of City. Contractor shall have exclusive control of, and the exclusive right to control, the details of its operations hereunder, and all persons performing same, and shall be solely responsible for the acts and omissions of its officers, agents, employees, contractors, subcontractors and consultants. 3. ASSIGNMENT - The Contractor shall not sell, assign, transfer or convey any interest in this contract in whole or in part without the prior written consent of the City of Wichita Falls. No assignment, transfer or conveyance under this contract will be effective without the prior written consent of the City. 4. CONFLICT OF INTEREST — The Contractor covenants and agrees that Contractor and its officers, employees, and agents will have no interest, including personal financial interest, and will acquire no interest, either directly or indirectly, which will conflict in any manner with the performance of the services called for under this Contract. No officer of employee of the City shall have a financial interest, direct or indirect, in any contract with the City, or be financially interested, directly or indirectly, in the sale to the City of any land, materials, supplies or services, except on behalf of the City or in compliance with the provisions of City of Wichita Falls policies and procedures. Any violation of this provision shall render this contract void at the discretion of the City. 5. SEVERABILITY - In case any one or more of the provisions contained in this contract shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this contract, and this contract shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. 6. MODIFICATIONS - This contract can be modified only by written agreement of the parties. 7. REMEDIES - No right or remedy granted herein or reserved to the parties is exclusive of any right or remedy herein by law or equity provided or permitted; but each shall be cumulative of every right or remedy given hereunder. No covenant or condition of this contract may be waived without consent of the parties. Forbearance or indulgence by any party shall not constitute a waiver of any covenant or condition to be performed pursuant to this contract. 8. PAYMENT TERMS - All payment terms shall be Net 30, and payments shall be made on approved invoices in accordance with the Texas Prompt Payment Act. 9. INDEMNIFICATION Under the Professional Services Procurement Act, Contractor does hereby agree to waive all claims, release, indemnify, defend and hold harmless the City and all of its officials, officers, agents and employees from and against any and all claims, losses, damages, suits, demands or causes of action, and liability of every kind including all expenses of litigation and/or settlement, court costs and attorney fees for injury or death of any person or for loss of, damages to, or loss of use of any property, arising out of or in connection with the negligent performance of the Contractor under this contract. 10. NON-DISCRIMINATION - Contractor shall not discriminate against any employee or applicant for employment of Contractor or of the City of Wichita Falls because of race, age, color, religion, sex, national origin, ancestry, disability, or place of birth. Contractor shall take action to ensure that all persons are employed and/or treated without regard to their race, age, color, religion, sex, national origin, ancestry, disability, or place of birth. This action shall include, but not be limited to the following: employment, promotion, demotion, transfer, working conditions, recruitment, layoff, termination, rates of pay or other forms of compensation, and training opportunities. 11. DISABILITY - In accordance with the provisions of the Americans With Disabilities Act of 1990 (ADA), Contractor warrants that it and any and all of its subcontractors will not unlawfully discriminate on the basis of disability in the provision of services to general public, nor in the availability, terms and/or conditions of employment for applicants for employment with, or employees of Contractor or any of its subcontractors. 12. TERMINATION FOR DEFAULT - The City of Wichita Falls reserves the right to terminate the contract without prior notice in the event the Contractor defaults or breaches any of the terms and conditions of this contract, or otherwise fails to perform. In the event of termination the City reserves the right to complete the work or services in any manner it deems desirable, including engaging the services of other parties therefore and/or awarding the bid to the next lowest responsible bidder. Any such act by the City shall not be deemed a waiver of any other right or remedy of City. If after exercising any such remedy, the cost to City of the performance of the balance of the work or services is in excess of that part of the contract sum, which has not therefore been paid to the Contractor hereunder, Contractor shall be liable for and shall reimburse the City for such excess. TERMINATION WITHOUT CAUSE - The City shall have the right to terminate the contract, in whole or in part, without cause any time upon thirty (30) days prior written notice. Upon receipt of a notice of termination, the Contractor shall promptly cease placing orders and all further work pursuant to the Contract, with such exceptions, if any, specified in the notice of termination. The City shall pay the Contractor, to the extent funds are appropriated or otherwise legally available for such purposes, for all goods delivered and services performed and obligations incurred prior to the date of termination in accordance with the terms hereof. 13. NO THIRD-PARTY BENEFICIARY — For purposes of this contract, including its intended operation and effect, the parties to this contract specifically agree and contract that: (1) the agreement only affects matters/disputes between the parties to this contract, and is in no way intended by the parties to benefit or otherwise affect any third person or entity, nofinrithstanding the fact that such third person or entity may be in a contractual relationship with City or Contractor or both; and (2) the terms of this contract are not intended to release, either by contract or operation of law, any third person or entity from obligations owing by them to either City or Contractor. 14. ENTIRE AGREEMENT — This contract embodies the complete agreement of the parties hereto superseding all oral or written previous and contemporary agreements between the parties relating to matters herein and, except as otherwise provided herein, cannot be modified without written agreement of the parties. 15. HEADINGS — The headings of this contract are for convenience of reference only and shall not affect in any manner any of the terms and conditions hereof. EXHIBIT `C' COMPENSATION FOR PROFESSIONAL CULTURAL RESOURCE/PLANNING SERVICES Section 1: Basis for Compensation 1. The project fee for all services defined in this contract, all other paragraphs and provisions nofinrithstanding, the maximum payable to the CONSULTANT under Exhibit 'B' shall not exceed $11,250.00 for all elements included with the Scope of Services work outlined in Exhibit'A.' Section 2: Method of Payment 2(a) Payment to the CONSULTANT shall be based on the monthly submittal of invoices in accordance with meeting the specified requirements as outlined in the Scope of Work and within the required project timeframe. The CONSULTANT shall be reimbursed by the CITY from project funds that are a combination of federal (50% - Texas Historical Commission — CLG grant) and non-federal (50% - local match monies from the CITY) funds. 2(b) It is further agreed that a sum not to exceed 25% of the total grant award will be retained by the CITY and the Texas Historical Commission until the following have occurred: (a) Texas Historical Commission review of the draft project materials and comments incorporated into the project; (b) receipt of a detailed and documented final report; (c) receipt of properly documented reimbursement materials. Within twenty- one (21) days of the Commission's receipt of the CITY's authorized invoice for services rendered, the Commission shall pay the CITY the authorized amount. The final payment to be made by the CITY to the CONSULTANT will be payable upon submission of the Final Design Review Guidelines document. 2(c) The project timeline shall commence upon execution of this agreement befinreen the CITY and said CONSULTANT and terminate October 31, 2011, unless a contract amendment approved by the Texas Historical Commission authorizes a time extension. It is agreed by the CONSULTANT that all work associated with this Design Review Guidelines project shall be completed by September 30, 2011. All materials stipulated in this agreement and the contract (Exhibit `D') with the Texas Historical Commission shall be submitted by the CITY and the CONSULTANT to the Historical Commission by October 31, 2011. EXHIBIT `D' TEXAS HISTORICAL COMMISSION FISCAL YEAR 2010 CERTIFIED LOCAL GOVERNMENT (CLG) GRANT CONTRACT TX-9 0-025 I. PARTIES The parties of this contract are the Texas HistoricaI Commission, an agency of the State of Texas, hexeinafter referred to as Commission; and the City of Wichita Falls hereinafter referted to as Grantee. 11. PURPOSE This contract is entered into pursuant to a grant made to the Comtnission fot fiscal year 2010 by the U.S. Department of the Interiox, Narional Park 5ervice, under the proaisions of the Narional Historic Preservarion rlct of 1966, P.L. 89-665 (16 U.S.C. Sec. 470 fl. This grant is made for the purpose of funding a project or projects to be undertaken by Grantee as a participant in the Certified Local Government program. I11. SERViCES TO BE PROVIDED The following services are to be provided within the contract period on a schedule to be agreed upon by the parties to this contract. Howevet, the services designated with specific deadlines must comply with those deadlines. The Grantee shall undertake and complete the project or projects as set out in the Project Notification {with detailed budget). Pxoducts developed under this agreement must conform to the expectarions of the Commission and the Project Proposal, as supulated in ��ttachment B. Project personnel employed by the Grantee shall meet the Standards for Professional Quatifications as outlined in 36 CFR 61 (�ttachment C), and be emplayed by competitive procurement. Regulations af the U.S. Department of the Interior stricdy prohibit unlawful discrimination in fedetally-assisted programs on the basis of xace, color, and/or national origin. Therefore the Grantee must sign DI Form 1350 (Attachment D) and retum signed form to the Commission with this contract. In all cases the person(s) employed by the Grantee to complete the work specified in this contract must meet with the appro� al of the Commission. The professional staff hired must also contact the Cotnmission's Certified L.ocal Government staff priot to commencing work. IV. AMOUNT OF THE CONTRACT "T1ie total amount of this contract shall not ekceed $5,625.0(i. The Comtnission shall reunburse the Grantee exclusivel� from U.S. Department of the Interior grant-in-aid funds far historic preservadon (Certified Local Government), and this contract is subject to the availability of those funds. V. PERIOD This contract sha(1 commence on 4ctober 1, 2009 and shall terminate on December 31, 2011. It is further agreed that all work associated with this project shall be completed by September 30, 2011 and all materials stiputated in 1�lttachments r1 and B and all reunbursement requests shali be submitted to the Commission by October 31, 2011. 11n extension for completing materials sripulated in rlttachment B may be granted by the Comnussion upon review and approval of a written extension request by the Gtantee, provided that a draft of the grant product(s} has been previously reviewed and approved. The final product must be received by the Commission no latei than December 31, 2011. I�ll expenses incutted by the Grantee associated with work completed after September 30, 2011 shall be considesed ineligible for reunbursement under this grant conuact. Contract amendments may be submitted in writing using the Contract �lmendment Fozm (Attachment F) at any time between Uctober 1, 2{109 and August 31, 2021 at the option of the Cornmission. VI. INDEPENDENT CONTRACTOR The Grantee is a Texas Municipal Corporadon. It is not an agenry of the State of Texas. It is expressly understood and agreed that any subcontsactor is an independent contractor and not an employee of the Texas Historical Comuiission. The Grantee or any subcontractor shall not be considered the agent, the servant, or the employee of the Commission for any purpose whatsoever. VIi. DOCUMENTATION AND PAYMENT Grantee may submit tn the Cominission, for its approval, a properly completed invoice for seraices rendered in compliance with all requirements of the contract as specified in the Reunbursement Request Procedures and Required Records (�lttachment G}. Grantee wili provide invoices to the Conunission as costs are incurred and work is completed, but not more frequendy than monthly. It is further agreed that the Grantee will provide written quarterly updates on the Grant Product Quarterly Report Fortn (Attachment E} to the Connmission on the progress of the grant product. Each update will outline the tasks and expenses completed on the project and provide a timeline and status of the overall project. The Grant Product Q�arterly Report Form (Attachment E) will be due on Apri130, 2010, August 30, 2010, December 31, 2U10, April 30, 2011, and August 30, 2011. Failure to submit quarterly reports on a timely basis ot failure to turn in mote than one quarterly report may constitute fotfeiture of this grant agreement. Reimbursement to the Grantee shall be on a matching basis as outlined in the Project Norification's Budget secuon, subject to receipt of funds from the National t'azk Service and successful completion of all project work acrivities. The Comrrussion agrees ta pay the Gzantee up to $5,625.00 in federal funds. The Grantee agrees to canttibute matching share, eithez donated services or cash match, for a t�unimum total of $5,625.00 or 50% of eligible coscs, whichever is less. Such payments shall be made as requested for services actually rendexed, or if matually agreed, in one lutnp sum upon complerion and approval of all the requirements set forth in this agreement. It is further agreed that a sum not to exceed 25% of the total grant award will be retained bq the Commission untit the following have accurred (a) Cominission review of the ciraft project materials and comments incorparated into the project; (b} receipt of a detailed and documented itnal report; and (c) receipt of propexly documented reimbursement materials. Subject to the limitarions of the contract, the Commission's payments will be made in accordance �vith the Texas Prompt Payment rZct. VIII. OWNERSHIP OF PRODUCTS OF THIS CONTRACT All material, concepts and products produced, developed or conceived by the Grantee during or arising out of the contract shall remain the property of the Commission. The Grantee shall have an unresrricted right to use any ox all materials so praduced, developed, or conceived at no additional cost. Pursuant to the stipulations in Attachmeni B a minunum of two (2) copies of all final products and completion reports, if applicable (Attachment H) are ro be supplied to the Commission before final reunbursement is made. In the event notice of temririation is given, all work by Grantee shall cease and no amount shall be paid by the Commission for work performed following receipt of notice of ternvnation by Grantee. Grantee shall be paid fot all work performed priox to the notice of ternunation in accordance with the terms of the contract. Final invoices shall be submitted to the Commission not latet than 30 days following the date of termination of this contract. X. APPLICABLE LAWS This contract shaIl be govemed by and construed in accordance with the laws of the State of Texas and the rules and policies of the Comnussion. t�1ll projects funded under the Certified Local Government prog,zam must meet rhe Secretary of the tnterioz's Standards. AUDIT The Commission may audit the Grantee's records to verify the costs or expenses incurred in the performance of this conuact ot may, at its oprion, require an audit of the Grantee's records by an independent accounting firm, at the Grantee's expense, or by Federal auditors to verify costs or expenses incurred in the performance of the conttact. The Grantee shail keep accurate financial recoids available for audit For three years from the project end date. In addirion to the terms detailed in this �greement, all federal requirements goveming grants (Office of Nianagement and Budget Circulars �-87 or A-122, A-102 or A-1 lb, r1-133, and r�-128) are applicable. XI1.
