The Board of Aldermen of the City of Wichita Falls, Texas
met in CALLE D, session on the above date with Mayor pro-tem W. S. Curlee
presiding and Aldermen Bralley, Shepherd, Bonner and City Clerk Thorburn in
attendance.
The following Resolution, was then moved by Alderman Bonner,
seconded by Alderman Bralley and passed by the following vote:-
Yeas: Aldermen Bralley, Shepherd, and Bonner.
Hayes: None.
R-E-S-O-L-U-T-I-O-N
WHEREAS, heretofore, to-wit: on July 15th, 1920, C. E. Calder
made an offer to the City of Wichita Falls to cause to be conveyed to the City
of Wichita Falls, Texas, certain property of the Wichita Falls Water Company,and
certain property of the Wichita Falls, Electric Company, said property fully des-
cribed in en exhibit at,ached to said offer. In consideration of the delivery to
him of Eight Hundred Thousand ( B00,000.00) Dollars, 10-40 yr.-5% coupon gold bonds
of the City of Wichita Falls, bearing date February 10, 1920, and bearing interest
from that date, and the assumption by the said City of Wichita Falls of the obli-
gations of the Wichita Falls, Water Company contained in two (2) certain contracts
by the Wichita Falls Water Company, and the Wichita Falls Electric Company, and
WHEREAS, The City of Wichita Falls accepted said offer, upon
certain conditions as expressed in resolutions duly passed by the Board of Alder-
men of the City of Wichita Falls, and
WNE EAS, said conditions have been sully met and complied with
and the said C. E. Calder has tendered good and sufficient deeds for the convey-
ances of all of the said property to the City of Wichita Falls.
NOW THEREFORE BE IT RESOLVED BY THE BOARD OF ALDERT2N OF THE
CITY OF WICHITA FALLS, that said instruments of conveyance from Wichita Falls
Electric Company and Wichita Falls Water Company, are hereby approved and accept-
ed by the City of Wichita Falls, in accordance with the terms thereof, snd the
property described by the said conveyances is hereby received by the City of
Wichita Falls at the value in cash expressed in said conveyances, and the officers
of the City of Wichita Falls are hereby authorized and directed to deliver to the
said C. E. Calder the bonds referred to and described in the offer of said C. E.
Calder, the same being bonds to the amount of Eight Hundred Thousand ( 800,000.00)
Dollars, par value.
BE IT FURTHER RESOLVED, that all obligations of the Wichita
Falls Water Company in and under two certain contracts entered into by it with the
Wichita Falls Electric Company on November 9, 1920, one of said contracts known
as "aeneral Contract" and the other thereof known as "Pumping Contract"are here-
by fully assumed by the City of Wichita Falls, Texas,
Resolved, however, that there shall be, hereafter, a final
agreement and adjustment between the -parties hereto as to the disposition of the
earned interest, on the bonds, from their date to August let (the date on which
the said properties were delivered to the City) and a final adjustment between
the parties with respect to operations and extensions, from August 1st, 1920 to
the present date.
The Board of Aldermen then adjourned.
