Min 04/16/1919 Wicnita Falls,Texas, April 16tn 1919. The Board Of aldermen of the City of wichita Falls,Texas,met in called Session on the the above date for the transaction of the business of the City,with Mayor J,B,Marlow presiding,and with the following officers nresent,Aldermen J,F,Reed, J,M,McFall, M,A,Bundy, H,F,Weldon and W,S,Curlee silty Attorney Mathis and City Clerk Walkup in attendance, 0 0 0 Mayor Marlow announced that this meeting had been called for the purpose of receiving and considering bids for the purchase of $75,000.00 street improve ment bonds. The following bids were then opened and considered. The bid of Sweet, Caousey, Foster & Co., Denver, Colorado was as follows: April 16th, 1919. Hon. J. B. Marlow, Mayor, And, Board of Aldermen, Wichita Falls, Texas. Gentlemen:- As per your official statements, for your $75, 000.00 legally issued 5 0 Permanent Street Improvement bonds with semi-annual interest Coupons attached, dated March 15th, 1919, due in Forty years, optional in Ten years, in convenient denominations, delivered to us in Denver, free of exchange and collection charges, both principal and interest payable in New York City, we agree to pay you Par and accrued interest plus a premium of thirteen dollars. You agree td promptly take such steps to make this issue legal as may be required and deemed necessary by our attorneys, and prior to the delivery of the bonds to us to promptly furnish us with evidence of the legality of the issue in form satisfactory to our attorneys. We inclose herewith a check, as required, for $ 3, 750.00 which is to be held as an evidence of good faith on our part and to be returned to us promptly in case our attorneys refuse to approve the legality of the issue. We agree to pay for the bonds when delivered and approved by our attorneys and you agree to promptly deliver the legally issued bonds as above provided. Gentlemen:- In connection with our bid of even date (attached hereto) on your $75,000.00, Street Improvement Bonds we submit you the following proposition for your acceptance. We agree to have our attorneys prepare the additional orders, certificates, Etc., to complete the issue, make transcript thereof and promptly submit same to the Attorney General at Austin, Texas, for his approval; We also agree to furnish the blank bonds (150) ready for signature; And,-- For and in consideration of our services it is understood and agreed that we are to be paid the sum of $1,000.00 at the time of the delivery of the bonds to us. Gentlemen: For $75, 000.00 Bonds, to be direct and general obligation of the City of Wichita Falls, Texas, to bear date of March 15, 1919, and become du due and payable 40 years from their date, with option of prior payment on any interest payingddate on or after 10 years from their date - bonds to bear interest at the rate of 5% per annum payable semi-annually, both principal and interest to be payable at the Office of the City Treasurer, in the City of Wichita Falls, Texas, or at the Hanover National Bank, New York City, at the option of the holder,- We agree to find a purchaser for the above described bonds at par and accrued interest from date of bonds to date of delivery. We further agree to prepare the blank bonds ready for the signatures of the proper officials without cast to the City. This offer is made subject to the following conditions: 1. Prior to the delivery of the bonds to the purchaser whom we shall find, we are to be furnished with a oompletencertified transcript of all proceedings had incident to the iasu_anoe of the bonds, evidencing their legality to the entire satisfaction of our attorneys, and the fee of our attorneys is to be paid by us. 2. Co-incident with the delivery of the bonds in St Louis at par and accrued interest to the purchaser whom we shall find, we are to be p paid in cash the sum of $1,587.00 in consideration of our services in procuring a purchaser for the bonds at par and accrued interest. We attach hereto check for $3750.00 as evidence of our good faith, with the understanding that if this bid is rejected or if our attorneys refuse to approve the legality of these bonds, the check is to be immediately returned to us, otherwise it is to be held by you unchasediuntil delivery of the bonds and then returned to us, but it is to be forfeited to the City of Wichita Falls, Texas as full liquidated damages in case we fail to comply with the terms and conditions of this offer. despeotfully submitted, Empire Mortgage Company. Dear Sir: For your $75,000.00 City of Wichita Falls, Texas 5% Street Bonds, dated March 15, 1919. Maturing in 40 years, optional after ten years, in denomination of 0500.00, semi-annual interest, payable in New York, we will pay you 075,000.00 and accrued interest to date of delivery. This bid is submitted with the following conditions: If these bonds are awared to us we are to receive simultaneous with the delivery of the Bonds to us a check for $3, 000.00 on the Treasurer of the City of Wichita Falls, Texas, which shall be our payment for printing the bonds, securing the attorney's opinion and other expense connected with the distribution of these securities. Deaf Sir: For your issue of 075,000.00, City of Wichita Falls, Street" Improvement Bonds, dated Maroh 15th, 1919, bearing interest at the rate of 5'% per annum, payable semi-annually, both principal and interest payable at the Hanover National Bank of New York, said bonds maturing 40 years from date, with the option on the part of the eity to redeem them at any time after ten years, we will pay you par and accrued interest less a discount of t1,867.00 to cover the cost of attorney's fees, printing, etc. also agreo to furnish the printed bonds. This offer is subject to approval of the legality of the bonds, by the Attorney General of Texas, and by our attorney; you to furnish us pro raptly with a complete copy of the entire transcript, and also with waiver from the State School Board. As an evidence of our good faith in amking this offer, we attach hereto certified check for 03,750.00, said check to be returned to us immediately in case this offer is not accepted, or in case the Attorney General or our attorney should be unable to approve legality; otherwise, when the bonds are delivered. The board then went into executive session after discussing the various bids , the board went out of executive session whereupon Alderman McFall moved that the bid of Sweet, Causey, Forster & Company, be accepted which motion was seconded by Alderman Weldon and carried. Alderman Cutlee moved that Alderman Reed be authorized to pay Kemp Library $35.00 per month for janitor service which motion was seconded by Alderman Bundy and carried.
