Resolution authorizing the City Manager to approve a new Potable
Water Purchase Contract with the Red River Authority of Texas
WHEREAS, the Red River Authority is organized and established under provisions
of the laws of the State of Texas. One of the duties of the Red River Authority is the
operation of a water distribution system serving water users within its authorized service
area, and to accomplish this purpose, it requires a supply of potable water; and,
WHEREAS, City owns several water reservoirs and a treatment and distribution
system with capacity capable of serving the present customers of the City and the
estimated number of water users to be served by the Red River Authority; and,
WHEREAS, Red River Authority entered into a Raw Water Purchase Contract on
May 1, 1979, and subsequently agreed to multiple modifications to the contract, and this
Contract replaces all prior contracts between the Parties relating to the purchase of
potable water; and,
WHEREAS, immediately prior to the effective date of this Contract, the Red River
Authority was not obligated to purchase Water from City and City was not obligated to
sell Water to the Red River Authority; and,
WHEREAS, by resolution of the Board of Directors of Red River Authority enacted
on the 23rd day of June, 2020, it authorized the purchase of Potable Water by the Red
River Authority under the terms of this new, mutually agreed upon Contract; and,
WHEREAS, Red River Authority is responsible for operating its water distribution
system, and providing Water to its authorized service area as described within the
Contract; and,
WHEREAS, the Council examined the proposed Contract to the Water Purchase
Contract between the City of Wichita Falls and the Red River Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS, THAT:
The Water Purchase Contract between the City of Wichita Falls and the Red River
Authority of Texas is hereby renewed, and the City Manager is authorized to execute the
same for the City of Wichita Falls.

NOW THEREFORE., CITE" does hereby renew the lease for the original three (3)
tracts of lend, each tract desonbed in Exhibit A, attached hereto, end incorporated
herein by reference. CITY" also does hereby lease to AUTHORITY an additional three
(3) tracts of [and situated in Clay County, Texas, described in Exhibits @, C. and D
attached hereto and incorporated herein by reference.
The 1.61 acre tract shown or) Exhibit A has been and will continue to be used for the
operation and )maintenance of a water treatment plant_ The adjacent 0.574 acre .ract
shown can Exhibit P is an expansion of the 1.81 acre tract and v4ll be used for the
construction of new water treatment plant facilities.

The 0-195 acre tract on Exhibit A has been used for the operation and maintenance of
the west water storage tank ''standpipe). The adjacent 0,223 acre tract shown on
Exhibit C will be used to construct a new elevated storage tank After construction of
the new elevated tank the lease for the Q 195 acre tract will be canceled on a date
agreed by CITY and AUTHORITY
The 0.159 acre tract on Exhibit A has bees used for the operation and mainterance of
the east water storage tank (standpipe). The adjacent 0 173 acre tract shown on
Exhibit D will be used to construct a new elevated storage tack. After construction of
the new elevated tank the lease for the 0.159 acre tract will be :.anceled on a date
agreed by CITY and AUTHCJRITY
IV
The terra of this lease for the 1.61 acre tract shown on Exhibit A and for the tracts
shown on Exhibits B. C, and D shall be forty (40) years. The =ease for the 0 195 acre
tract and the 0 159 acre tract shown on Exhio6t A shall be terminated upon construction
of new elevated storage tanks on theses saes and at a date agreed by CITY and
AUTHORITY
AUTHORITY shall pay CITY rental at the rate of 5350 00 per year payable annually
and in advance for the 40-year lease saes. The rental rate for the two 12p tracts to be
canceled shall be S75.00 per year until such time as CITY and AUTHORITY agree to
cancel the leases..
VI
AUTHORITY shall hold the CITY harmless from any and all liability arising out of the
use of leased properties by AUTHORITY,

AUTHORITY shall take ail necessary precautions to protect the dam at Lake
Arrowhead. and shall abide by all reasonable requirements made by CITY Director of
Public Works in this regard

It is understood that Lake Arrowhead is a municipal water supply for CITY, and hence I
is absolutely necessary for sanitary conditions to be strictly observed, AUTHORITY
shall observe all statutes, ordinances, rules and regulations regarding the purity of the
water at Lake Arrowhead,
IX
The offices- employees and agents of CITY shall have the right to go upon the leased
premises at all reasonable times to see that the covenants of this lease are being
observed

In the event AUTHORITY breaches ary of the covenants contained herein, and such
breach is not corrected within thirty (30) days after CITY requests AUTHORITY to do
so, CITY shall have the right to terminate this lease.
