RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WICHITA
FALLS, TEXAS, AUTHORIZING THE EXECUTION OF A
MEMORANDUM OF AGREEMENT BETWEEN THE CITY OF WICHITA
FALLS AND THE NORTH CENTRAL TEXAS COMMUNITY
HEALTHCARE CENTER FOR DENTAL SERVICES TO BE PROVIDED
AT THE WICHITA FALLS-WICHITA COUNTY PUBLIC HEALTH
DISTRICT; FINDING AND DETERMINING THAT THE MEETING AT
WHICH THIS RESOLUTION WAS PASSED WAS OPEN TO THE
PUBLIC AS REQUIRED BY LAW.
WHEREAS, both the Community Healthcare Center and the Wichita Falls-
Wichita County desire to meet the need for dental health services in our community;
and
WHEREAS, the Community Healthcare Center will be unable to continue
provision of their current level of dental health services unless a temporary alternate
site can be found; and
WHEREAS, the City Manager, subject to the approval of the City Council,
intends to enter into a written agreement with the North Central Texas Community
Healthcare Center allowing them temporary, conditional use of the dental suites located
at the Wichita Falls-Wichita County Public Health District.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WICHITA FALLS, TEXAS, THAT:
SECTION 1. That certain Memorandum of Agreement, a copy of which is
attached hereto, by and between the City of Wichita Falls and the North Central Texas
Community Health Care Center Inc. for the limited use of the dental suites located at
the Wichita Falls-Wichita County Public Health District 1700 Third Street Wichita Falls,
Texas is hereby approved and the City Manger is authorized to execute said
Agreement on behalf of the City of Wichita Falls.
SECTION 2. It is hereby officially found and determined that the meeting at
which this resolution was passed was open to the public as required by law.

• . MEMORANDUM OF AGREEMENT
Be it known by all those present that North Central Texas Communitv Health Care Center, Inc, (dba)
Communitv Healthcare Center known as CHC located at 200 Eastside Drive, Wichita Falls, Texas 76301 and Wichita
Falls-Wichita Countv Public Health District known as Health District located at 1700 Third Street, Wichita Falls, Texas
76301 do hereby enter into this Agreement as specified below:
The Parties mutually agree to the following:
1. The Health District will provide space in the dental suite of the Health District on a temporary basis from March 20,
2006 to June 1, 2006 for CHC dental staff to provide dental services.
2. Services rendered at the Health District will consist of primary and preventive dental care and dental hygiene
support to Community Healthcare Center patients.
3. Times of operation and utilization of the space will conform to a schedule that is mutually agreed upon by both
parties.
4. CHC will be responsible for providing the supplies and hand piece tools/equipment necessary to perform services.
5. CHC will be responsible for providing liabi(ity coverage for CHC staff rendering dental services for CHC patients
within the approved HRSA scope of care.
6. CHC will be responsible for transporting medical and administrative records between facilities on a daily basis.
7. CHC will be responsible for scheduling and other clerical support related to the patients' appointment
8. Both parties will comply with the mandatory provisions regarding the use and disclosure of Protected Health
Information (PHI); and to comply with the requirements of the Privacy Rules.
9. CHC will not provide oral health care services to patients of the Health District unless Health District determines a
referral is clinically necessary for their patient. Should such a referral be authorized by the Health District, the
patient will be treated at the CHC facility at 200 Eastside Drive.
10. To the extent permitted by law, each party does hereby hold harmless and fully indemnify the other party and its
officers, employees and successors of and from any and all (iability, damage, cost or expense whatsoever incurred,
relating to, or by reason of, wrongful acts or omissions of the other in the course of any activity outside this
Agreement.
11. Both parties will not discriminate against a patient of the Health District or CHC on the basis of race, creed, national
origin, sex, handicap, ability to pay, or being a CHC patient.
12. This agreement may be amended for a minimal amount of time at the mutual agreement of both parties in order to
accommodate an unforeseen delay in renovation activity.
This agreement may be terminated by either party with or without cause, upon thirty (30) days written notice to the other
party. This agreement may be executed by written agreement of the parties.
