' D� RESOLUTION AWARDING A PROPOSAL TO MICRO SYSTEMS ENTERPRISE IN THE AMOUNT OF $434,688.23 FOR THE PURCHASE, INSTALLATION AND ONE YEAR OF MAINTENANCE OF A VOICE OVER INTERNET PROTOCOL TELEPHONE SYSTEM AND AUTHORIZING A BUDGET AMENDMENT IN THE 2005-06 BUDGET FOR THIS PROJECT; FINDING AND DETERMINING THAT THE MEETING AT WHICH THIS RESOLUTION WAS PASSED WAS OPEN TO THE PUBLIC AS REQUIRED BY LAW. WHEREAS, the 2005-06 Budget included $375,000 to replace the City's main telephone system; and WHEREAS, proposals were solicited from Qualified Cisco and Nortel providers for this system replacement; and WHEREAS, the proposal from Micro Systems Enterprise was determined to be the most responsible proposal and in the best interest of the City; and WHEREAS, the cost of the proposal and third party products and services totals $465,688.23; and WHEREAS, it is necessary to transfer available funds in the 2005-06 Workers Compensation Program to cover the additional costs of this project. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF WICHITA FALLS, TEXAS, THAT: SECTION 1. Authorization is hereby granted to award a proposal to Micro Systems Enterprise in the amount of $434,688.23 which includes one year of annual maintenance for the replacement of the City's main telephone system. SECTION 2. Authorization is hereby granted to transfer $90,689 of savings in the 2005-06 Workers Compensation Program Budget to cover the total costs for this system. SECTION 3. It is hereby officially found and determined that the meeting at which this resolution was passed was open to the public as required by law. ("MSE"), WITNESSETH : WHEREAS, on July 17, 2006, the City issued Request for Proposal No. 06-03 ("RFP") to purchase a Voice Over Internet Protocol telephone system; and, WHEREAS, on September 15, 2006, MSE submitted a response to the City's RFP, which was determined to be acceptable to the City. Now, THEREFORE, for and in consideration of the mutual covenants hereafter contained, the parties do hereby agree as follows: 1. PURCHASE. The City agrees to purchase from, and MSE agrees to sell to and install for City, a Cisco Voice Over Internet Protocol telephone system to serve the City, including its buildings at City Hall, Police Headquarters, Municipal Court, Central Fire Station, Health Department, Central Services Complex, MPEC, and the City's Recreation Center. 2. COMPENSATION. The City agrees to pay MSE the total sum of $434,688.23, as evidenced by MSE's price quote dated November 13, 2006, a copy of which is attached as Exhibit A and incorporated herein for all purposes. 3. PROJECT. MSE agrees to provide City with a telephone system in accordance with its RFP response dated September 15, 2006, and Project Scope of Work (SOW No. COWF112006-B) being incorporated herein for all purposes. Section 2.3 and Section 2.33 of the RFP are modified by the inclusion of Exhibit B, attached hereto and incorporated herein. It defines the scope of services that will be provided by Micro System Enterprises, Inc. (MSE)for the City of Wichita Falls IP Telephony Implementation project. The City of Wichita Falls has engaged Micro System Enterprises, Inc. for the implementation of a Cisco IP Telephony (VoIP) hardware and software solution to create a converged infrastructure. This VoWP telephone system will exist on the City's current data network and the new system will replace an existing analog Northern Telecom Option 61C telephone switch, located at 610 Holliday St, Wichita Falls TX 76301. This project scope will cover the work to be performed for the installation and configuration of Cisco's IP telephony platform and associated hardware and applications. MSE will conduct assessments of the City of Wichita Falls current data network, telecommunications environment, and telephony operations to determine the best technical and operational design of the system. Once the assessments have been completed, MSE personnel will prepare a Design Phase Findings Report that will validate the proposed design of the entire communications system as related to the IP telephony deployment and operation. At the completion of this project, Micro System Enterprises, Inc. requests that City of Wichita Falls sign the MSE Project Sign-off document,which acknowledges the completion of the project. provide project management and technical direction for the project. Project Name:IP Telephony Implementation 13 SOW No:COWFI I2006-B N 6.0 Client Responsibilities Finalize all contract negotiations with third-party suppliers for hardware,software,additional network wiring,and/or additional network equipment. ➢ Procure additional required software,hardware,network wiring,and/or additional network equipment in a timeframe that allows Micro System Enterprises, Inc.'s work to be completed and to meet project-specific milestones. ➢ Provide adequate office working conditions with a telephone,desk,and/or dial-up/network connection for remote communications with Micro System Enterprises,Inc. and City of Wichita Falls. ➢ Provide Micro System Enterprises, Inc.with a list of all third-party contacts,as well as City of Wichita Falls's assigned project coordinator and all contacts necessary to facilitate the tasks contained within this Statement of Work. ➢ Communicate any issues or changes to both the original project plan and the scope of work to Micro System Enterprises,Inc. in a timely manner. ➢ Ensure that the work environment is free of hazardous materials and free from asbestos.City of Wichita Falls is responsible for supplying Micro System Enterprises,Inc.with any information concerning safety issues and/or hazardous material for disclosure to all Micro System Enterprises, Inc.and third-party employees working on the project. ➢ Ensure that Micro System Enterprises,Inc. is given required access to all necessary facilities,as well as the passwords,equipment,etc.required to successfully complete this project. ➢ Inform City of Wichita Falls employees of Micro System Enterprises, Inc.'s activities and direct them to provide necessary access and cooperation. ➢ City of Wichita Falls is responsible for the backup and/or data migration of existing data unless otherwise agreed to by Micro System Enterprises, Inc. ➢ City of Wichita Falls is responsible for obtaining all permits, licenses and right of ways necessary for the completion of this project. ➢ City of Wichita Falls is responsible for providing adequate and secure on-site storage for all deliveries. ➢ City of Wichita Falls is responsible for computer system and network designs and component selection as it relates to the performance of the computer system and/or the network outside of the IP Telephony devices/equipment provided and installed by Micro System Enterprises. ➢ City of Wichita Falls is responsible for the deployment of all Cisco IP Phones. ➢ City of Wichita Falls is responsible for all end-user training. Project Name:IP Telephony Implementation 14 SOW No:COWFI 12006-B • It7NMI 7.0 General Project Assumptions Effort has been made to develop a list of assumptions for this project. Undocumented assumptions can have a dramatic effect on the project plan. To set the bounds of this project, City of Wichita Falls acknowledges and agrees to the following assumptions for this Statement of Work. > Scheduling of consultant(s)for this work can be performed upon Micro System Enterprises, Inc.'s receipt and acceptance of City of Wichita Falls's order.This scheduling effort will be the responsibility of the project manager and will,by necessity,take into account City of Wichita Falls's schedule and the availability of consultant(s). ➢ Micro System Enterprises, Inc. understands that several visits to the site may be necessary to complete the work,so it is important that Micro System Enterprises, Inc.discuss City of Wichita Falls's schedule as soon as Micro System Enterprises,Inc. agrees to start this work. ➢ All on-site work must be scheduled 10 business days prior to the expected date of arrival. ➢ Any cancellations or changes in schedule requested by City of Wichita Falls within 48 hours of the scheduled date of project commencement will be subject to a charge of 4 hours billed on a time-and-materials basis. ➢ Micro System Enterprises, Inc.will reschedule consultant(s)on a best-effort basis once notified of the schedule changes. ➢ Adequate staffing and project management is included in this response. If City of Wichita Falls unexpectedly accelerates the stated time line in their request,a change order may be generated to cover additional staffing or overtime to meet the new deadlines.Changes to City of Wichita Falls's schedule need to be communicated to Micro System Enterprises, Inc.'s project manager in writing within 48 hours of the change. > All tasks included in this Statement of Work shall be performed over a consecutive time frame unless otherwise provided in the Statement of Work or agreed to by Micro System Enterprises, Inc. ➢ All communications which affect the technical aspects of the project must be directed through the Micro System Enterprises, Inc. project manager. ➢ Review meetings will be held at milestone points in the project.These meetings will facilitate discussion regarding project timelines. The availability of City of Wichita Falls management and support personnel is critical to this project and City of Wichita Falls's representation at these meetings is essential.All customer-oriented requests will include due dates. If these dates are not met,they will affect the timing of the project. > Any additional labor or materials requested by City of Wichita Falls and not included in the scope of this Statement of Work will constitute a change request. ➢ Any work not specified in this Statement of Work must be mutually agreed to by City of Wichita Falls and Micro System Enterprises,Inc.and will be performed at Micro System Enterprises, Inc.'s standard hourly rate. ➢ Any on-site skills transfer that takes place during this project does not replace the manufacturer's formal system implementation and administration classes. Shipping and taxes are or are not included.All prices are in U.S.dollars. It is MSE's policy to identify and schedule the best possible resource for every task. This means that the assigned consultant is familiar with and in most cases, has direct experience providing the exact services required. Limitation or Remedies: MSE entire liability and Customer's exclusive remedy for damages from any cause whatsoever, including, but not limited to, nonperformance or misrepresentation, and regardless of the form of actions,shall be limited to the amount which has been paid to MSE by Customer for performance hereunder. In no event will MSE be liable for damages caused by Customer's negligence, or for special, incidental or consequential damages, lost profits, lost use of equipment, loss of stored memory,cost of substitute equipment or other downtime costs, even if MSE has been advised of the possibility of such damages,or for any claim against Customer by any other party.No action rising out of this Agreement, regardless of the form of action, may be brought by Customer more than one year after the action has occurred. Force Majeure: Either party shall be excused for delay in the performance of any obligations hereunder when such delay is the result of or attributable to the elements,acts of God,governmental authority,unavailability of parts from manufacturer,delays in transportation or any other cause beyond their reasonable control. 11. Confidential Information: Customer and MSE agree that if confidential information is to be exchanged they may require that a mutually agreeable non-disclosure agreement be signed. This section does not obligate either party to accept confidential information from the other party. 12. Intellectual Property: If an order includes software or other intellectual property, such software or other intellectual property is provided by MSE to Customer subject to the copyright and user license, the terms and conditions of which are set forth in the license agreement accompanying such software or other intellectual property. Nothing herein shall be construed to grant any rights or license to use any software or other intellectual property in any manner or for any purpose not expressly permitted by such license agreement. Exhibit B Vendor Warranties The vendor shall warrant that the proposed VoIP System will operate in conformance with the specifications contained in this RFP; the vendor warrants that the proposed VoIP System shall be merchantable and fit for the purposes for which it is intended. The vendor shall warrant that the City's current equipment as installed shall have adequate capacity to perform the City's existing and future workloads specified in this RFP. Exception: Cisco Systems has provided the hardware Bill of Material for the VoIP system being proposed in this response. MSE has evaluated the Bill of Material and has determined the devices proposed will provide functionality for a VoIP solution. MSE cannot be held responsible for errors & omissions pertaining to the Cisco Systems proposed device list. Cisco Systems and Micro System Enterprises have developed a bill of materials with a proposed VoIP solution based on information provided via the Request for Proposal and other design discussions. The proposed VoIP solution meets the City's current and future requirements as identified in the Request for Proposal (RFP#06- 03). Due to unknown factors such as bandwidth issues, capabilities of existing equipment to meet Qualify of Service (QOS) standards, IOS revision levels and other factors, Micro System Enterprises recommends that an IP Telephony assessment is performed prior to final development of the VoIP bill of material. Upon award, Micro System Enterprises will analyze current equipment, bandwidth utilization and other factors to determine if adjustments to the bill of materials are required. If adjustments are required, the Micro System Enterprises' Project Manager will provide the City of Wichita Falls reports with project timeline and budget impact.
